I think somebody pointed out that the offer wasn't extended to the institutional holders, and if that was so he couldn't gain a majority of shares, so his ownership issues(or lack thereof - in my opinion) likely couldn't be solved. What really bugs me is the status of the ADS and associated patents. Are those worth anything? Have newer developments passed them by? Is the software still being used on the Zumwalt destroyer?
