Your own post proved my fact that somehow Vince and Sean ended up owning CellAd(the one created by good ole' Andy)and the one in Delaware as it was World Acq. Inc. (a Vincent Browne shell) that was renamed CellAd.

On feb 1, 2013 WDAS acquired Cellad in exchange for 80 shares of wdas series B preferred shares.



CellAd was "acquired" by WDAS from Andy, ex-CEO and associate of Vince so how did Vince and Sean end up with CellAd or the "series B preferred?

Cellad is owned by darjon investments 50% (Vincent Browne owns darjon) and 50% by Sean mcveigh.

Effective February 1, 2013, World Assurance Group, Inc. (“WDAS”) acquired through its wholly owned subsidiary, World Acq, Inc., substantially all of the assets and liabilities of Cellad, Inc. in exchange for a total of 80 shares of WDAS’s Series B Convertible Preferred Stock (the “Shares”) pursuant to a definitive Contribution Agreement dated January 31, 2013 by and among WDAS, World Acq., Inc. and Cellad (the “Contribution Agreement”). Although WDAS is the legal acquirer, for accounting purposes Cellad is the accounting acquirer.
The Series B Convertible Preferred Shares held by Cellad convert into a total of 80% of the total issued and outstanding common shares at the time of conversion. The Series B Convertible Preferred Shares vote on an as-converted basis with the common stock. Cellad, Inc. is therefore an 80% beneficial shareholder of WDAS. 50% of Cellad, Inc. is owned by Darjon Investments, Ltd., which is owned by Vincent Browne, and the remaining 50% of Cellad is owned by Sean McVeigh.



Acquired through one of Vince's fake shells using WDAS preferred shares, so please explain how CellAd ends up being owned by Vince and Sean. So if CellAd holds the "B" control shares and Vince and Sean own CellAd, who owned the shares? Sean and Vince.
Add to that Fabio's confusion about there being 2 CellAds, which 1 did he acquire as the 1 in Nevada is the 1 that WDAS acquired and the 1 in Delaware was renamed CellAd from Vince's shell World Acq. Inc.
Which CellAd did Fabio's private "company" buy?

Or was this a "buy one get one free."

Their PRs and disclosures just contain a bunch of "sweet smelling horsecrap" for the "DD" that contain double talk, like the PR about no RS.

GL though and keep slapping the ask, averaging down, make the shorts pay and all the other bull that comes out in "DD" to sell shares. I guess with the RS we'll never know how much dilution happened during the 2nd quarter, imagine that. Pretty convenient.
