peace....not all aboard yet....anything that happens here for the sake of avoiding (yet not eliminating) any misunderstanding will be pretty apparent
I think the vehicle is a shell and will be deemed so; needs to go thru re-org of the debts which can preserve some of the equity; form 10 which means audit (I will explain how later for the boobirds); then a registration
