  Termination Shares. In consideration for the Investor’s execution and delivery of this Agreement, the Company shall cause to be issued to the Investor a total of One Million Sixty-Two Thousand Five Hundred (1,062,500) shares of Common Stock (collectively, the “Termination Shares”). Immediately upon the execution of this Agreement, the Company shall cause to be issued to the Investor the Termination Shares and shall deliver to the Transfer Agent irrevocable instructions with respect to the issuance of the Termination Shares in substantially the same form as attached to the Purchase Agreement.
