Introduction to Infotopia:
IFTP is young and rapidly growing company in the direct marketing business. The company markets and distributes health, fitness, and other consumer products via television infomercials, retail outlets, and e-commerce. The best known products currently being marketed by IFTP are the Body by Jake Bun & Thigh Rocker (whose infomerical is currently #1 in the industry) and Total Tiger (currently in the top twenty in the industry). Other products currently on the market include the Medicus Dual 2000 and Provida Life Sciences Six Week Body Makeover.

IFTP is currently traded for less than 10 cents per share. IFTP is different from most "penny stocks" that you come across, however. Interest in most penny stocks is based solely on potential--future developments, future revenue and future profitability. With IFTP, not only does the company have great potential, it is also performing very well in the present. For the recently completed quarter, IFTP brought in more than $20 million in revenue, and this quarter the company is reporting $4 million per week in sales. In addition, the company is now profitable, having reported earnings of over $2 million for the first quarter of 2001.

Revenue should continue to grow over the next several months due to the recent and upcoming release of several new products. Adding to the Torso Tiger, Backstroke Back Massager, Ultimate Slimming Formula, and Fat Fighting System, IFTP began marketing the BodyByJake Bun & Thigh Rocker in late December and sales of this product continue to be very strong. The national release of three other major products has just started. One of these new products is the Total Tiger, a full upper-body workout system and follow-up to the successful Torso Tiger. The second is the Medicus Dual 2000, a highly-regarded golf-training device that is sponsored by Davis Love III. The third is Provida Life Sciences Body Makeover, a six-week weight loss program. Future products include the much anticipated BodyRocker by Dean Tornabene, Safeshield (a highly regarded germicidal skin protectant), the Hot Mommies System (nutrients for mothers), Jules and Jane skin care products, and others. The company plans to test numerous infomercials and short spots for these new products in the coming weeks. So IFTP is bringing in strong revenue and profits in the present and is continuing to grow for the future.

Finally, IFTP has entered into a letter of intent to be acquired by EntrePort Corporation (AMEX: ENP) for the purpose of being listed on the American Exchange. If approved and implemented, ENP would acquire all assets of IFTP and then spin-off its current business, leaving complete control with current IFTP management. ENP would be renamed Infotopia and trade using the symbol IFT. IFTP shareholders would receive 1 "unit" of IFT for every 47.328 shares of IFTP stock that they own. Each unit of IFT would consist of one share of IFT stock, 1/2 of a purchase warrant exercisable at $10 per share, and 1/4 of a purchase warrant exercisable at $15 per share. It is anticipated that the post-merger stock would begin trading at about $9 per share (equivalent to about 19 cents per share of the pre-merger stock, more than triple the current price).
