I got this response in an email from the financier handling UNGS/SIGNIFI merger.

Since the terms of the deal have not been disclosed, all I can recommend is that you should make a grid for a change of control deal and assumptions on typical mergers of this sort to come up with math to show where this can go based on comps AVTC and MDBX. Movement of the stock during the LOI period is meaningless. When the stock finds a new set of investors you will may be more constructive.
