ONCS Lets hash the trash out of this S-3 before Monday. I think as a board we can all post information and ideas on it, and come up with suggestions and strategy. Here is some stuff I have found so far:





After watching the two above videos, even though a little dated, they gave me a better understanding of what a S-3 Shelf Registration is, why Companies use them, and the false perceptions around them. Then we have this:

Most Small and Mid-cap Biotech Companies use S-3's, (even larger companies in other fields), so ONCS is not doing anything unusual. There are many ways to raise Capitol, and S-3's are not the worst way to do it. I know everyone is thinking about the elephant in the room DILUTION, and yes a S-3 will mean dilution when it is executed, how much and when remains to be seen. The one article I posted said 80% of S-3's are used within 6 months of SEC approval, and a average range of PPS devaluation is a tolerable 10% on the day of/after. ONCS is going to want to get the most bang for its buck, and in my opinion will do everything in its power to drive the PPS northward until they execute it. There are some pros to a S-3, the Company has to stay transparent and current in all of its filings while they are in possession of the S-3, which has a lifespan of three years, but as previously stated, the majority of Companies use them within 6 months, and in some cases, albeit few, are never used.

Now lets go over some possible scenarios,

#1. The shareholders of ONCS have been lied to/ duped. We have not been given accurate cash on hand and burn rate numbers. The reports about ImmunoPulse have been fudged and are not as good as let on. ONCS is just another stinky pinky, just slicker and better packaged, it is a spurious sham and we have all been suckers of the grandest order. Punit Dhillon, Veronica Vallejo, Dr. Robert H. Pierce and others have been touring the World hoodwinking Fortune 500 Companies and conference halls of PHD Doctors and Financiers, making Bernard Madoff look amateurish. Even though this is possible, I find it to be not only the least likely, but in the realm of science fiction.

#2 ONCS is doing what almost all Mid-cap Bio's do, register a S-3 so they have a tool in their arsenal to quickly raise needed funds for projects and outlays. Immunopulse works as clinical trails so far have shown, and there is more evidence forthcoming that will prove that beyond a shadow of doubt. Immunopulse has a important place in the future of cancer treatment. The books may have been fluffed a little, but are mostly accurate. The leaders of ONCOSEC know more than us, but because of strict SEC and FDA policies, are not at liberty to disclose them. I find this theory to be the most veracious.

The superciliousness of IHUB members can be breathtaking at times, but I believe all of us can conceptualize that we are not solely Capitalizing ONCS, there are investors that have nothing to do with InvestorHub. So the S-3 news may be the only exposure they are going to have before the market opens Monday, affecting their trading. The MM's and Shorts will be out in full force as well. Turbulence would be a gross understatement. Panic dumping could have it gaping down, or given the long weekend most investors could have had time to realize the S-3 is "Much Ado About Nothing" at least for now, and find the .70's very attractive. I hope to see many other contributions on the subject of the S-3 positive or negative. We must hang together or surely we will hang separately. I have no problem being unclad in my personal investment strategy, I would be a seller in the high .90's to $1.10 + range hoping for a later retrace as a buying opportunity. Affording me the ability to increase my share count without using my own capitol. Kind regards to all, Gums....
