Spring Hill’s filing of a derivative lawsuit in NY has caused the share price of Viropro to plummet 90 percent. Spring Hill is now itself vulnerable to legal action by minority shareholders based on their frivolous actions.
Ernest Stern, a lawyer with Akerman in Washington, DC., attempted to file the 8K in October on behalf of Sorensen and Peake because he planned to become the Corporate Secretary of Viropro. Conflict of interest?
Based on the Nevada ByLaws, Viropro directors can add directors to the board between meetings of the shareholders.
I suggest that the board add two directors now.
