the partner, who would have to pay some high priced attorney (no offense Bungler or BCS) to show up in court with the hold harmless if some CA atty tried to attach the potential partner to the suit.

EDIT: Now, if there are multiple partners vying for a partnership, etc., then it's which one blinks 1st. If only one, they wait for CA to be dismissed in its entirety even though the claim(s) may be baseless; you still have to defend yourself (i.e. incur costs).
