Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On April 2, 2014, the Board of Directors proposed and the majority shareholder (holding greater than 56% of the voting shares) voted for an increase in the authorized capital of the Company from 20,000,000,000 (twenty billion) to 50,000,000,000 (fifty billion) shares. No change was made to the number of preferred shares authorized. Accordingly, the total authorized capital of the Company is comprised of 49,900,000,000 (forty-nine billion nine hundred million) shares of common stock, par value $0.00001 per share; 10,000,000 share of Preferred Stock, Series A, par value $0.0001 per share; and 90,000,000 shares of Preferred Stock, Series B, par value $0.001 per share.
