No, that wasn't me. Hey, I'm not trying to drive the pps down, and I'm certainly not looking to sell any shares.....with the partnering news, I'm looking for sales and revenues to grow, along with the pps.
I don't invest to lose money. Allscripts is doing well (wish I had bought that at $7) and I think Medify has a tremendous upside. Of course, that assumes that all the recent news is correct and not just puffery. But since JB was issued the 33 mil restricted shares, it is clearly in his interest to protect his potential upside. At $1, JB and most all of us will be making money. I realize that many bought their shares at well over $1,and I truly hope they can recover all of their investment and then some. If they still have a position.
This company has 500 mil shares authorized, so there is plenty of room in the pool for more swimmers...I'd like to see this stock become something in high demand. Once the product starts flowing through the pipeline, we should do well. IMHO.
At $25.00 per share, I'll be happy, too!
I had a purchase order in with a market limit of .035. After that large block sold off at the close yesterday for .0278, I thought I could add to my position at around .030......wrong!
I added at .035. Not much movement, but it's a start!!!

I was just giving this some thought as I walked my dog and pondered the stars.......
JB was issued 33 mil of RESTRICTED stock yet he is still not on the board....either by choice, or....because the restrictions also impinge on his voting rights while under restriction. It may also be that, due to the restrictions, he isn't fully vested. We know there is a restriction on alienation....what else, conversely, flows from that? Non-voting.....
But what about pre-emptive rights? If there is a forward dividend, it might be sufficient to cancel out any voting dilution for shareholders when the restrictions on JB's shares are no longer subject to restriction. IMHO.

JB said last week that there would be a large volume of shares sold early this week....the inference I drew was that a large million + shareholder was selling out his position, although what would compel a shareholder to do so would suggest to me that the sale is the result of subtle coercion or possibly the threat of the release of embarrassing/compromising info.....
As I understand the stock option deal, the companies were back dating the option grants 1) after they were actually granted, and 2) with a direct look at the pps so as to guarantee gains by the option holder.
Again, I don't deal w/ securities law....perhaps I just set out the elements of the prohibition!! My idea looks at targeting an event, I guess, whichwould invariably be linked to a pps, but the dividend date woud apply to all shareholders of record at that time. What happens to shareholders (then) who have since sold their position? I suppose that gets sticky........

I think the limitation is that all shareholders of a particular class have to be treated equally.....so, you pick your record date very carefully.....which begs the question whether or not the record date can be set as 6-18-06, or whatever date is selected.
In any event, unless you create a new class of shares, and give them to shareholders of record date xx-xx-06, but that new class would have its own valuation, voting rights, restrictions, etc.
Perhaps a special class can be created (major corp. amendment) and then allow those shares to be converted or exchanged for common shares after fulfillment of specified preconditions, such as common stock price, holding the special shares for xx number of months, etc.
Just supposin'...........anyone else have ideas?
I realize this is off topic, but has anyone heard about a tire company called Q Tires, Inc., formerly know as Power Cleat, Inc. It was based in Lake Oswego, OR and Greenville, SC - there is minimal filings at the SEC.
Apparently, they are developing a tire w/ retractible studs for year round use.
I'm just trying to get some more info; I've already looked at their web site.

Thanks for the chuckle, BVdog. As for your query to me, I think that both a retired investor (presuming the retirement is from something other than investing) and a small-cap CEO can gain valuable insight and information from perusing ihub. Nothing like straddling the fence.......
I've been on the sidelines, mostly, reading, watching, doing some research and, once in a while, posting.
I'm invested in MDFY, too, and have really gotten tired of reading the same blather from the same people.....for those with a problem with JB et al, post something NEW. I feel like I'm listening to a broken record that keeps skipping at the same point. Today is 3-19-07, the 211 should kick in on 3-21-07......hold your peace until then. Either the filing will become effective or it won't. If it does, the shareholders make money. If it doesn't, the shareholders are screwed.
BVdog, turpinator, Bob (or Capt. Bob, I get you two confused) your bashing serves no useful purpose....and you've posted the same rants Sooooooo many times that no one regularly on this board pays you any atention, other than that you are taking up bandwidth.
Your questions raised about the 504s and the r/s and the 33 mil restricted shares are all good questions, but you aren't going to get the answers unless you sue and take depositions....don't you get it? JB has addressed those as much as he is going to, and you aren't going to ever get answers that you like!!! And even if you do, and you are/were a shareholder that has lost money, you won't recover those losses.....that is the nature of trading in the pinks......don't invest more than you can afford to lose - remember that investing caveat?
This stock will either soar like an eagle or flop like a Do-Do bird based on sales, which will either happen within the next few weeks or else, the shares will become worthless. Take your time and energy, instead, and give the rest of us useful, productive suggestions as to how to properly invest...we know one of your favorite pasttimes is bashing on ihub.....I'm sure you have other talents as well.

Why not just declare a special dividend for those shareholders of record date 1 day before the 1:12 r/s, for a forward split of some percentage?
The difficulty would, IMHO, to structure it so that the forward split/dividend would apply only to UNRESTRICTED shares.....that way, JB keeps his 33 mil and the longtermers, like myself, don't suffer the dilution created by the r/s and the 33 mil share grant.
While I'm a lawyer, securities law is not my forte; is this even doable?

How many unit sales are pending....approximate time frame for delivery now that EMIS has agreed to cease its delays.....and what penalties, if any, will be imposed on EMIS for its delays....I'm a lawyer, so it seems to me that MDFY has been irreparably harmed by the delay.......

I've been around for a long time; was there for the 1:4, bought more before the "special dividend" for DAX was announced...(if it had worked, it would have been, as my kids say,....sweeeet!), watched the 12:1 r/s......I still think that the product is good. I know the idea is great!
My wife is a pediatric nurse, so I hear complaints all the time abour records, etc. I watched Allscripts Healthcare Solutions (MDRX), which I think does much the same as Medify but here in the US, go from around $14 to its present pps of $25.68. I can easily envision MDFY doing the same thing....at least, as an investor, I would LOVE to see it do that.
So, yeah, I've lost $$ here, more than some, less than others, but I'm willing to add to my position (somewhat) because I think that, once product goes out and revenues come in, the pps will boom.
But, what exactly will the MM bring to the table besides advertising so as to boost the price and discourage the shorters who have been killing the pps? I'm really leary of Bellweather style promotions.....

I bought Medify....I sae Alscripts (sp) do really well in the US with a similar product. I still think it's a great idea, so I still have a position in MDFY.

Okay. I'm an investor...I've posted here before (call me a sucker...whatever).
Right now, I would rather hear about sales and marketing efforts. Medify has a product, there appears to be a marketing/sales channel.....a place on the NHS backbone for information/data streaming.....rather than accusing others on this board of being a liar, or a JB syncophant, or an MM pumper, let's talk about SALES. (Yes, the 1/12 RS and subsequent 33 mil pisses me off, and those ARE important issues, but...so are sales and sales projections.) That is what will drive this up from .02 pps. People want to pay for a better mousetrap.
Sell them one. Market it, sell it...revenues rise, MDFY passes its break-even point, we ALL make money as the value of the business increases.
So.
Nik and Ian, tell ME about sales, marketing, volume distribution, subscription rates and signups. I WANT TO KNOW ABOUT REVENUES. I WANT TO KNOW ABOUT SALES.
SALES. SALES. That is the name of the game.

It looked, though, like the pps dipped to .09 between 3 and 4 pm EST (I had canceled my .14 buy before then), but then the pps returned to .15.....volume for the sell and buy looked to be the same. I guess the short-sell investigation will be illuminating on this...;)
