Keeping shares---according to FRB
A friend of mine called NTRZ's PR firm and got a clarification about keeping shares. He said,
"Her point (Marilyn Meeks, FRB) is nothing is official until the Court approves the POR and Disclosure statement for mailing.
The Joint POR clearly states the shareholders are to be protected and that is the position of those two entities."

The only things that could change that might be deteriorating business conditions between now and August 11th, slim chance. Food is food. In the Plan of Reorganization, it shows NTRZ now has cash of $1,200,000. That is up from the initial plan. That is a sign that things are on the improve.

NutraCea and Creditors' Committee File Joint Plan of Reorganization
PHOENIX, June 29 /PRNewswire-FirstCall/ -- NutraCea (Pink Sheets:NTRZ.pk - News), a world leader in stabilized rice bran (SRB) nutrient research and technology announced today that on June 24, 2010, the Company and its Official Committee of Unsecured Creditors filed with the Bankruptcy Court a proposed Plan of Reorganization and related Disclosure Statement in accordance with the Bankruptcy Code. The Plan represents a major step forward in the Company's efforts to emerge from Chapter 11.
NutraCea filed a voluntary petition for reorganization under Chapter 11 protection on November 10, 2009. None of the Company's subsidiaries were included in the bankruptcy filing.

I have a feeling it will come out tomorrow. But, it is just a motion that must be approved by the bankruptcy judge. I hear others say it is a slam dunk, but the government is slow. Then after the motion is reviewed on August 11th, it must be approved maybe a couple of weeks later.
I do believe a PR will move the stock tomorrow is one is put out. I was hoping we could get creditors officially into a deal, then we could go ahead with HerbalScience and others. I am afraid we may have to wait a bit longer. But, we do keep our shares and that is by far the most important thing. Deals will come. I hope I am wrong about the deals need waiting for approval. Things are happening with HerbalScience. We owed them $296,000 in December on the first DIP plan, and now we owe them $1,200,000. Big things are coming there. It's just a matter of a couple months, maybe sooner.
I admit to never owning a bankrupt stock before, and I am not up on all the red tape they must go through.

I feel the Gulf crisis is that catalyst the "New World Order" manipulators will use to rocket food prices as well as oil, etc. First they needed to get the little guy out of food and oil. Did you notice falling oil the first month of the Gulf crisis?
The same thing happened to Gold just after 9/11/01. Gold had been in a 10 year plus bear market and when the twin towers went down gold did not rocket up like the little guy thought it would. But in the aftermath it started going up. Food and oil will do the same, I feel.

The gulf contrived crisis will drive up seafood, and that will drive up read meat. Cows and Pigs eat grains and grains will go up. Oil is used in all planting and harvesting and all foods get a bump off of that. A hurricane in the south will affect rice crops with the oil picked up. Maybe they plan on using a submarine and blasting another well??? The New World People are evil and ruthless people.
Then you got the US debt. As the dollar falls out of favor, it falls and all world traded commodities go up off that alone. Does anybody think the dollar is going to get stronger, LOL.
I really do believe the big volume on the charts I posted is "The boyz" positioning themselves for a big and steep food run. And, they even have good reason this time. I believe the rice spike in 2008 was a test run. There was NO shortage of rice, it was just hype and people got talked into cleaning our Costco's 50 pound bags, etc.

Sorry I got carried away, in other words, I am bullish on DBA, it could be a safe double in the next twelve months. I know that looks impossible for a food ETF, but something is definitely planned and the seeds were planted, by the looks of the volume, BEFORE the gulf crisis. Also, I bought because food commodities are showing a big uptick in volume the last 3 months, very suspicious. Check out the volume at the bottom of the charts. The below are over 70% of DBA's holdings. I can't figure the volume of Cocao and Coffee drying up, but I do believe all of the listed below are being or have been accumulated. I can't see them falling from here very much in the current world environment and doubt that the volume is distribution. I am gambling that the "big boyz" are positioning themselves for a big rally. I feel the downside potential is nothing compared to the upside potential.

These court filings that are posted are a day late. Today's filing from Friday that is out says that the plan filed Thursday with go before the bankruptcy court August 11th to be reviewed. It may take a while after that to be approved. Geez our government sucks. This plan was basically worked out by both sides and should be a no brainer. But we wait.

My neighbor has diabetes bad and he pays $600 a month for his insulin. last year it was $900 per month, but he got a new brand for the $600. According to a friend of mine, the new reorg plan says we owe HerbalScience $1,200,000. At the filing of BK I remember $300,000, but my friend says he remembers $100,000 at some point of time. So, things are happening at HerbalScience.

So, I am trying to tie together 5 clues
1. NTRZ owes Herbal science at least $900,000 more since BK started
2. Herbal Science is getting more extraction equipment
3. Herbal Sciences home page is all messed up and under construction
4. The new "Complete Health" which is not completed, and the mentioned possible international brand.
5. Short talking much about nutraceuticals and pharma at the December shareholders meeting.

Hey guys and dolls, the bonuses and warrants and especially the lowering the strike price on BOD members is SO OBNOXIOUS and the FACT that the UCC does not seem to care about that leads me to two possible conclusions.
1. A huge deal like a Herbal Science deal or oil deal or both are coming and we won't care about those warrants.
2. The company will be sold in the next 7 months
I really want to believe the answer is behind door number 1. The reason is that in the reorg plan bigbass posted, there is talk about future dividends to the BOD and management. No way would they bother putting in talk about dividends unless it is like a standard thing to put in a reorg plan. I tend to think they would not bother putting it in anyway if they had a buyer for the company waiting in the wings.
I speculate, you decide!!!
HerbalScience to double(or more) extraction capabilities
The article does not compare the size of the equipment to what they already have in Singapore, but it could be bigger. They must plan on doing a lot of extraction soon, could it be NTRZ related?????
This will be only the fourth extraction equipment in the world like this. I believe the US government has it, the German government has it and Herbal Science will now have 2 sets.

I was told by people who were at the shareholder meeting themselves that there were peopel there from the Pharma side of the equation. They were told the upside here is beyond tremendous. From what I have learned some of the trials have been done, but BE decided to lavishly furnish a office building instead of paying for the trials. This is money that is owed so we can get the results. I don't know what the exact amount is, but I believe it to be in the six figures. I believe getting this and further info. on this front is a priority on Short's list. I know there is ton of interest in NYC from companies and institutions alike on this front alone.
Some of this has to do with Pharma drugs coming off patent exclusivity. If these companies can tweak their receipe by adding a NTRZ ingredient that changes the formula so to speak they can extend their exclusivity before it goes to generic. This is worth billions to them. I am not a biotech guy so don't quote me on this, but I know enough and I know who is looking. If Ntrz can prove to the world that they can add value on this front it's worth a TON of money to the bottom line. There are many potential applications and avenues to explore within this realm so it should be interesting. I know it is something that BE talked about, but never did anything with. Short,is doing something about it.

I have been more worried about losing my shares than future growth. I have been in this stock since August 06 and I have never seen so much on the horizon. I believe in the next 60 days many deal PR's will be out. What company would want to ink a deal with a company with no reorganization plan?? Only a fool would do that with creditors chasing after NTRZ. Now that the UCC is settled, look for deal PR's and soon.
Just my opinion. I'm not a millionaire. But NTRZ could very well make me on in a year. I do own a ton of shares.

We are on our way, but it might be slower than some may like. Short is forecasting break even for 2012, but I believe that is with mostly known deals. Herbal Science could be huge, but is not announced yet.

The Golden Cross shows up tomorrow!!!!
The golden Cross is when the 50 day moving average crosses and goes above the 200 day moving average. The two are .002 apart today and should show a cross tomorrow. Some stocks get a bump when this happens. But, it looks like nobody is watching the stock anymore, so it will probably go unnoticed.

Weston Presidio--owner of HerbalScience WOW
WOW, did I ever find a couple of dynamite articles about the buyout of HerbalScience in August 2007, just before The JV with NTRZ was formed. It has NTRZ written all over it. It appears that Aisling Capital either merged with Weston or sold it's share to them. The last sentence of the first post really says something that may be NTRZ, "We are looking forward to building an international brand through commercialization of the technology with partners in high growth consumer product areas."
Earlier it says, "HerbalScience has a premier management team, and we look forward to working with the team to bring a new focus of quality functional food ingredients at the intersection of healthcare and wellness."
Is this NTRZ or what?????
Could this be NTRZ's future. I have no idea, just possibilities.

trop--NTRZQ is scheduled to have it's reorganization plan in on or before August 31st, final exit is unknown. They could announce if we keep all our shares or not in that reorganization plan. In reply to your other post, it would be normal for NTRZQ to go down and test the 200 day moving average after a nice rally it has had since May 1st. The 200 day is at .105 this morning. An interesting note, Z is about to have "The Golden Cross" maybe Monday or Tuesday. That is an important point where the 50 day moving average crosses the 200 day moving average. A nice little bump in price often happens when they cross, but not always.

Regarding ADM’s overall plans for profitable growth, the company said it continues to seek investment opportunities that build upon the strength of its core business model of crop origination and processing. "We will expand our origination and processing activities as market demand grows, or as acquisition opportunities present themselves. And we’ll continue to work to identify additional opportunities that can connect to and leverage this value chain," said Mills.

I am still puzzled by the DIP financing being extended to November 4th and NTRZ wants the Wells Fargo financing to extend to December 31st. To me that implies that Wells Fargo won't be needed after that date, why? Maybe their is a legal explanation and WFC continues after that, but inquiring minds what to know what's up. I hope for a bog partner such as JBS was for Pilgrims Pride who was also in BK at the time, and PPC stock closed as low as .25 before that.

thinkingStone------------First of all, if NTRZ stock were to not survive, but the company does, then NTRZ could issue new shares of options. So, the fact that he got these does not mean the stock survives. On the other hand, I doubt VERY MUCH that they would issue a large amount of options if they thought the stock was going to fail. Also keep in mind that these are worthless now with an exercise price of .20. But if the stock goes to $1.20, he is an instant millionaire. And if the stock goes that high, just maybe he is worth in it what he did to help the stock get there.
Dale Belt is the most respected CEO that NTRZ has ever had. Olga did a fine job and she helped save the company by facing Brad and basically telling him "You"re fired". Here is a little bit on Dale>>>>

Legal filings suggest settlements with creditors.
This is from the other board, the poster who goes through legal filings that you must pay 8 cents a page for says>

It looks like a lot is coming together at the same time.
1. The possible settlement of the debts settled .
2. Cadigan leaving which signals the fact that most of the BK work is done.
3. The hurry up comment on the HerbalScience appraisal to be done by June 9th.
This is no coincidence. My guess is a MAJOR announcement before the end of the month and a loan on Irgovel as part of it. At least, this is my hope.

It looks pretty good to me and I have a hunch that the former CFO(Cadigan) got his basic work done. Cadigan was very expensive and the new dude, J. Dale Belt has been with NTRZ as a financial adviser since November of last year. He is a turn around specialist and is fully involved and has knowledge of NTRZ's situation. I call it a plus for two reasons:
1. Cadigan had a huge salary
2. This must mean that Cadigan's work is done and we don't need him anymore.

1. Rice Bran oil plants
1.A. Deoiled bran from the oil processed and stabilized into a usful product.
1.B. RiBran made out of the DOB that can be used as meat filler replacing the unhealthy soy protein at 1/2 the cost.
1.C. China interested in RBO plants
1.D. Irgovel rice bran oil plant was not yet announced
2. The Herbal Science 2 joint ventures were not inked until January of 08, so all the nutraceutical and pharmaceutical potential was not known 3 years ago.
3. Stabilized wheat bran was totally unknown 3 years ago.
So Roscoe, those points and the original story of NTRZ turning waste into the most nutritious food on earth with a shelf life of up to 2 years makes NTRZ an even bigger story today.
At a time when the economy sucks and if NTRZ can get some projects rolling the stock will not have much competition form other growth stocks. I believe it possible for NTRZ to be the next super stock. Maybe not a Microsoft, but how about

The Chaikin Money Flow Index(CMF) is as green as it gets and the Ichimoko Cloud has been clearly penetrated. That was penetrated twice before on the way down, but not as decisively as now and the 20 day moving average did not cross the 200 day the other two times.

Could the new assault on Glucosamine Chondroitin help NTRZ?
NTRZ at the December shareholders meeting talked about nutraceuticals made from SRB extracts. One is for joint pain. I have no idea if Glucosamine Chondroitin will be in the product, but their is a new assault on it in Germany. I don't see and studies showing it is harmful or that it does not work as advertised.
If NTRZ's product is all natural, it could be beyond humongous. I don't know what is in it or if Glucosamine Chondroitin could be pulled from if it is in it.
It seems to me that the German story is mostly political, but a sign of the times. If NTRZ could partner with a big pharma company it could be very beneficial because I feel big pharma is behind the attack on alternative medicine.

BDO Seidman is experienced in Health Care, Pharmaceuticals and Biotechnology as well as food. They are in 115 countries and that should cover all the ones NTRZ will be in. I don't see them coming to a firm that is currently cooking the books and has no future. This should be a no brainer for the BK judge to approve them as auditors.
Also, by the filing it looks like Perry Smith has audited 2009 figures. So, hiring BDO should not slow down reorganization at all.

nsomniyak----------------June 9th is just the date Short wants the HerbalScience appraisal done. From there, a loan must be finalized and that can take a month. So, June 9th is not necessarily a key date by itself. The key is that Short wanted the appraisal done then. I think the Reorganization plan will be out before August 31st. We could get something major in June, but no guarantees.
The transparency has really increased the past two weeks. I hope it continues.
