These truckers have no idea what's going on with any of that. I doubt they even know their company is public... And that they can even own a piece of the company they work for... I've been to the office in Oak Brook and asked to speak with anyone from management, but was put off (very nicely) when they told me no one was available. I won't go back because I won't chance taking any action that's going to jeopardize the information that I do get.. I'd rather not be a pain in their collective asses (at least from their perspective) and I don't want word going out from within the company that no one is allowed to talk to me.. Some drivers and the guys in Hammond and the shop know who I am... So that would suck if I got shut out... You know if anybody went down to the corporate office and started demanding to see people on a routine basis they most likely would call the cops on you and have you removed from the property... not slamming Pro Star ... because that's probably true for any company...
Lol.... Yes... Good work if you can get it...
Absolutely positive... It was just 100% blind luck Hydrophi merged with Pro Star which, as you know, was initially located almost in my back yard. Prior to the merger, I had contacts and knew a few drivers for Pro Star. I speak to several owner operators for Pro Star from time to time, having a lengthy conversation with one around Christmas time who has been with Pro Star for almost 2 years. I get good info from these sources about operations and Pro Star clients and use multiple sources when possible to confirm information I've received.. Additionally, I dig for information on a daily basis. Sometimes it pays off... I am not in any way affiliated with Zaric or the company... But I am a loyal shareholder
Hahaha.... Not sure my friend...... He is determined though, isn't he....
I remember that as well...Amen.... I know they owed Roger some salary... They also issued him a series A preferred stock woth 12 or 14 million shares.... I'd love to see that gone with the deal as well. as well... We're just gonna have to wait.... BTW, Roger is back in business with Unique Electric Solution of NYS, LLC. electric drive systems for trucks and buses...
Terraserver.... Unfortunately, they just started pasting tiny "Not For Distribution" labels over the newer images, but you can still make out everything in the photos... Its just a little annoying... I suspect the same amount they feel when I look at their photos for free... :)
Yep... BTW, not that its that big of a deal, but, were supposed to get new FMCSA data this week (according to the website's monthly posted release time frames for 2017 )
Sorry, TJ, I didn't know you posted the info from the 10 k/t. I was re-reading it at the time...
Agreed, absent the overdue filings its hard to assess what is left. We know roughly 44+ million shares were issued to Magna/Group 31 in early 2016 pushing our O/S to the current 407,800,000 (rounded up) shares. Other convertible notes were due (at various times) during calender 2016 and it APPEARS (with no fiings we can't say for sure) those notes were paid as the O/S has not changed.
I think the only unknown left concerning outstanding notes is this tidbit from the bottom of the 10 K/T
Convertible Note Agreements
From January 1, 2016 through April 4, 2016, the Company entered into various security purchase agreements with two lenders for $451,250 in cash. All of the proceeds went directly to Pro Star. There is no stated interest on any of the notes. The maturity of the notes range from August 1, 2016 through April 4, 2017. The note holder may convert the notes at any time after the issuance date into fully-paid non-assessable shares of common stock equal to a fifteen (15%) discount from the average of the three (3) lowest trading prices in the five (5) trading days prior to the election to convert.
I can only assume its some of the overdue financials.
No particular reason, I just felt it wasn't necessary to name him. I believe any shareholder out there who would rather not take my word for it could find the information in a few minutes time with what I provided.
I"ve been on this Pro Star Auto Group (automobile transport) research since the company was created and started using our Hammond, Indiana address on Clay Street early last year. On a trip to Hammond last year I was told 6 car carriers were on their way and the info turned out to be true. Just from FMCSA data alone PSAG has 10 trucks. Prior to November of 2016, several of those trucks were leased out to Maybach International Group and White City Logistics. You can cross reference the license plate info from inspections and accident info from those other two carriers if you want, but you can save yourself the trouble.
PSAG has also just recently registered with the state of Illinois as a corporation doing business here. It's listed as a foreign entity and its incorporation is in Indiana. Apparentl, Pro Star Auto Group will be doing a substantial amount of business in Illinois and I think that's what prompted them to list here as a foreign corporation. Still, there has never been an official declaration that Pro Star Auto Group is part of pro Star Freight Systems. It sure seems like it is, but we'll have to wait and see.
They refuse to say if they're doing the hauling and storage of those vehicles, but they havent denied it either. That address, 9735 boggy creek rd., is leased to Premiere Trailer Leasing. Premier also has the small lot across the street from Pro Star. From what I understand, Premier hasn't used that lot for their own use (trailer storage) ever. Now, a couple of years ago, an entity named Global World Management leased that property from Premier... GWM was in the business of auto transport. A business which never really took off as the concern was dissolved in 2015. The interesting part is the owner of GWM is now affililiated with Pro Star. I won't name him, however, its just another intersting development. Again, the info I've developed is not enough for me to say we have a hand in that business (whatever is going on at 9735) yet.
Wealth, the information I've gathered from multiple, dissimilar sources, confirms rapid growth, As I have previously posted, the truck operations in Florida have expanded to the point where we're using all 8 acres. (7.74 to be exact) of our property down there. The owner/operator segment of the company is the catalyst. In the last few months, the influx of Cuban born owner/operators and company drivers (from Tampa and Miami) has boomed. Additionally, these Cuban connections appear to spread to New Mexico (Albuquerque) and North Carolina (Charlotte). My investigation into these two locations has just begun so I will not declare for sure we're putting roots down there just yet. For fun, anyone can go to Terraserver and search 9721 Boggy Creek Rd. Orlando, Fl. and click the most recent aerial photo and see the Orlando expansion for yourself.
Hopefully that's all the house cleaning left to do. Lets get the name/symbol changed right away and get some numbers out.
Depressing.... What a rat's nest...
Great, isn't it. A 100k fine for a firm that size... No one will stop this crap. On principle, it's every bit as bad as Gould and Fisk printing fake stock certificates in the 1860s to defraud Vanderbilt...You know, the DTCC (private firm owned by bankers and brokers) clears ALL trades... and gets paid on every single share traded... They will never stop it. They say they "cant" (there's a flipping difference between can't and won't) do anything about it. They point their finger at the SEC, the SEC points back. No one does anything... Look, at the very least, the uptick rule should be reinstated, but, naked shorting should be abolished. Let the price move up to find sellers if necessary... and let the buyer beware.
Yes... Check all the time. Pull as much data as I can. Couple of inspections in Montana. Nice to know we're running new routes.
Ok, was just curious. NITE has been shorting to fill even small orders the last few weeks. Even when showing lager lots on the ask.
Nothing.... Have they stepped in for NITE?
Been some odd things happening since before Thanksgiving. We've had over 50% off all trading volume shorted since 11/23 (Per OTC Markets). Obviously, there hasn't been an awful lot of volume so I'm not making a point by bringing it up... Just posting the fact... Additionally, I've added 2 times (at the ask) during that time period. Each time I took what NITE was offering and both times they had to short the majority of the shares to fill the order (time and sales matched to OTC Markets data for the day). Again, just slightly odd.
Doesn't look like it... Our patents are pretty specific. They cover an electronic control unit which disperses hydrogen and oxygen when it's used as a supplemental fuel in an internal combustion engine. The second is simply one for water vapor management in proton exchange membrane fuel cells.
Nothing I can find....
I stand corrected... 84.9%. 80% in the form of Series A Convertible Preferred Stock and 4.9% in the form of Promissory Note(s).
I'm not at all suprised by the share count. I think Zaric has 84.5% of the company. I seem to remember that number from the merger agreement when you add all his holdings together.
Hope they're not silent too much longer.
Sure... One of Zaric's small trucking concerns. Vant remember his partner(s) names. Dissolved this year...
Getting back to Florida, my belief is we are doing some international cargo shipping from the airport in Tampa. Something else I'm checking on is a new relationship with Amazon. The have 2 huge distribution centers in Florida.
Like I posted the other day, we have almost a million in notes coming due Nov 23rd. If you read some of the provisions which would trigger early conversion, its not too suprising the company has said nothing and has held on to financials... I dont know what Magna will end up getting in the end.. Cash. Stock, a combo of both... Dont know...I am pretty sure Sasson cares a little less about us right about now... The boxing movie he helped produce, Bleed For This, opens soon... We're very small potatoes for Magna, now...
As far as the NM plated trucks go (or from any other states other than IL, IN, or FL) these will be independant owner operators hauling for Pro Star. We make more money in the end as the owner-operators are not employees, per se. From what I understand, the company began to shift harder towards this model in May of this year. Ive met several owner operators who reside in suburban Illinois. Some of these drivers even lease the trucks from Pro Star directly. We have company owned trucks driven by employees, company owned trucks leased by owner operators and owner operators with their own equipment hauling for us. As far as UPS goes, yes, the Florida boys hauled for UPS prior to them coming on board. We still do. I have it on good authority the Orlando operation is running 75+ trucks from that base now. One thing to remember, logistics firms are ALWAYS looking to move loads. We work with them to provide the trucks for those loads. We can and do go anywhere based on the work tossed our way. Pro Star has steady clients as well that contract directly with us.
You mean the truck with the New Mexico registration? My thought is it's an independent owner-operator.
Just under a million in notes due on Nov 23. HPTG must have already paid the $262,500 which was due 3 months ago as we didnt see any jump in A/S after that date..
New Notes
The Closing Cash will be funded to the Company by existing investors in the Company in exchange for the issuance of certain convertible promissory notes (the “New Notes”). New Notes representing $1,250,000 of the Closing Cash will (i) have a term of one year, which in certain circumstances may be extended by an additional nine months, (ii) accrue interest at 10%, (iii) have a conversion price equal to a 20% discount from the average of the three lowest trading prices in the five trading days prior to the day that the holder elects conversion and (iv) contain standard events of default. New Notes representing up to $262,500 of the Closing Cash will (i) have a term of nine months, (ii) accrue interest at 10%, (iii) have a conversion price equal to a 15% discount from the average of the three lowest trading prices in the five trading days prior to the day that the holder elects conversion and (iv) contain standard events of default.
I understand that..... We've had to dig on our own for most everything....
Wasn't that an old telecommunications company?
I was leaning towards PSFS... Which is still available...
Or ASNH (ASN Holding Llc), which is an actual company formed by Zaric in the state of Indiana... I have always thought he could fold ProStar Freight Systems, Pro Star Auto Group, Pro Star Truck Center and any other business under that tent and enjoy the Indiana tax savings (over that of Illinois). We have past press releases alluding to moving to Indiana for the tax advantages...
As a matter of house cleaning, I had posted a while ago that two of the original officers of HPTG, John Durham and Phil Levin still owned a substantial number of shares of stock. Going through the recent 10-kt of August this year, listed under item 13, it appears Durham returned all 30.4 million shares to the company and Levin returned 8 million. There was a line in the merger agreement about those shares being returned to the corporate treasury.... I never knew where the came from... Sorry for any misunderstanding as I had incorrectly posted their holding a little while back...
Agreed..... Hoping for the name change also.....
I know... I still thank him for that. The guy still answers my emails.
Even simple stuff doesnt come out. For example, I posted a while ago Maybach International picked up over 20 old Pro Star rigs. We replaced those with with newer Volvos. They're all in the Hammond yard. This happened in June/July when they cleared off the rest of the trees from the property.
I know.... Maybe someday this will all make sense...
Thats what I tried to do in Oak Brook a few weeks ago. I was told there was no one in the office authorized to speak with me. Tried the old CEO as well...
Nothing....
Yes. 1000 Jorie Blvd. in Oak Brook, Il. I was there a few weeks ago. Pretty standard office space, but everyone there seemed quite busy. According to an a freight broker who works with ProStar, they have quite a substantial portion of their operations in Serbia. In his words, it keeps the costs down.
Lol... There are some pf us that'll always be adding shares as long as the company is umdervalued by such a large margin. Like 6 pack said, I'll wait year(s) too if necessary. I enjoy owning a small percentage of a growing trucking company. I'm not sweating anything on the business side.
Hopefully they update their website with new info. I would like to see them merge their Orlando facebook page to include all of their locations and office facilities. Kudos to those who were able to grab more shares... You've probably pissed some people off by dashing whatever plans they had for today"s trading.
Correct..... Remember, Zaric has already created ASN Holding Llc in Indiana late last year... They already announced the move to Indiana for tax reasons... Waiting for the execution.... Not sure if ASN will be involved....
