Star Energy (OTCBB:SERG) and its newly registered subsidiary Anglo-Ukr Energy (AUE) announced today the acquisition of rights to three Ukrainian oil and gas projects. The projects, Region, Dewon and Bukovyna, are comprised of seven oil and gas fields with estimated reserves of over 100 million barrels of oil and 150 billion cubic feet of gas. Two of the fields are currently producing and with refurbishment are expected to substantially increase production.
Through AUE, Star intends to promote and expand operations in Ukraine. The subsidiary headquarters will be located in Kiev with planned regional offices in Ivano-Frankovsk and Poltava.
In addition, Star Energy Corporation has joined the American Chamber of Commerce in Ukraine, a move which will strengthen Star’s position in the region.

Proposed transaction
1.1. Overall economic premises
Strong natural resource prices on the international commodity exchanges promise to keep valuation of the resource-backed assets attractive whereas international political stability is lacking. One of the most attractive valuations that are available in the international trading area is the assets located in Russian Federation. Country with over 50% of its export connected to hydrocarbons is still perceived as Emerging market on the international scene.
Recent years of political stability in the country and very attractive resources prices made “emerging” status of Russia and risks that external investors associate with it quite overestimated. It is obvious that with macroeconomic position where GDP is over 800 bln. dollars, stable growth and targeted inflation at level below 10% investments in Russia are much attractive than in early 90’s when economical development has began. Today country, industry and company specific risks are rated much lower than before.
Yet the handbook for investors in Russia shall include certain cautious statements. All kinds of marketing and commercial survey might be of a little use in Russia when it comes to a ground and only assets with firm and proved cash flow generating abilities shall deserve fair international valuation.
Oil and gas sector is the one that deserves the most attention in Russia due to its clear cash flow outlooks and understandable market-driven price building. However the major players on the Russian hydrocarbon scene are represented by state-owned or state-affiliated companies. Consequently there are not so many private players that have a good potential, sound shareholders’ and management position and are for sale in Russia.
Many businessmen want to play on that and try to attract the capital on exploration of the freshly bought exploration licenses with some fantastic prospects and attractive valuation. Such proposal shall take a fair portion of investors’ attention but shall be clearly recognized as risky and probabilistic investments. Good oil and gas assets that already have a track record, good corporate practice and concrete evidence of its cash-generating generating are rarely on sale.
1.2. Regional map of Russian oil industry
There are several regions in Russian Federation where extraction of hydrocarbons takes place. Such regions can be divided into three major parts:
1. Most attractive, very rich resource, good infrastructure, well studied and developed regions;
2. Very attractive, potentially huge resource, poor infrastructure, almost no development and comprehensive study regions;
3. Quite attractive, good resource, well studied and developed regions.
First group is primarily located in the Western Siberia with the richest fields in the basin of Ob’ river – Samotlor, Surgut, Megion, Tyumenskiy region. This fields in such regions are fairly developed and studied. Extraction costs are quite low and allow for huge net backs. In most centers of the oil production, extraction has been done for many years and decades that ensured a good condition of the local infrastructure, good labor market and competitive side services quality. This regions are the most attractive and are associated with relatively low risks when the relatively high initial investments are accompanied with extraordinary huge possible pay-offs. Such regions are the perfect objects for investment except for one significant fact – these regions are already home fields for Russian major players like Luoil, Surgutneftegaz, Rosneft, TNK-BP and others. It is practically impossible to compete with this companies due to their huge political and financial resources, so such regions are closed for medium-size international and local investors.
Second group of the promising regions are those that potentially will extract up to 50% of the Russian oil. However today such regions are remote, undeveloped, not sufficiently studied and very capital-intense to be the hot stuff on the market. Such regions are located in the Eastern and Northern parts of the country, Yakutiya, and the shelf of the seas including Barents Sea, near Yamal and Sakhalin. These regions potentially contain a huge amount of hydrocarbons and will overtake the leading positions of Western Siberia, however today it requires a lot of efforts and financial resources to investigate, appraise and develop such resources. Government is trying to create the favorable conditions and welcomes direct investments into these regions but such capital expenditures can be recoverable for the international and local oil and gas giants.
Third group of regions is primarily located in the Volga-Ural region, including Saratov, Perm and may offer small to medium sized fields of hydrocarbons. One of the major advantages of the region is that it was developed for a long time which created a perfect base and infrastructure. There are a lot of oil and gas professionals that are available on the local labor markets, there many private companies, research centers and institute that render their services in the exploration, interpretation, drilling, extraction and other side services at highest possible level. Thanks to a long extraction history, the surface and sub-soil resources are well studied and fairly appraised. Second most important advantage is that the region is not of great interest from the side of major local oil and gas players which saves the business owners from heavy competition especially unfair.
1.3. Local partner
Taking into considerations all the facts about the regional map of Russian oil and gas extraction it is fairly obvious that neither competition with oil giants nor huge capital investments burdens might be of international financial investors’ interest. Such investors shall take a close look on the assets that are located in the secondary areas with good infrastructure, attractive lifting costs and reliable track record. Among others the most prominent for possible investments in the oil and gas sector is Volga-Urals region.
Besides the right choice of the region where a good investment shall be done, the crucial point to succeed in investing in Russia is to find a reliable and experienced local partner. 4. The Moscow-based television studio Pilot-TV may be closed down because the NTV channel stopped broadcasting its satirical program entitled Krasnaya Strela [Red Arrow], the studio’s art director and shareholder, Alexander Tatarsky, said.
Pilot-TV producer Sergei Ionov reported the NTV Legal department terminated their contract before it expired. No explanations were given. “We have finished all the issues we were paid for. We brought the last one to NTV yesterday. It is devoted to the summer vacations of deputies. It’s a pity viewers have no chance of seeing it,” Ionov said.
Tatarsky expressed apprehension that other channels might refuse the studio’s services. He also recalled that the TVS channel failed to pay roughly $600,000 it owed the studio for the Tushite Swet [Light Off] program.

the link investor referring to no longer works - - you know the one, you commented on it on the past - - from berlin posted it and cmzio drew attention to it, and you remarked how interesting it was, it had a picture of the check based on the assets and an audit report from rsm. I think investor calling it zug pdf because i have been noting how the deal was done in zug switzerland (in order to differentiate from legace bond issue which was only 10 million - - the zug one much larger, I think).
re: other post salnikov: wasn't trying to be contrarian or to imply salnikov a bad apple, only to point out a russian was in fact on the Monimpex side of things who was capable of things, not necessarily that he did:)(if in fact that's what it was) - - no reflection on malyshev, dogvan ect. just because they are from the same country. . .Lochan may have a point; there are Nord russians we know little about namely Kuznetsov and Bratchikov. any slivers of info you can find of them (I have given up on it, can find nothing, starnge, the one guy was Yukos big-wig, you'd think there would be easy yandexing on him) we might see more clearly how all this went down. one of them "acquisitions" expert, along with consultant on the sale matossian.

How much time I spent trying to figure out the petrokazakstan connection to Nord . . . my assumption is that they were engaging in "plausible" exaggerations rooted remotely in reality, but for the most part not credible. As of now i take petrokazakstan as merely a sliver of info, a piece that hasn't fit the puzzle yet.

as for how parkin and makarov came together go back in my posts and read stuff about NEWTECH BRAKE and INTERNET VIP (makarov) and SDIL for Parkin and makarov. Sdil had a contract with the russian press union to bring montreal gambling machine technology to the press union lottery called "press loto" Makarov, via internet vip was working with two russian generals at the Russian interior department trying to bring voip technology to set up telephone communication between eastern europe and canada. they only got one contract in Moldavia. makarov's business partner was Ilya Gerol, a man involved in Latvian media who defected to canada from soviet union and who became an editorial writer in Ottawa. stratton stevens (friend of former PM pierre trudeau) who was President of Nord Oil was involved with sdil with parkin and makarov as well as with nord. these companies and their sec filings make interesting reading for anyone interested (except sdil, which is canadian and has no filings - - see my posts on Rosaire Bachand for sdil history info).
I have a lot of this history in my post history look for post about Rosair Bachand and around that time for some of the details the "prequal" to the Nord-Aurus story - - where you can begin to see Monimpex forming as a proto-entity in the general vicinity of sdil, internet vip, and newtech brake.
Safarov of monimpex was involved with sigma oil - - i have poted on that recently in my history with a link and some musings. Safarov was the lawyer for the serg deal with another jalovian for their assets.
Monimpex partners in russia: AMT Sistema Lines - - recent eik post to me in response to a question provides link to that entity, I am googling names and address to see if any further insight can be gained from it. It looks like a moscow medical supplies and real estate company - - the medical supplies part makes me think of MAtossian who arranged the Nord deal with NWOG, but just a hunch.
makrov and Ilya gerol, I think, own real estate just near red square together that they leased to others in newtech brake - - I speculated on a possible address match to a "caucasian kitchen" restaurant that seems to match but which I have been unable to confirm.

I want to make sure you know that I have total respect for your work. I find what you are saying about Parkin credible and interesting.
For a long time I would see parkin attacks and post things like "what about safarov" or "what about Makarov".
Canadians and Russian are corrupt, Americans aren't LOL . . .:)
