Nevada is one of the more corporation friendly jurisdictions. Lots of new cannabis companies there too. I know that my theories are far fetched, but a better deal could still come. Can I hold for that event? So far I am.

Taking $1 mil to pay off debts faked me out as it seemed a prelude to a reverse merger, and I want to loosely connect it to the words "bridge financing" in definitive proxy. The expert opinion on that move was done to dissuade folks from suing them for it. They made a business decision and took the million.
I am encouraged to hear that it is business as usual at this time. Kyle and Jake are in a honeymoon stage with Ply but the largess of that relationship may not trickle to shareholders. That could happen.
The proxy says negotiation continue with Ply and they are already working together. The Vapor Hub website has better brand name reputation than Ply has alone. Ply probably wants it as it is all about products that Ply just bought.
They can sell the now debt free shell in a reverse merger. They also retained the ability to negotiate with unsolicited offers. There are hundreds of cannabis companies in California. Any number of them might be looking for a clean shell to use to go public. Here is such a unicorn.
The SEC won't list cannabis companies, so the only way to go public for a US pot company is a reverse. Unsolicited offers could come and could be wrapped into the resolution or warped into something new fairly easily.
The Winthers are also keeping good notes on their negotiations, and they like to bring lawyers along (to cover their asses). Anyway, they want to make money too not litigate VHUB for the next 3 or 4 years. There is more that may happen for those willing to hold but it's still highly speculative.

The shell would be a good target for a California cannabis company seeking a reverse to go public. It's the only way to get there for pot companies.
So they owe $650k and it's gonna cost them $150k more to earn another $400k. Perhaps a good thing they got the $1m for the IP and patents as it means they will clear $200k after all expenses, add the $400k from sales and you end up $600k to the positive.

It is outrageously cheap to grow weed outdoors, and in Colombia one can grow plants of the highest quality for about $30 per plant year round. When it is grown under lights in can cost $1 per gram or more, about what the Canadians are shooting for to be profitable.
That could turn into a pumpkin or a pot of gold. I am hoping for a pot of gold but the company is going have to deliver a ton of coal before we see anything.

In Washington and Oregon, probably even more so in California, marijuana companies and vape stores are like two peas in a pod. The leases may have value and a vape store/tobacconist is a very similarly land use compared to medical or recreational marijuana.
An interesting game is being played. Perhaps a third party is fishing for Ply AND VHUB or perhaps they liquidate as promised.
