Private company owns 95% of the public shell. So the company owned o/s is back in the a/s pot.
Not true. McCusker Holding is a separate entity from Will McCusker, legally, the shares owned by McCusker Holding (the 95%) of O/S is where they will dip from for the shares to Will. It goes like this.
190,000,000 Retail Float
300+million restricted for Will
PIPE Investor share restricted
=O/S
A/S will be the remaining that isn't allocated except for future use at the companies discretion.
I think we should be logical in assuming that they will not be adding what is it something like 38 billion shares to the A/S for ownership of 95% That would be asinine to think and they know it. It would be a fatal blow to the s/p without chance of recovery. Nope the company owns it's own shares and the testimony to that is a 52 week high with 75 MILLION VOLUME ONLY
Americans seeing investments like this is one reason for stock market crashes. Everybody wants no risk/ all reward. I think stocks should have a minimum hold of 30 days. You take all the risk or you get little reward. Simple as that.
Nice find. Isn't this getting exciting?
They are adding 302 million for the shareholders of McCusker Holding, i.e. Will is getting 300 million shares of ORRV common. It's mostly still in the air regarding a few points, but we are exactly where Will said we would be. He asked us all for patience and that's my diligent duty here imho. We have no reason to think this isn't moving forward as planned. That merger agreement is pretty definitive. And again today we have a 52 week high and still only a volume of 75 million? That is a whole lot of shares that are NOT trading freely. IMHO no need to increase A/S because MCUS owns 95% already and will be distributing from those shares. O/S here is 5% of 1.9 billion or 190,000,000. After today there is no question.
If I sold yesterday I would already be back in. No two ways about it. Recoup your losses. Get your position. Because .003 and .01 are a pretty big leap to buy back in at.
Todays PR confirms that the merger is 'part' of an APO. And the merger agreement confirms no R/S. Minimal dilution. Fact is, McCusker could blow us out of the water if he wanted. It's his choice. He could make one blank check share to rule them all if that was his wish. Nothing we could do. But his decision has been to keep confidence in his 17 year old thriving company. New hires, new products, an exciting insurance/warranty company? Out of the park!
PIPE Price will = New Trading Price Whatever the investment bank evaluates the company at will be the new price. End of story. IMHO all buys here go up bigly no matter your entry today. Still not tons of eyes and pockets on this.
Oh please dump me these shares PLEASE PLEASE!!
Weird I didn't sell any of my shares yesterday so not quite sure what you are talking about? Are you referring to those that tried to leave everyone with the bag and ended up selling their own? Must be. Still have mine.
.0038 goes and we never look back.
McCusker is very stand up. Very responsive. And now with whomever is working on the marketing here with Twitter, etc. Great job here guys we held down the fort here.
That marketwired PR puts a whole lot more eyes on this.
choo choo
Thank you to all the newcomers for the great DD and support of the merger. And congratulations to all that didn't dump yesterday. I still have my bag and hope all of you do as well.
It's his twitter. He can't not be reporting what he deems accurate. That is like saying just because donald trump says it on twitter means he didn't actually say it. McCusker Holding Company, in fact, makes tweets. Therefore they are valid for the company.
Twitter confirms no R/S. Twitter announcement supersedes the agreement. Twitter is official according to SEC.
Here is one reason I believe this cannot be true. 3000 shares per person no matter what? 3000 divided into 3 million is only 1000 share holders. I myself would have 4600+ And the O/S if it is really 1.9 B, would equate to 4.6 M @ 300:1 Where does the 300:1 come from?
Twitter is official. The company has spoken. The tweets supersede EVERYTHING!
According to Will McCusker, CEO of McCusker Holding Company and ORRV, my shares in ORRV represent a stake in McCusker Holding Company. Have from the start. So I will continue buying with that in mind. Especially with the non-forward looking, factual, provable, SEC acceptable tweets by McCusker Holding Company, I am confident that the R/S will not happen. Been confirmed time and again. Emails, Tweets, PRs, all pointing toward great news for owners of this stock.
How can Adam Tracy merge a company that he is not the CEO of? Hmmmm. Maybe I'm the one doing the merge, too.
Not true. The merger is old. Check NVSOS!!! Will McCusker is the CEO and NOT TRACY. Yet Tracy signature on the merger document? Hmmmmmm!!!!!!!!! McCusker has owned ORRV for well over a month.
Important to me is the fact that him saying no Reverse Split is not a forward looking statement. It is now a fact. There is no way to lie as the CEO of both companies on Twitter. He does not get the same luxury of safe harbors there. Twitter is gold coming from CEO.
Riddle me this. Adam Tracy is signing this merger agreement as the CEO of ORRV. He in fact has not held that position for quite some time. THE FACT ISWill McCusker is calling all the shots here. Tracy has been long gone for quite some time. McCusker Holding has owned those one billion shares PLUS because Tracy bought them out when prices were low can you go. Follow the volume leading up to the PR announcement of the merger. It's been a done deal for so long that McCusker Holding has had ORRV on their website.
Here is the kicker. If you believe this then business as usual. If you don't, you can sell me your shares in the morning.
Incorrect on all counts. Volume today confirms that McCusker Holding owns 95% of ORRV shares, effectively they are A/S and not O/S. Do your calculations from there.
Big kicker here? With the sudden drop today, I think we see a clearer picture of the actual outstanding shares here. Killer drop because of a miscommunication and then sudden spike and we are still looking at what? Less than 6% of the stated O/S trading hands today? 111+ MILLION SHARES after a wash?? 6% AFTER A WASH???? five million or so being pre-news trading? If we don't R/S for real, our shares really are golden here. I was honestly tempted to hype sell today and I am so glad that I did not see the price until it was at bottom, past the point that I was willing to not see things through. Still looking GREAT here.
Can someone that is extremely smart follow all of the wording and explain precisely what is happening to each share as it stand now? Thanks.
But the real O/S is 95% of what is stated so dilution after our shares are multiplied 20x then multiplied by actual company value, and then multiplied by p/e ratio....so were looking good here no matter what anyone says.
Yeah and the Frank from Saugatuck Capital is Frank Hawley Jr. so TRY AGAIN
You have the wrong Frank there. He is not a Junior. So try again.
Boom. Popcorn ready.
The volume says it all. 190 million O/S? Yeah right. From where this was before McCusker made the announcement, every single share would have traded hands time and again. These are the same weak hand shares being traded constantly. Long here will not be scared off of our shares.
Here is an excerpt from the company website. Fully within TOS and fully on topic.
According to the company website and all other information given by the company, McCusker Holding is trading under the stock symbol ORRV. McCusker Holding owns McCusker & Company, which is all anyone needs to know. The OTC website is a copy and paste from McCuskerCo.com and if someone needs help following the DD there are many here to support your efforts.
That was certainly unfortunate. I'm glad McCusker swiftly took care of that. The company itself is very upstanding in the community.
Exactly! Where is the pump? Two options. Scam of the year or Story of the year. Take your pick and invest accordingly.
There is no need to argue. The facts are the facts here. Don't let any of this boil your blood, the company speaks for itself. We are on a train going somewhere, and the same few shares are getting traded back and forth for any of the volume we see. There are so many longs here and plainly no shares to be had. End of story. Soon someone will scoop up the last of what's available and with all the updates and changes it's out of the ballpark. Doing it right!
