Once the SEC/FINRA started making it hard for pink sheet companies to play the type of games YA & NEOM were playing e.g., death spiral funding + multiple rounds of reverse splits AND 2. the key patents expired - THERE was not enough stock dumping and lawsuit revenue flowing back to YA to keep the company public/reporting AND pay a "CEO" $500K a year plus bonus to manage a part time CFO and one developer keeping things running.
YA foreclosed and "auctioned" off the assets (to themselves in a private, controlled auction), and set-up shop as NM, LLC so they could more efficiently and as such more profitably mop up any remaining lawsuit revenue. You see, patent owners have 6 years after a patent expires to continue with lawsuits regarding infringement that occurred prior to patent expiration.
NM, LLC has now been at that for about 1.5 years now, suing companies with the expired key patents -- companies that NEOM formally placed on notice -- and they have 3.5 years to go. Once time runs out, NO more revenue.
That's not a model to go public with in a reverse merger and would defeat the purpose of taking the expired patents private in the first place.
Other models?
The former NEOM's key patents? Expired. Okay, someone will chime in here about other patents not expired. Those other patents never made the former NEOM any money and no one wanted them on several occasions when they tried to auction them. That includes the "clearing house" patents. Worthless except to maybe patent trolls.
The former NEOM's licenses? Were not recurring revenue. The only "licenses" NEOM wrote came out of covenant not to sue (CNTS) deals so companies could avoid lawsuits. No one ever needed the former NEOM patents to operate. NEOM did not invent QR Codes, DENSO, a Toyota company did. NEOM invented the model of suing companies that used QR Codes.
The former NEOM's code management platform? Companies never wanted their outdated platform. Like with the CNTS, the companies that used them were forced to as part of the terms. NM, LLC runs the same outdated platform for show so that they will appear less a patent troll.
The former NEOM's App? Scanning apps don't make money. The only company they showed innovation, Shazam was acquired by Apple. Besides, Apple, Samsung and the other Android devices now scan codes within their native camera apps.

I'm not going to give you a lecture in patent, securities and foreclosure law but let is suffice to say that it was legally more clean and efficient for the YA-controlled NM, LLC. to "acquire" the patents at the "private" auction.
Be Confident: NEWS ALERT. If you are referring to your stock ownership in NEOM, you own nothing. NEOM owns nothing. NEOM lost everything when it defaulted to YA and all assets were foreclosed on years ago. YA is not going to come back and "save" shareholders. That you can believe.
