Be Confident: Regarding this most and what you wrote in a previous one, "Subsequently, when revenues have scaled and conditions are ripe I would anticipate a reverse merger into the shell NEOM."
There will be NO reverse merger. NM, LLC. was clearly created to mop up the last lawsuit revenue as cost efficiently as possible. The public company NEOM -- with out-dated technology, a CEO making 500K per year, and one developer under her management -- could not build a business or make the dwindling lawsuit effort profitable (with expired "core" patents). Hence NEOM was forced into default. When NM, LLC completes it's trolling efforts, I would expect the LLC will be shut down.
jack: pop: I don't know whether to laugh or cry.
Be Confident: Oh. I forgot. That was all in my opinion.
Be Confident: ...and what exactly is your point? ...and what are you trying to prove. NEOM lost all their assets to the private, YA-controlled NM, LLC. NEOM shareholders have no ownership in NM, LLC. Okay, though years ago you thought this would be a good investment. We'll what you did not account for was how the system was gamed to screw you. "They" gained everything they wanted, you lost everything. Yes, you were suckered. Move on already.
scania4: At least we can agree on something! :)
scania4: Your comment makes no sense.
scania4: It's clear based on the facts that you spread incorrect and misleading information. Someone that does that either because they genuinely intend to mislead or because they are a fool. Which are you?
scania4: ...and everything you and others spread incorrect and misleading information there are those of us here that will call you out on it. Just as you are free to post "your opinion", so are "we".
scania4: You are not simply expressing an opinion. You are spreading incorrect and misleading information. That makes SOME of what you write a problem for others.
scania4: There is no longer any question that NEOM lost everything in the default.
scania4: NEOM no longer owns any patents. Whether the patent applies or not does nothing to help NEOM shareholders who have lost everything. What is it with you guys? jacksira: these guys are unbelievable.
scania4 To an unsuspecting public who does not realize NEOM lost everything in a default and will stop trading as soon as the SEC catches up stoping the shares from trading.
scania4: I think it disingenuous to start referring to NEOM as NM when another company NM, LLC has acquired NEOMs assets. To do so can create confusion to those who are not closely watching or understanding what has happened.
I trust that was not your intent. Or, was it?
scania4: NEOM is NOT NM, LLC. NEOM no longer has any patents. NM, LLC is a private LLC. What don't you get?
scania4: it's over. respectfully I submit to you it's time to move on.
jacksira: agreed
scania4: Of course it's a trap. You already know that NEOM went into default, lost all assets, IP and customers and no longer has a business, CEO, or staff.
scania4: The assets were seized by YA. At the auction NM, LLC. acquired the assets from YA by having the winning bid. That's the difference you fail to understand.
scania4: That does not matter. The assets were acquired by NM, LLC a privtate LLC. NEOM no longer owns any assets.
scania4: I'm not interfering with anyone's right. I have a right to provide my opinion and inform others when misleading statements are made.
IamBaphomet: Insult? You say that after insulting Pop in your deleted post? Okay, whatever. My apologies if I hurt your feelings.
I just can't stand the misinformation that NEOM survived the default or there is hope for NEOM shareholder. I don't want to see new, unsuspecting people buy into this sticker and instantly lose their investment.
IamBaphomet aka IamFool: To be clear. No miracles in regards to shareholders getting a return on their investment in NEOM. That is lost. There is still hope for the world.
IamBaphomet: Look elsewhere for a miracle. None are happening here.
Bentobox: We all agree that Neomedia Technologies Inc. is NO LONGER A REAL COMPANY The point is NEOM shareholders do NOT own shares in NM, LLC. Your statements in that regard are wrong.
Bentobox: When NM, LLC took of the NEOM website they did a global find and replace of their name. In fact, NM, LLC is NOT a public company. NM LLC is a private LLC with members NOT shareholders.
Bentobox: The is NO good news. NEOM shareholders will NOT own shares in NM, LLC. Your statement is not even close to being reasonable, rational and in the case of misleading people - responsible.
Bent: That is pure fiction. It;\'s the opposite. YA has it all. NEOM is done.
Bentobox: NEOM no longer has any assets. YA / NM LLC acquired EVERYTHING when the 43M loan was defaulted on. Yes, a patent finally came through, that gets assigned to YA as well. Not about living in the past or not, growing smartphone use - makes no difference. NEOM is NO MORE.
Bentobox: The "core" patents used in past lawsuits expired last year. They have some other patents that expire in the future.
scania4: Right, there were other assets like the App, and platform, and website, and office furniture etc. that Delta Drone did not acquire.
scania4: NEOM (and NEOM sharehodlers) are out of the picture -- so what is your point?
Regardless, NEOM does not own the patents anymore. NEOM stock is worthless.
scania4: The press release that NM, LLC is selling the patents to Delta Drone for $3.5M.
http://www.deltadrone.com/it/delta-drone-discussion-exclusive-vue-rachat-de-certains-actifs-de-societe-nm-llc-aux-etats-unis-3/
scania4: NEOM tried to auction the patents years ago, no takers. Tried to build a business on them and failed (indirect codes and clearinghouse, the world went no clearinghouse/distributed and direct w/ URL encoded rather than index.) The only value NEOM derived from the patents was though patent lawsuits. The core patents used in those lawsuits have now expired. NEOM has lost the patents. NM, LLC, is now picking up scraps.
scania4: The patents are not worth much at this point now that the "core" patents expired. NM, LLC stepping into the role of patent troll -- formally held by NEOM -- will only bring in a couple of million more in lawsuit initiated "license" payments. It's one of the reasons they had to trash the public company - operating expenses, LM salary etc. The margins were not there. That plus how hard it's become to get away with death spiral funding models.
scania4: Yes, It is important to correct statements that are misleading or ill-informed.
Be Confident: Maximize value of the sale? Did you think that was the intent?
The way the auction was structured it's clear (IMHO) that YA never intended ANYONE ELSE to get the assets. They kept news of the auction to an absolute minimum, no doubt to keep the bidding process controlled. A $50K deposit was required (returnable if you did not win the bid) to keep interested, non-bidding parties away - NEOM shareholders among them.
And it worked, NM, LLC a YA company won the bid, with probably minimum cash outlay (but what did that matter anyway, the money would just go back to them). THEN NM, LLC. sold the patents to yet another YA-financed company in Europe - Delta Drone.
We do know that NEOM could not pay the 43 million owed to YA and lost ALL their assets to YA after default. YA assumed ALL assets and NEOM is now dead. You are in denial if you think otherwise.
BC: The PTO records for the trademarks list NM, LLC as a Delaware Company. I do not have any verification beyond that.
Be Confident: You had written, "Another inconsistency, however, (this one lends itself to a deeper indication of specific intent that the assignment of the 3 trademarks in 2014 may have been an intended step toward what occurred this past JUNE) and raises the question of why the shareholders were not notified of such an important change in the status of the trademarks!"
PTO records show that the trademarks were NOT transferred in 2014.
2014 is when the trademarks were registered (filed in 2013.) The 2014 "Status Date" is the date of the "Status" of Registered when registered to the NeoMedia Technologies, Inc NOT the date of transfer to NM LLC.
The transfer did not occur until after NM LLC took position of NEOM assets.
scania4: I suggest you get out of the basement more.
