I stand by my statement, Viva is a stock issuance factory. Just because it's had a heckuva run doesn't change that. If they ever release the now delinquent 10-Q you will see a significant jump in outstanding shares. With the volume Viva has seen lately this stock should be much higher. But common sense would tell you that the shares being sold aren't just flippers. There is a massive amount of new shares entering the market.

Here is the first S-1 registration statement with the SEC for the original company that became VIva through multiple reverse mergers. It applies to every company that came after Farmacia Co. in 2009, including VIva.

Respectfully, your argument is non sequitur. I did not mention income or taxes. I referred to assets on a balance sheet. If you own something, no matter the value, it is considered an asset. Viva owns 49% of a joint venture. I was merely pointing out that the JV asset wasn't accounted for on the balance sheet.
Secondly. It is usual and customary to cite a reference when used in any writing. Your post referenced verbatim the following:

Yes. JV's are not mergers, as stated. And companies that own a portion of a joint venture partnership list their % of participation under assets and liabilities in the financials. It is odd that Viva did not include it in any filings. Generally accepted accounting principles would demand that they do, whether it has positive or negative value.
There is no merger announced. There is a previous pending joint venture with Oi2 Media which hasn't been fully consummated as yet. Whoever posted pending merger doesn't know to differentiate between a merger and a JV.

You are assuming there hasn't been any new notes added since last filing. Shareholders won't know until 10-Q is submitted.

Wouldn't making materially false statements on Twitter qualify as a violation? Especially if the false information influenced shareholders to buy shares, or hold on to shares of OTTV.
Revenues for OTTV will be zero most likely. So I'm guessing the surprise will be new dilutive notes issued in the quarter. Sometimes these penny stock execs will delay 10q reporting so as to not have to disclose any adverse events until they absolutely must. Operations cannot be paid from revenues so they have to get the money from somewhere.

The CEO's original 22,000,000 shares issued upon signing of the stock purchase agreement for the reverse merger in April 2016 are most likely unrestricted now. Falcones still must follow SEC Rule 144 to liquidate those shares. However, in Pennyland, all you need is a pliant attorney with a fistful of legal opinions and stock magically goes from restricted to unrestricted. Johnny has also been receiving his bloated salary in stock, and who knows if the legend was lifted on those shares.
The guy in the tie is driving the OTTV clown car. Note how prominently he placed himself in the photo. A stock promoter named Robert Rico. Johnny (on the right with his girlfriend) is an afterthought and knows nothing of how the penny market machinations work. Do some DD on Rico. Look up old posts on IHUB. He used to reply, with a condescending attitude, on Facebook and IHUB to shareholders and his grammar and spelling were horrid. He has run numerous companies to the ground through dilution. EXPU which became HIPH. PLKD which became NXGH.
He is also listed on OTTV's filings as one of their toxic lenders.
