That is a polemic argument. Viva either issued the 2 Billion newly authorized shares or they didn't. If they didn't, they can't be restricted yet. If they did, add that 2 Billion to the outstanding share count from the most recent 10-Q capitalization structure.
So the CEO admits those newly authorized shares were issued. The filing in Nevada says authorized. Shares don't get a restrictive legend attached until issued. By that logic, outstanding shares will now be 5.1 Billion instead of the 3.1 Billion revealed in the most recent 10-Q. You sure he wasn't referring to the 2 Billion plus shares practically given away for .00006

No. The most recent 10-Q does not make reference to employment agreements so you must rely on the most recent previous filing. Legally, prior filing references have standing if there are no changes in subsequent filings.

If I were a gambling man, I'd wager on the over for 4pm today.
Usually the SEC will look for 3 straight late filings. Then a letter will go to the company asking them to explain the circumstances. If the answer is plausible, then no suspension. If the company's explanation is not credible or if the company ignores the letter, 10 day suspension.
