Filing late does have material consequences. Since issuers are required to submit a notice of the delinquency, investors, stakeholders and public record are very well aware of the error. In this study, which focused on late filings and stock price, the results indicate that when issuers cite multiple reasons for delay, stock fell an average of 4.73%.
Not only does the circumstance have an immediate financial consequence, but investor confidence and public perception is shaken, which affects the company in the long-term.
Filing on time begins with a sturdy work back schedu that incorporates the risk of delay. Strong internal controls and minimal back-and-forth also contribute to successful submissions. Avoid financial punches from investors and a figurative filing criminal in the minds of stakeholders by getting those filings into the SEC with time to spare.
DELIQUENT SEC REPORTING
The Securities Exchange Act of 1934 (Exchange Act) gives the SEC the authority to suspend trading in and/or revoke the registration of companies that fail to submit disclosure documents (periodic reports), submit deficient periodic reports, or fail to submit periodic reports in a timely manner.
Under the Exchange Act, certain companies with publicly traded securities (reporting companies) are required to provide investors on a regular basis with periodic reports that contain important financial and business information. Examples of these reports include the annually filed Form 10-K or Form 20-F, and the quarterly filed Form 10-Q.
Periodic reports help investors to make informed investment decisions about the purchase or sale of a reporting company's securities.
Most reporting companies submit their periodic reports in a timely manner. However, some reporting companies fail to submit periodic reports, file materially deficient periodic reports, or do not submit the reports in a timely manner. The timely and complete submission of periodic reports provides investors with information to help them make informed investment decisions.

The best description of the slippery slope phenomenon I have read is a chapter titled “Staying Out of Jail” in How Will You Measure Your Life, a book written by Harvard Business School Professor, Clayton Christensen.

Four Things I Learned From the Cannabis Testing Industry in 2018

2018 marked the first time in history that California's epic cannabis industry was required to test products prior to them hitting the shelves. For testing labs, this meant the daunting task of setting up shop to test everything from flowers to vape pens, pre-rolls dipped in hash oil to gummy bears, and topical creams to coffee (to name just a few).
Having worked for two different, major cannabis testing labs over the course of the year, I have had first-hand experience with transitioning California's cannabis industry into a regulated market, as well as many of the challenges associated with such a process. I thought sharing my experiences and thoughts on the roller coaster ride my colleagues and I experienced over the course of 2018 would be a great way to reflect on the first year of regulated cannabis in the golden state, and serve as a helpful account for scientists in states only just flirting with legalization.
Here are four things I learned from working in the cannabis testing industry in 2018:
1. Imposing testing requirements on a large, illegal industry is difficult
January 2018 had the potential to be one of the best months ever for testing centers across California. It made sense to think that because cultivators, manufacturers, and distributors were going to be required to test their products before they hit the shelves that labs were going to cash in quick. In hindsight, we were wrong.
Laboratory revenue projections were far lower than expected at the beginning of the year for a few reasons. One obvious reason was expense: testing product and complying with regulations is not cheap. The beginning of the year saw large, vertically-integrated companies doing the most testing, with the majority of smaller growers and businesses holding back. The result was a lower overall sample load for labs.
Another factor testing labs did not consider? The black market. Imposing regulations on an illegal industry (according to the federal government, anyway) and expecting everyone to comply immediately was a naive notion. I do not have numbers on this, but 2018 may well have been one of the best years for the California's illicit cannabis trade. This makes practical sense, of course: if your product, worth millions of dollars, failed for pesticides after years of doing business, would you just destroy it? or would you sell it in a state where cannabis is still illegal, and the black market thrives? If the cost of attaining your state license would put you out of business, it would make more sense to sell "underground" until you could afford to be compliant. Legal cannabis is certainly not the most lucrative market for smaller growers, and unfortunately many have had to close up shop. This writer believes that cannabis will go the way of small-batch brewing and vineyards over the long term.

It’s a good thing management has such strong and committed relationships with a broad swath of brokers and market makers.
The real question today is: besides why didn’t evio/keystone publish the dollar amount for the grant. We know the term, two years. We know which German company they are to work with. We know what it is they are trying to develop, sort of-ish - a real time testing technology to monitor plants through development - ok, but why is that good? What is the advancement? Will analytical lab testing be made redundant? Are you researching the end product to the current business model? I’m reaching I know, but how about some context for everyone of the joe and Jane stockholders who aren’t agricultural scientists to understand the ultimate potential. Or is too uncultured to promote your own deal to the masses?
The second point is wtf is going in with the Canadian listing? More Canada news and no comment from management still on what is going on. Plus. The clustercuss of screwing?up / mismanaging the Canadian listing by management really hilights now that they are partnered with a German deal where they should also be crosslisted in Germany. The amount of lost opportunity from bad descisions is appalling.
And there’s no account for any of this - and especially no accountability.
