you're ignoring debt. Pfizer's original offer didn't amount to 1$, as Pfizer doesn't assume cash, but also doesn't assume debt. In other words, debts needs to be paid before shareholders get anything. No way this bid is worth $ 2 if you deduct 29 M in debt.
Reverse merger, perhaps, maybe, at some distant point in the future. But there are lots of failed biotechs with Nasdaq shells floating around and they go for maybe 1 or 2M. It doesn't make sense to appoint two new members BEFORE a reverse merger though.
i think it's a pretty fair guess the reach of the bid equals Pfizer's May bid. that one had the same "substantially" wording in it.
if we go with that it pretty much includes everything except cash. cash was down to 15M end of April, you get cash burn, severance packages, lawyer costs, not sure how much there will be left. my $1 estimate was based on 10M cash but really, I think that's generous.

yes, the MGT-rep said that. the problem with that statement is that it's BS. obviously a company can publish material news during market hours (happens all the time), at the very most trading is temporarily halted.
the problem is, tiffany, or whatever her name is, doesn't know this. everything about her screams she has absolutely no experience with any of this. it's quite obvious she's not the one preparing the proxy, the guys running this show behind the curtains are. she's just relaying info she was given, she has no clue.
don't worry guys, that proxy will be filed at some point. and in that proxy i promise you horrid financials for the hobby-projects MGT is paying tens of millions for and an endless stream of share dilution. Get ready..

whatsapp does something useful and appears to an enormous crowd. d-vasive makes sure a stranger can't access your mic. the program only appeals to privacy-nutters, 99% of people don't know and don't want to know about an app like this.
if i go to a coder website, i could find someone to program a similar piece of software for me within a month.
they're both apps (like there are millions of others), you can't compare them in any way.
while i argue you do not get appropriate value (i mean, at current market prices MGT is paying roughly 100 million dollar for D-Vasive, a free app nobody uses worth maybe 50K) dilution is a financial term. if shareholders lose their relative stakes, because new shares are being issued, it's always dilution; plain and simple.
you post MGT=NO dilution, and then in that same page include a link that shows that MGT dillutes shareholders by 200% with those acquisitions. sometimes I don't understand Ihub.
i don't need to complain to the SEC, many have already. these things take a while. but regardless, it's not something i have a control over, so I'm not counting on anything. just stating what a CEO can and can't do; if you hit a red light while driving chances are you get away with it, until you don't.
about the proxy delay, i'm with you actually. i think the proxy is a non-event in the first place and these things get delayed all the time; they will file the proxy next week.

it was a post on the Yahoo Message Board, in between about ten thousand other garbage posts. Nobody even noticed before McAfee claimed it went viral.. Don't just copy anything this guy says.

that's pretty ironic. i personally actually think MGT's biggest threat are facts. Facts that show MGT has bought assets which have a lot of hype but are hardly worth anything. As long as MGT can spin out a new PR nearly every day announcing another "plan" or another "appointment" you're good, but if you actually need to deliver there's a problem, as they don't have any assets that can. If the hype dies down, etc. Anyway, we'll see what happens.
OK. thanks, good post. But give me some back-of-the-envelope calculations; how much investment does this require, how much gross does it generate (you already did this), and how much profit remains? and then remember this is a 320M market cap.
you don't need to be exact, just some vague estimates will show you how capital-intensive bitcoin-mining is (capital MGT doesn't have) and the potential profits to support this excessive market cap aren't there.
unless you know something i don't, i'm pretty sure we don't know how they are paid exactly.
we know those guys that started d-vasive, and the guy behind demonsaw, as well as mcafee himself (of course) get a combined 50 million restricted shares. but what those advisory board members get, who knows.. likely cash.

Ah, bitcoin mining. I don't know where you got those numbers, I don't think they're correct, but at the very least they're gross (revenue, not profit). Before costs. In some parts of the world bitcoin mining is no longer profitable, because of electricity cost. Also, you need to invest at least a couple of millions of dollars to get to 2PH, let alone 10PH. There are several big guys doing this already, and they've been doing it for many years.
Because, let's face it, Bitcoin mining was VERY profitable a few years ago, now new bitcoins, because of the way the system is structured, require ever more investments in new hardware, with ever more competition. Every month is more difficult than the last one. The rise in Bitcoin price has helped things a bit, but it's very much a market whose prime was when Bitcoin just started out.
MGT is 5 years to late, and besides where are the millions going to come from to get this going? They don't have any cash. And let's not forget MGT is a 300M market capper now, is a few pennies of Bitcoin mining really going to make any difference?
But once again, a nice PR to keep everybody happy.

the proxy could contain specifics we don't know yet, either good or bad. but the proxy in itself, why would that be a catalyst for the stock? filing a proxy isn't actually an accomplishment of any sort obviously.

come on, they're "commercializing" a "technology? can you give me an example of this, not copy-pasted from their PR's?? they buy programs which are available for free on the internet, and pay tens of millions for them in shares. again, if you trade this, good for you, but if you really buy into their PR-bombardment (and their zillion new appointments in advisory boards even though they're not actually doing anything) you're in trouble.
rabbit, after acquisitions 70% of shares will go out of lock-up somewhere in 2017. the way mcafee has been throwing shares around, by that time that number will likely be many times higher. obviously, this joke will have long ended by then, but this is the ultimate catalyst when this thing will fall apart. fair play to flippers who make a profit, but if you hold this in a 401 Plan you're beyond help I'm afraid.
not every retail traders is on ihub + stocktwits, plus this thing is obviously being played if you look at L2. No filings from any big guys at all since McAfee came on..

who cares about the proxy? everybody knows it's coming, everybody knows the meeting will take place and everybody knows these plans will get approved. it's a non-event.
what we don't know is when MGT will finally have to start paying one of the many people they appointed for, and for which they have no cash. they will need to raise money in the market, now that's not a non-event.
what's definitely not a non-event is the lockup on the, by then, hundreds of millions of shares expiring, but granted that will take some time.

Definitely no covering. The fun is just beginning. MGT's PR's are starting to sound more desperate every time; all they do is appoint ever more people for ever more advisory boards. MGT has no actual activities to advise upon, and these people want money (and lots of it) to tie their name to this joint. With tens of millions of shares being created to pay for existing acquisitions, hundreds of millions of new shares will have to be created to pay for new acquistions. On top of this the company will have to do an offering to keep the lights on at any time next quarter.
In the end, this thing will end op with 100M+, 200M+, perhaps even 500M+ of issued shares, which will all in phases hit the market from now until mid 2017. Good luck with that as a long.
a CEO that's not into "the money thing". that doesn't sound good. does fit the picture though, he's making acquisitions which might (or might not) be interesting from an anti-spy point of view, but which add absolutely nothing (and only cost tens of millions) in financial terms.
