"Mr. Welch will receive a base salary of $195,000 per annum, with a potential bonus payment of $40,000. The more I think about it the more I realize that SLTD NEEDS to be uplisted before any significant cell news is announced. Most people will not touch OTC stocks with a 50 foot pole even with great news.
If this happened while we were on the NASDAQ I might agree with you. However, one of the covenants is that they automatically get converted into common stock at a 1 for 1 ratio once we uplist. This confirms that it is a positive short term move that protects investors.
He basically only gained voting rights which is fine by me based on the work he's done thus far. Some more info on the value of the preferred shares:
"Each share of Series A Preferred Stock will be (a) automatically redeemed and converted by the Company upon the listing of the Company’s common stock for trading on the NASDAQ Capital Market or (b) converted at the option of any holder, in each case, into one share of the Company’s common stock."

I understand where you are coming from. We are all anxiously awaiting the release of the cell and everything up to that point is but an appetizer. However, don't discount good positive sales news. These releases help prop up the stock and lay a solid foundation for any new investors doing their due diligence.
The R/S with an uplisting will be a big mover. A ton of people don't touch OTC stocks at all regardless of the perceived quality. It will be interesting to see how Mr.Nelson plays this.

Insiders have actually done the exact opposite of what you're suggesting. They have always sold before news or after a run up but never at its peak.

Why do you wish he hadn't projected 100m for next year? Jim has been very forthcoming and accurate with all of his statements so there is no reason to distrust him here. With two more acquisitions on top of MD Energy, we will hit that target. If he didn't think it was possible he would not have said it. I expect these 2 other acquisitions to be announced by the end of Q1 2015 in order for us to realize those revenues next year.

You're right. I expect the numbers to be closer to 110m.
You're right to an extent but those views usually apply to big board stocks and not OTC stocks. SLTD still has not had a full year of revenue since the initial SunWorks acquisition. The $100m revenue is not factored in since it is a small OTC stock with a very small following. Once the fiscal year 2014 report comes out early next year it will legitimize our earnings to an even greater number of potential investors. An up-listing will make this company more credible to outside investors and attract large mutual and hedge funds. Most big institutions have covenants that restrict which companies they can invest in, OTC stocks are usually restricted.
A pre MD Energy merger / Q3 report level would put this at about .175. I see .17 as the absolute floor but think this trends towards the mid 20's. Just be patient.

The short attack is obvious. Over 40% of the volume has been shorts, that's a fact. They opened positions as early as the .205 - .22 range and want to get it as low as possible to cover. The price should stabilize soon and work its way back up.
Big news by JN would be great to scare them off for a little while.

Yes positive news such as a manufacturing partner, official cell efficiency ratings, or both will definitely send this thing higher. A ton of news outlets will pickup cell related news.

Because he/she doesn't know what they're talking about. The dilution timeline is clearly detailed in the agreement and won't start until later next year.

The 10q shows 330,154,485 shares outstanding.
On eTrade it is showing 342.3 M..
Any clue why there is a difference? Could this be the shares that might have been diluted yesterday?
15min RSI(14) is at about 46.92
Dilution shares being converted? Correct me if I'm wrong but I believe this has to be something initiated from inside the company. In my mind this is a bullish signal. They don't want to sell right after a big bump in price which leads me to think that big news is on the horizon that is going to shoot the pps up to new highs.
Looks like we'll be at around 410 million shares outstanding by the time this is fully diluted (including the rest of the SunWorks dilution). Luckily this dilution will not take place for a while.
Once the cell has been verified, tested, and ready for release I can't even imagine where this thing will go.. 5 billion, 10 billion? The sky is the limit.
I think these numbers also prove how important it is for us to continue to grow. We can't install fast enough! I am interested to see what our current backlog looks like.
I was expecting about 8 so this is fairly close. I am very happy with the profit! The share count is much lower than I expected at this point as well. VSLR just posted Q3 revs of 8.5 mil. Ours weren't much lower but we ARE profitable. They are also valued at 1.5 billion...
