In order for the directors to cover everyone off they did up a black-out ruling to cover off "all parties connected to VPLM" no one was left out re seeking best interests of the co and the collective shareholders ... translation no favortism whatsoever as its better to be safe than sorry hence why black-outs can be and are so sweeping as to who can be included. If its good for the goose its good for the gander. Some peole on this site like sunspotter refuse to accept that igven harping about insiders able to sell. IMPOSSIBLE in a Black Out. Also I suspect that a notice to all the brokerage houses, transfer agents identifying everyone and anyone to ensure the best interests of shareholders is standard procedure ... hence black-outs by a Co. chairman can be extremely sweeping and can go to not just key internal staff, BoD, employees, also key consultants and large shareholders but also to accounting, legal, possibly advisory or closely connected brokers, their firms, transfer agents, as well. Tom Sawyer is a man of integrity and he likely covered it all.
It is an exercise in safety and precaution against leaks and stopping people from possibly being stupid acting in the market to the possible detriment of themselves besides VPLM. This balck-out is another example of the beenfits of the porfessionalism of having people like Messrs. Sawyer-Tucker-Candy involved.
I would expect that any complaining as a result of parties being included under the black-out confirmed to the directors exactly why and who they included if any complaints did arise.

Someone asked whether they were part of the 300 Million Digifonica shares and I believe that would likely be a given. A very smart bet by the Head of Digifonica who owns all those shares to ensure the success fo the co. by recruiting them with equity as none of em needs any more money. this is all about capping their careeers with 5 final key contributions to mobile telephony.
Why wouldn't rewarding Messrs Sawyer, Tucker, and Candy be the most important thing to do. And if you're the owner of those 380M VPLM shs directly associated to Digifonica, then you have plenty to share. I'd rather own 100M of a successful VPLM than 380M of an unsuccessful VPLM, so logic dictates all monies into the project at hand and all reward via the stock. Good enough for them its good enough for me and when as we have seen one of the most successful Cdn patent lawyers go for shs I'd say they're influenced by what Messrs Candy, tucker, and Sawyer do and think about VPLM and the work on the technology and the successful 100% USPTO approval to date, let alone big boys who were rejected
If I have 380M shs I am more than sure I'd spread it around with these 3 gentlemen etc. given their respective track records, and they're dedication to help ensure VPLM crosses the goal line.

I don't disagree that Buy Out is #1 Option but its about the right way for VPLM to get there for the biggest bang for the buck benefitting us shareholders.
IMHO you get to that point by leveraging the value up via specific actions (possible licensing, JV'ing, co-venturing, before doing a M&A event for more $$$ in my unlearned opinion.
So go with me here re how might VPLM do it? IF you were them would you try to leverage the value of your co. higher by taking various strategic initiatives? If people believe that you're going to succeed they will play. Educate industry sector particpants and emphasize the benefits to share. The high road is usaually the best road, but perhaps you feel that might be naive or not quick enough but if you wish to receive 2-5 x's more than currently then we have the horses in the strable to pull it off c/o Mr Sawyer leading the way with Tucker and Candy.
I understand many of us want them to do the least amount of work for the most possible benefit but there is a balance. Help someone gain market shares, cause someone to lose market share - greed and fear simply by helping to re-distribute customers amongst the top 25 mobile players. Dollars to dougnuts one of them will hear the penny drop and say lets work together. If not fear will motivate somenoe to buy you out as nothing worse than losing market share as VOIP PAL can provide an operator a superior service with which to grab new subscribers with lower cost more feature plans - free roaming, 911, etc.
Now if VPLM tidys themselves up re their share structure, raise some money, up list simultaneeously to a better exchange, a whole bunch of market and industry types will sit down and talk to you.
Meanwhile the stock setttles in nicely after running too high to .33 short term but as talks continue I am confident as to what Messrs Sawyer, Tucker, Candy do whatever it is. This is just beginning. Remember Tucker and Candy built ORANGE PLLC and sold it to FRANCE TELECOM for more than $28 Bn. go read up on that or about Hutchisn 3G. Real deal(s) take a little more time to tweek. We've got the best tweekers we could want.

As it is likely that a lot of new faces are looking at this board for the first time, wondering, WHAT is this VPLM that is taking off like a rocket... I think it's time for some recap from us longs to point others to the key due diligence items - and please chime in if I miss any big points:
VPLM had it's beginnings with some scrappy fellows, who were not of the pedigree of the current BOD, but had managed to keep a stock ticker alive for well over 10 years. They dabbled in a number of things, including some involvement in the early Magic Jack. In December 2012, Voip-Pal (VPLM) entered into an agreement to acquire Digifonica which held the suite of patent applications which are now VPLMs primary assets, and are currently being negotiated for either sale or license, according to the latest PR.
All of the original patent applications were completed and granted, as well numerous child patents some of which have been granted, and others are in prosecution stages, adding additional value to the portfolio. The patent portfolio consists of foundational patents for the VOIP platform, and many, if not all VOIP companies now in existence are thought to be infringing on these patents already (according to White Papers issued by the current BOD)
In May 2013 a STELLAR BOD was added, officially to VPLM, and leadership of this company was firmly settled into their capable hands. One should do their DD on this BOD - their reputations and connections in telecom are virtually unparalleled, and beyond reproach.
During the 2013 year to now, this BOD has assured stockholders of the plan to monetize these patents, and indicated that they were planning to see the patent portfolio complete before doing so. This is precisely what happened. During this year they eliminated all of the debts on the balance sheet, and succeeded in obtaining the patent certificates in question. In addition, they have eliminated the nuisance lawsuits (which almost always accompany these types of affairs), creating a very clean company to sell or license. The authorized shares were increased a relatively small, but necessary amount to provide enough working capital in order to complete the task of monetizing these patents. Shareholders seemed to see this as a logical move, and the necessary dilution was logical and seems to have produced the desired results.
It should be noted that one of the patents was challenged by Microsoft, and the US Patent office denied Microsoft's claim to the patent, and instead granted it to VPLM as prior art. This is significant.
Long time shareholders have held steady, waiting for the announcement of official negotiations. The BOD has been very professional, and have used great caution not to create false hopes, or use announcements to manipulate the daily PPS. In contrast, they have almost ignored the daily PPS, and instead have chosen to focus on the business of monetizing the patents.
As such, the announcement of a black out period is significant and meaningful, because it follows a consistent history from this BOD of carefully executed movements and conservative press releases.
What remains to be seen is how much above the current PPS the ongoing negotiations are ranging within. The company has stated officially that we, as stockholders will be pleasantly rewarded.
During the past 10 years VOIP has gone from being a possible contender in the telecom world, moving from the fringes to the mainstream. Those early adopters who bet on the VOIP racehorse are now seeing this industry experience unprecedented growth.
So where will the PPS end? You tell me.
Count on licensing deals as their preferred 1st choice presently. A a buyout will only garner $1.0 Bn max if the current cap strucutre isn't consolidated and listing upgraded beforehand so IMHO the smart thing to advance yourself is educate institutions, brokers, venture funds, and especially tech users and network providers like I suspect they are currently doing and great things will follow from that. Only guys capable of getting the respect for next step is Messrs. Sawyer, Tucker, and Candy.
IF Co. announced some licensing deals, pursued such an uplisting to AMEX or NASDAQ or at least move up the OTC Board, Why not fund $20M to $100M and do the necessary 10 or 15 for one new share consolidation so that VPLM will be seriously considered by reputable english and./or reconsidered by those who shake their head re current cap strucutre given upside potetnial.
Back to business, I see great chance for large sector participants grouping together to license and buy a piece of VPLM. Those currently kwy players in the telecommunication sector will ensure proper timely uplifting IMHO. That's what I'd like to see and expect in the next 6 mos. Sell now and we're selling to cheap presently.

BELLEVUE, Wash., Jun 05, 2014 (BUSINESS WIRE) -- Voip-Pal.com Inc. ("Voip-Pal", "Company") (OTC Pink: VPLM) announced today that as a result of discussions with various potential buyers and/or patent licensees, the Company is enacting a "Blackout Period" pursuant to the Voip-Pal Trading Policy approved by the Board of Directors on March 12, 2014.
The purpose of the Blackout Period is to preclude specific individuals and entities close to the Company from trading Voip-Pal stock during the Blackout Period.

I was a Thomas the Doubter til I did that as I wanted to read for myself on the US FED Govt web-site and there it was.
That's what I'm talking about re their Board Members having gotten behind this.

It was a great read but the white papers and info on the website is really worth your while. Don't take the easy way and just read what I cut and pasted. Lots of indepth info on their web-site for you to better judge the merits of the co. The sound bite segment discussion from the directors is really helpful but I'll be asking more questions off what I'm reading so far. Pretty cool
Don't trust others to do your home work for you as way on the web-site for you to educate yourself on and important that you do so.
This thing looks like it wants to go way higher but hopefully a little consolidation occurs as always healthy for a stock to take a pause before advancing again. I'm long but would love to see it trade at no higher than 25 for a couple of days before advancing again. Glad to get a foot in the door, not too crazy. I know the market will do what its going to do and its been a longtime coming for VPLM - 11 years of heavy lifting bringing all this to the final stage.
Pretty exciting so far but way more upside to go if you've got people like they do on their board. Don't skimp on your own DD.
I don't know if the lawyers are being paid in stock. Lawyers are only loyal to cash but if I found out they were willing to be paid in stock then I'll back up the dump truck here and load up with more shares than you can shake a stick with.
10 bets VPLM has to extend the Black Out of Insiders as highly unlikely that lawyers if involved can get the job done in a timely fashion. What's their incentive as they usually want to drag things on as magic....they get paid by the hour hence I find 2 weeks highly optimistic for insiders to be freed up to be able to buy if they wish to. I've never seen the BoD sell yet anyone?
Also if multiple parties are involved and especially if licensing or JV matters are being reviewed no way that the lawyers will finish in time hence the Black Out should not come off for insiders till a deal(s) are consummated otherwise insiders have an unfair advantage knowing how high a price they can buy up to. Whatever lawyers are called into do and review, talk about trying to herd cats, or squirrels, or crows, insiders should be blacked out longer than 2 weeks is my preference. That way insdiers will ride their butts to get any legal work etc done. I.m not bashing lawyers but I'm just sayin....

BELLEVUE, Wash., Jun 05, 2014 (BUSINESS WIRE) -- Voip-Pal.com Inc. ("Voip-Pal", "Company") (OTC Pink: VPLM) announced today that as a result of discussions with various potential buyers and/or patent licensees, the Company is enacting a "Blackout Period" pursuant to the Voip-Pal Trading Policy approved by the Board of Directors on March 12, 2014.
The purpose of the Blackout Period is to preclude specific individuals and entities close to the Company from trading Voip-Pal stock during the Blackout Period.

I checked in on those share issues you mention. Tthey are minimum one year hold if not longer. Generally agree with negatives on OTC Pinks but there are some good established cos. that chooses to remain listed on te pinks that said I have never seen a BoD like these guys have that would be willing to risk their credentials after such storied careers. Ridiculous that their BoD guys are invlved unless they believe maybe just maybe VPLM does have a tiger by the tail.
that said I called their IR guy rich Inza and requested a summary re news for May-June and background material. Choose to believe what you want but I believe having read all this that they are onto something. no ways these BoD members blow their repuations and track record on BS because that is what you seem to be saying so I for one disagree. Let me get that email and try to cut and paste what I got from Rich Inza. He was very personable andprofessional on the phone.
I agree. While cash accounts are supposed to be registered electronically if with your brokerage house there is no guarantee. Cash Accounts are not supposed to have shs borrowed from but sadly in fact they do. If it can be done and put back in order before an annual audit by regulators is done, let alone it may not be caught, or seen as an exception, too often as long as everythin g in order come audit time it can be seen as " no harm no foul". so putting in a sell order say at $25.00 per share GTC or $20 whatever means compliance won't allow those shares to be borrowed and if the order is closer to the market shoudl one inisist on keeping their shs ina margin account, recall of borrowed shs woun't occur until the sell order is executed.

The network of brokers on the street on the short side are starving and desperate as well. The gig is up and you can only borrow so many shares and they are at their limit. Pulling certs is on the table and could happen anytime. Imagine if they pulled 3-4 million shares. Can you say CHAOS! These guys are looking over the edge of the cliff. Pending news and the AGM is very bad timing for these guys. I have also heard the TSX venture is on to their game and that they are being watched very closely.

Stock over $3.00 is usually marginable , well hmmm, on the short side it sure as heck is and if your shs are in a margin acct then the Scotttrade person you spoke to is misinformed as they certainly can be borrowed and likely already are. In the USA the central clearing outsift CCID?, CDIC? or somethng like that anyway, has the shares and brokerage houses like Scott Trade have them as a book based entry and to say they can't be borrowed is rubbish that its like a cash acct. I had mine in a margin account and had them switched into a cash account and you should to. 10 bets they're lazy and just don't want to do it for you. I'd never have a stock like this onmargin but just don't think that their rules are the same as another brokerage house's internal policy cause its not.
For me if a short squeeze forced the issue I'd be surprised why you can't have an open order at say $25.00 off the current mkt range. Sad if they'll only give you $17 but for me I'm happy to stick them in believing that if the stock started trading up I could get my order cancelled before it hit $17.00 and was executed but that's your call.
I guess its about how closely you pay attn to the day to day market.

Requesting your broker not to loan shares doesn't do anything.
If you hold shares in a Margin Account then they are actually held outside your firm by a Central Depository Clearing Corp. where any brokerage house can borrow shares from.
Believe me while your shares may be showing in your account they are held off premise if you andnot by your broker - they are simply a book entry in your account. They show as a olding in your account should you own "ANY" or "SPIHF" but unless they are in a Cash Account, segregated from Margin and you perhpas offering them at $40.00 per share or higher, your brokerage house can't do anything and hence your request is t someone who should have told you that.
I worked in the Back Office of a brokerage firm in Canada hence count on above as sage advice and knowledge.
Contract announcements, reveenue discussion, talk of many of us taking our share certs, switching to cash accounts and taking shs out of reach of margin accounts has the smarter shorts reducing their liabilities to hedge their bets. If a couple of big shareholders take their shs say 3 M out of 16 approx free trading in ANY that's 12.5% of free trading shares well that would really hurt those who are 1.5 M shs short ANY
You are correct jockm... Another method to try CDN short coverer or even a wanna be buyer is to try and shake out the "weak hands". A method is to load the offer with multi orders where you can hide the size of what you have to sell but have multi orders with shorters at various houses joining in, on the bid side they can even do iceberg bids hiding what they want to buy, say where you may have an order say to buy 5,000 or sell 5,000 but you don't want the street to see exactly how much your order(s) actually are for. Pyschological games and believe me the shorts work in groups and usually bring along their friends to work a plan and orchestrate strength or in this case weakness if they wish to cover.
Usually the iceberg bid gets the common person loking and saying "wow look at all the bids or offers they're not very strong" if you want to push the stock price down, go heavy on offer and iceberg bid so impression is that price can break down in such a relatively thn trading stock. Makes the uneasy think the stock is breaking down I better get out now as I don't want to get caught. Anyone who owns XXII as well as ANY has these thoughts me included but I understand the game being played.
This shaking out process is presently ongoing here and we've seen initial buy ins today starting at $8.51 per share, peaking at $8.63 and now trading down at $8.30 or $8.35.
It is easy to pysch out many shareholders by stacking offers all the way up, people see it, their broker says this is getting heavy and encourages the benefits of piece of mind, blabla, for him more likely, and people capitulate sell and allow these shorts off the hook.
volume today in CDA is 117,000 so far while volume the last 2 days in total each were 139,101 and 139,325. People holding ANY may also hold XXII and are already spooked so shorts are shaking out shares very stragically. Atleast being able to find shs to buy if they're worried about contracts, pending news etc. .

Interesting to see as volume has climbed from recent 65,400 level to 72,000 level as buying continues to be associated with houses that we expect were associated with short selling that was done. Can't prove that but we simply looked at top sellers from last week 1st 2 days of effect of "SA hit Article".
Nice to see #9 BMO Nesbitt buy another 3000 shs at $8.35 at 11:49:14 AM and #33 Canaccord followed buying 3,000 shs as well. A few of us following ANY feel these are possible short coverers but we cannot prove it just looks uncanny similar to the group. The good part is that we feel that this is just chicken feed in the scheme of things as the declared short position was over 1 M and we haven't seen that covered.

Broker # 2 RBC opened up the market at 9:30:00 AM EDT selling 2150 shs this morning. 1900 of those were bot by House #1 ANON - protecting their identity and seems to be primary brokerage house who was shorting but there are a couple of others.
Loved watching #1 ANON come back in at 6:35:23 - 9:36:57 to buy 2000 and then after 50 shs were bot buy another 5100 shs between 9:38:25 AM - 9:48:56 AM with another beauty buy of 13,800 between 10:01:55 - 10:05:50 AM. CDN Sellers are letting likely short coverers to get off too easily today in my opinion as well as some of your guys thoughts. The stock is still thinly traded so we have to see as more requests for segregation, cash account switches, sale orders up at higher prices go in. Group of 9 of us up p here requested over 150,000 shs on Wed-thurs last week. So we're watching with reat interest re what happens on 3 day settlement rule and Friday and Monday were holidays up here.

Market on the CDN side not prone to MarketMakers changing things up on you. They probably change their prices to indeed follow Cdn side which is how they likely acquire their shares for those wishing to buy OTC side on SPIHF. ITs all about their spread..is it a nickel, 10 cents, whatever they can try for. also need to take into account currency.
