Thanks Shail. I thought that was the discussion on this issue. And the "current" pps requirement. To damn lazy to go back and look it up. It Seems like it should have been a 60 the whole time. Not that I'm a huge fan of that, but I guess the Board wanted to use a 40 or a 60 option to ensure it past. I think that was discussed also. With the pps acting like it has been, it just looks like it was going to be a 60 the entire time. By the way, looks like you have been burning the after midnight oil. Thanks again for the info.

Can anyone enlighten me regarding what the pps needs to be and the RS needed to meet minimum for uplisting. Seems to me that the pps is getting lower to ensure a 1:60. If the Company wants a larger RS i believe it was discussed there would have to be another shareholder vote. Is that correct?

Can't speak to how many virgin mothers there may be, I've only heard of one. Now that other thing about the courts and the law, well it has been my experience that the law is whatever the Judge says it is even if he/she couldn't find their own ass with both hands. I've been in front of several of those. Damn near everyone. You know how the gov't works. If they don't like how the game is being played they change the rules. Or just change the meaning of words and phrases and claim that's how it was always meant to be interpreted and you were just to stupid to know it. Overall it looks positive for us. Still not happy with a 1:50 or 1:60 that seems more like getting screwed without so much as a reach around or a kiss. That's not unfamiliar territory for me but that story is better left for a different forum.

It will be interesting to see if SmartWater is involved in any way with this. IMHO looks like something is brewing with them otherwise don't know why they would agree to dismiss the case.
About me representing you on that Slander a Libel matter, that'll be an easy win. Truth is a total defense. About your payment, ahhh women are like a fine Scotch they just get better with age. If you throw in the wife, that will cover your past bill and the future bill for several years.

I wonder why SmartWater has decided to Dismiss their Complaint. It's a little unusual for a Plaintiff to actually file a Motion to dismiss with prejudice and a covenant not to sue, if all of the details haven't been worked out. That's where I was getting confused. Just wanted to know who "the Company" was.
In this case upon closer reading APDN has agreed to dismiss it's counterclaim (for attorney fees) without prejudice(meaning they can bring that back at a later time). On Aug. 8, APDN did file a requiest for the order to be entered dismissing SmartWater's complaint, and again asking that SmartWater pay attorney fees.
If the Attorney fees cannot be worked out, SmartWater can withdraw their Motion to Dismiss if the Judge allows it. It's just strange that SmartWater would actually file the Motion before all the issues were agreed upon.

A 40:1 is, uh, ok for now but a 60:1 would be a little tough to deal with. Either way if it makes you feel better and provides you some therapy then you can slander me all you want I suppose. But the bad thing for me is, it's not slander if it's all true. Personally my therapy comes from a nice 15 or 16 year old. Scotch you dirty old fart.

Not sure about the timing of any potential settlement. If it's on the trial calendar then it's not likely to settle , but it could still happen, depending on how some well oiled blue color hack with a law degree conducts himself.

Only in Gov't contracts can you get away with saying something not in the contract that you intentionally omitted,is really in the contract. If you and I tried that, they would laugh us out of court and make us pay the guys overpriced shyster lawyer for even thinking about that. The "Christian Doctrine" is just another way of saying Gov't can cancel your contract just because they want to and you can't do anything about it. Sorta like when your wife calls off the evening rendezvous and you get no explanation. I'm sure Sharkey can tell you more about that, and the Contract clause also.

Here is the way I see the DFAR'S requirements. It looks to me this is the closest thing to directing the use of DNA marking without actually spelling it out. (Typical of Gov't regs). Some of the most interesting language was in section (b)(2)about "tracebility of parts, inspecting and testing parts, reporting and quarantining counterfiet electronic parts and suspect counterfiet parts..."
It also puts the contractors on the hook for ALL corrective measures if counterfiets make it through. That should be a big incentive to keep that from happening. There was another section about trafficking in counterfiet parts. An argument could be made that not only could an individual person be held criminally accountable, but a corporation could also be held criminally accountable as well. At least I would make that argument. For the most part I think Livingston is on the right track. He probably gets high six figures for his analysis and I only require a few bottles of scotch. I'll give Sharkey a professional discount because we have become good buds, so only will charge you two bottles. Nothing less than 18 years old.

Been away for a while folks. Had to celebrate Mother's Day with a few rounds of golf and a bottle of Scotch. Mom doesn't play or drink scotch,but we live 800 miles apart so she will never know. I told her I was thinking of her all weekend (as I beat the hell out of that damn little ball). I'll give that analysis a try. Contract law not my forte. I do mostly criminal defense and family law (divorce, child custody). So when Sharkey gets thrown if jail for whatever, I can help him and then can help his wife take whatever money he may have left

Agree 100%. Good logic doesn't always win out in the Corporate board room. And certainly is even rarer in government.
You all know this but I'll give my 1cent worth. Cost effective is a mathematical issue. Good example is the GM deal. Some yuck decided that it wouldn't be a good idea to recall all the vehicles with the defect because it would cost to much verse doing nothing and dealing with it on a case by case basis. I'm guessing deaths were not part of that equation. Now GM is going to be on the hook for several million when the initial fix would have been a fraction. They gambled with people's lives and lost. The same principle applies here. Depending on what is being marked and the potential hit to the Company's bottom line regarding counterfeits.

Not that surprosed about the change of plea. It's standard practice in Federal Court to enter a Not Guilty plea at frist and then change the plea after a plea offer from the U.S. Attorney. But you are probably right about the food. Plus Fed prisons are much better to be in than grungy county jails.
That good looking lawyer comment, assuming (yes I know what that means) is directed at me, is good for a discount only on your fee. I think you are right about the "DoD-approved operational system" working for SigNature DNA. After going blurry eyed looking at DFAR definitions, and still not finding anything conclusive, I think in the end it is a good APDN. It looks like to me that if contractors want to be reimbursed for any counterfiet parts or work required to replace them, this system has to be in placed, and then only if the counterfiet part or suspect counterfiet part (which are two different things apparently), come from Government-Furnished property, (good luck figuring out the exact definition). I'm sure that most on this board have a better working knowledge of all of this than I do.
