Net-Man: To whom and how will it be disseminated?
Net-Man: After reading yesterday's posts it sounds like FASC could become a private company and stay in business selling the KDS and pocketing the profit...with no penalty to Brian.
Waitedg: bnichols@fasc.net and adam@fasc.net
Since no one else has offered a response from HQ I present Adam's response here, with my bolding:
I find your email to be extremely offensive. I am not sure what you would like us to do when we owe the SEC over $100,000. This is a lot of money to fork over for an audit. We need multiple sales in a row to start paying this debt. We are not obligated to tell you anything right now and are even advised to do so by our lawyers so to accuse Brian of being a liar is not going to help. If you want, you are more than welcome to present our technology to potential buyers and help us sell them rather than complain. We are doing the best we can with what we have.
My email...
Brian,
This is from your email to me back in March when I asked about the SEC:
"The SEC has not made any contact with me to date. I am aware of the risks. However, at this time FASC is short of cash to pay for the audit. I still keep our operation current monthly so when we are to pay for this it will go smooth. In Canada the only area is BC where trading is restricted that I am aware of. In terms of how optimistic I am this has not changed ."
Yet the SEC wrote to you last May about being delinquent!
http://www.sec.gov/litigation/suspensions/2015/34-74778-o.pdf
"On May 2, 2014, First American Scientific Corp. received a delinquency letter sent by the Division of Corporation Finance requesting compliance with their periodic filing obligations"
Please explain why I should not consider you a liar.
And then tell me what you plan to do about this!
Net-Man: Brian told me in March the SEC had not contacted him. <eom>
On May 2, 2014, First American Scientific Corp. received a delinquency letter sent by the Division of Corporation Finance requesting compliance with their periodic filing obligations
Email to me on 3/13/15 from Brian:
The SEC has not made any contact with me to date. I am aware of the risks. However, at this time FASC is short of cash to pay for the audit. An out-and-out lie!
PS I just sent a email to Brian (cc Adam & Kelly) asking to explain his lie and what he intends to do about the suspension.
Thanks Sleepin: Maybe the "info@" address goes to both dusty and Scott, and only Scott@pacwestglobal.net got rejected. ("No such user here")
I asked Dusty to take a look at my map and that I would appreciate any additional info as to locations.
Can anyone verify that PacWestGlobal is still in business? I emailed info@pacwestglobal.net (from the web site) which redirected me to scott@allisondesignworks.com but both emails failed.
Then this site says its status is INACTIVE.

And with 3 employees and minimal revenue are they really doing anything for FASC?
CORRECTION: In my recent post I stated that Thomas Roy (TRoy) was 45. He is, in fact, only 28.
I just sent out an update to the email list I maintain. If you're not on the list and want to be email me at cwhudson@yahoo.com with FASC somewhere in the subject line. I also have a share count list so if you want to be included in that also just tell how many shares you have. Both are strictly confidential.
Cheers, Charlie
Sam: No. This company is in Quebec and is a licensee.
mfred: In a word, yes, I would be buying more. If Brian was more like Thomas I don't believe we'd be where we are now. Thomas seems like a guy who gets things done, and at the age of 45 has the energy to do it. I believe he will do his best to work with Brian & Adam and offer to them all the support he can give. They just have to accept it, something Brian hasn't done.
I have enough shares but by all means feel free to buy more on Monday.
Cheers, Charlie
I finally received a reply to my initial email to Pulsion, not from Thomas Roy, but from the VP of Operations.
"...we have a sales pipeline of 25 more in the next 3 years"
Their first was Shawinigan.
Now that's a forward looking statement if I ever saw one.
Cheers, Charlie
TR: And that increase underlines the importance of PR's <eom>
Net-Man: He did, and it's no longer 3. He sounded confident that he could sell 10 this year, now that he has a demo machine. I believe there would be a couple of multiple-sale installations.
He spent a lot of money marketing the KDS hoping to get exclusive rights and is disappointed they didn't give it to him, especially since they've done it many times in other areas. He even said he'd like to get worldwide licensing rights.
Thomas Roy didn't reply to my email...
...he sent me a LinkedIn invite and after I accepted sent another message with his phone number and said to call him if I wanted to, which I did.
We spoke for almost 30 minutes which is strange because I've NEVER talked to Brian, Cal or Adam. He is very engaging and forthcoming, and even laughed a couple of times as we talked of the trials and tribulations of the company (he knows the history as well as us old-timers).
If you want to know more about him here is a link to his company:
http://www.pulsioninc.co/en/about/index.html
And his LinkedIn page:
https://www.linkedin.com/profile/view?id=318361539&authType=NAME_SEARCH&authToken=qAOz&locale=fr_FR&srchid=391442781429226259921&srchindex=1&srchtotal=256&trk=vsrp_people_res_name&trkInfo=VSRPsearchId%3A391442781429226259921%2CVSRPtargetId%3A318361539%2CVSRPcmpt%3Aprimary%2CVSRPnm%3A
Here are some tidbits I can share, others he asked me not to:
- He employs 148 people and has contacts in 42 countries.
- He and St-Malo are close friends from way, way back.
- He is a licensee for Quebec, but not exclusively, and has his own demo machine processing wood in at 31% moisture and out at 9%.
- His accent caused a little confusion but I swear he said there was a machine which was processing parrot crap.
I came away very pleased that he is involved with the KDS, and he would make a great CEO when the time comes.
A road trip to Quebec might be in order as he's only 4-1/2 hours away.
This actually might be a good year.
Cheers, Charlie
pulsioninc.co was what I used, just typed it wrong in my post. <eom>
Net-Man: I only used info@pulsion.com to contact Thomas Roy. Do you have another email in case I get no reply from that one?
TR: It's in Quebec and I believe it is a sawmill. <eom>
Val d'Or hopes to be running in May. Simo working with the company to get the whole process working (i.e. manure to pellets).
Shawinigan should be running in two weeks, maybe less.
St-Malo sounds very positive that the people he has shown the KDS to will step up and buy. The S6 does just what they want it to.
Kelly is getting her ducks in a row for the official audit but no commitment from Adam as to when. Seems money is still an issue.
Adam found the map "interesting" but said there were a few errors (like I didn't know that. lol) I've updated a couple pins but won't post it again until it's more worthy...like after the reports come out and I find I've run out of pins.
Of course if you have the link you can check it at any time I believe.
Cheers, Charlie
Sam: And EST (Poland) has tweeted twice, one specifically mentioning the KDS, back in 2011...but no tweets since.
The white machine photo was linked to Baltica Invest in Norway. The PR said they were going to buy 4 KDS...like we haven't heard that before.
KDS Worldwide Map updated to show company names and the year. Unfortunately because the earth is so big some of the pins lose their information when printing the whole earth
Try this instead: https://www.facebook.com/cwhudson/posts/10206532310493591
Please send me any corrections or additions. I'm not sure I'm going to dig deeper to add years to each location.
Cheers, Charlie
While looking up info for the KDS world map I noticed that EST (Poland) has photos of the KDS on its Facebook page.

Unless this is another Atlas Mining it looks they no longer mine in Utah.
CORPORATE PROFILE
Atlas Consolidated Mining and Development Corporation, or Atlas Mining (AT on the PSE) is a company primarily engaged in metallic mineral exploration and mining.
It operates the Toledo Copper Mine in the province of Cebu through its wholly-owned subsidiary Carmen Copper Corporation ("Carmen Copper").
The Toledo Copper Mine is one of the Philippines' largest copper mines, thus making Carmen Copper a principal producer and exporter of copper concentrate in the country.
To optimize its operations, and in line with the expansion of its beneficiation plant, Carmen Copper is pursuing the development and commercial distribution of marketable by-products from its copper concentrate processing such as molybdenum, magnetite, and pyrite.
Atlas Mining also has a stake in the nickel laterite mining project of Berong Nickel Corporation ("Berong Nickel Corporation") in Palawan. Berong Nickel has been engaged in the direct shipping of nickel laterite ore since 2007
Nothing gets by Sergeant Mike of the Royal Canadian Mounted Spelling Police.
Preliminary and unofficial map of KDS Micronex installations worldwide by country. Pins were placed at center of country if no city was known (or if I didn't have the energy to research).
Corrections and additions (especially) welcome.
Cheers, Charlie
PS Now let's get this effin' party started already!
Hi grontmij: Welcome to our board. Can you provide a little more information? Do you mean it will be there in two weeks or it has been there for two weeks already? Can you provide the company name?
Thanks for anything you can share.
Charlie
Sleepin: Thanks for that official closure to that chapter in The Life of the KDS, although we've known for a couple of years that the KDS was not suitable for their needs (they had dismantled it and were trying to sell it).
One machine can not work for all applications...let's just hope FASC can find others where it does, and ones that don't require high throughput.
Charlie
SwingPlaya: Proceeds from recent sales have gone to pay off debt, mostly, I believe, to the company which manufactures the KDS and has worked closely with FASC for many years. It has been reported for a while now that just one more sale will provide enough cash flow to get the auditors in house and get those reports filed with the SEC.
A poster here has indicated that it might be happening very soon.
Cheers, Charlie
I'm tired of HQ having its "foot in the door" of so many opportunities. I want them to kick one damn door wide open while shouting, "You need this machine and this is why you can't afford not to have it!"
SwingPlaya: Company had cash flow issues for the past couple of years and stopped filing with the SEC. We are expecting them to refile soon now that there have been reported sales and its debt has been reduced.
Or any day that ends in Y.
I'm very disappointed that JCL chose to recycle a crappy 480 res video in this day and age of 1080p. For crying out loud they've got the damn pilot plant to film!
Nice surprise. Hope it works. <eom>
Sleepin: If it's that soon you should let HQ know. <eom>
Net-Man: I use Chrome at work (Windows 7) and Firefox at home (Windows 8) on an external monitor from my laptop, along with IE both places, and the result is the same. I have not seen any other website do this so it must be the HTML code. Odd that TR and Sam see what I see but you do not.
As far as the website layout goes I've decided I don't like the home page. Two of the three boxes change quickly which I find distracting. I would like a more static home page where the user can sit and read about the company and the KDS. I know money was part of the equation is coming up with a new website, but it's too simple in today's age of graphics.
It needs something to grab the viewer's attention, IMO.
Having said that I'm glad they did it.
Charlie
Sam: It's not the scroll bars per se which is the issue, it's the fact that the scroll bar does not go down to the bottom of the page.
TR: Yes, the scroll bar works but the initial page does not fill the browser top to bottom. Are you seeing something different?
