BioNitrogen Holdings Corp. is referred to herein as "we", "our" or "us."
On September 9, 2014, our then President/Chief Financial Officer, Bryan B. Kornegay, Jr. (“Kornegay”), was criminally charged by the Office of State Attorney for the 10th Judicial District of Florida with grand theft in excess of $100,000. Following the publication of those charges, on or about September 19, 2014, Kornegay took a leave of absence from his positions as our President/Chief Financial Officer. The leave of absence was approved by our Board of Directors. The criminal matter was ultimately dismissed.
In January 2015, we engaged legal counsel to conduct an internal investigation of Kornegay’s handling and issuance of our securities, funds paid by investors, bank accounts into which the investor funds were deposited and related transactions. On March 23, 2015 and April 8, 2015, our legal counsel presented preliminary findings of the internal investigation to our Board of Directors, including Kornegay. In response to these preliminary findings, which included allegations of misconduct by Kornegay, Kornegay resigned from our Board of Directors effective April 10, 2015. Thereafter, we continued (and continue to this date) to conduct an internal investigation of damages that we have suffered from Kornegay’s misconduct.
We made a preliminary report of our internal investigation’s findings to the United States Securities and Exchange Commission and we will cooperate with federal regulators to identify potential violations of the federal securities laws and to recover identifiable losses that we have suffered.

Codaras, could it be that they haven't done a qtrly report for Q4 2014. And, still awaiting Q1 for 2015? I don't know, just a guess.
"I" think a priority is getting financials audited. Not many worthy investors want to invest in anyone tht has "un-audited" financials. They may even, and likey need them audited for most of the upcoming endeavors with bonds and such. Audited Financials will un- mess their books up and reveal what is truly at hand. And, unaudited Financials are not sufficient for hardly anyone . I think a top priority should be the audit, and then the ability to uplist is the gravy. We do need gravy here.
That's right Dutchf, Bion hardly mentioned tht site, and when they did, they merely said they were looking at it. There are many things to take into account when choosing a site to begin with. Look at all the considerations from history that went into choosing the couple they have, and why they changed their minds about the one in Lubbock Tx. They have to have ample of readily and transporable biomass. Location is a major key as to the profitability of a plant.
Again, as my other post stated; Reading were the ones that put Bion's possibilty into the headlines, not Bion.
Bionitrogen has plenty of time to find other practial locations, and they know this. I think they are keeping their eyes open for other locations, but also, they have to do the feasability studies on any possible site.
I'm with you AirCorps, I'm staying on the ship. Have been here too long to jump overboard. I still am positive, and do believe that until more positive news, it (the s/p) will keep bobbing around where it is.
Reading doesn't bother me, that was hush, hush from BION from the beginning (remember you guys). I was never even convinced that they were that interested in the site. I think Reading ran with the idea, perhaps even to get others interested in the site.
So might it be, whatever it will be. Regardless, there is too great of a risk of the rewards (for me) than the risk of the loss. So, I'm in....

Article says that a press release will be done once BK has a replacement. Hopefully we can also be enlightened with other things with this news. Also, seems as though County Manager Bob Brown is optimistic still, and happy with the news.

I think from their past, they have been late a few times. I think I remember that. Being late wouldn't be concerning for me, as long as they get it not too long after. I'm quite sure I remember seeing "Pink Limited" as their filing status, possibly a couple of times.
Would be curious to know how much of the 5 million they have spent of the Perry's/taylor's advance and what it has been used for. They were going to keep tight reigns on it.

Okay, so we see below what all we should pray for, and hopefully we do. I want to emphasize though the "Needy People" (me/us) and the "self" (me) and the "Please Help Me" (Me again) and the "help others" (you all) and the "Forgive Me" really - for praying selfishly. :)
But definately: Thank you to the Good Lord for my many blessings already... true blessings really can't be bought. But, as we know, financial gains are good.
It had been like waiting on the water to boil... I think the pot has now been turned down kind of low, I no longer wait for the boil.
I must say it was a "bit" disappointing, however, I never really thought it would have taken place the 1st qtr. - no matter what they said.
Another thing to mention, I was impressed by the update via the letter to the shareholders, although admitting - it was wayyyyyy over due. But, the letter was well-written, slightly informative, but very welcomed by me.

Bond refinancing set to aid Alvernia University

READING - The Reading Redevelopment Authority has approved refinancing a $10 million tax-free bond issue for Alvernia University to lower the interest rate to 2.33 percent from 2.85 percent.
Daryl S. Peck, a principal at Concord Public Financial Advisors Inc., Reading, said Alvernia is expected to save about $250,000.
"We stand ready to help Alvernia continue to be a great university," Chairman Tod W. Auman said.
In other business Wednesday, Auman said that authority board member Daniel F. Luckey had been reappointed to the city's Blighted Property Review Committee.
The committee looks at city properties that are blighted or vacant and determines whether owners want to fix them. If not, the city tries to rehabilitate them or have their buildings demolished.
"Our goal is always to get the properties back on the city's tax rolls," Auman said.
City Mayor Vaughn D. Spencer said, "Having Luckey, who heads the Reading Housing Authority, serve on the committee is an asset both to the redevelopment authority and the city because he helps to identify neighborhoods that are candidates for revitalization."
The board also discussed improvements at the authority-owned Bookbindery Apartments at 150 N. Fourth St.
Authority Executive Director Adam Mukerji said that 34 of the 41 apartments are rented and that four people were interested in renting others.
"We took over an old building and by making continuous improvements are also enhancing the neighborhood," Auman said.
Mukerji also reported that the authority was still negotiating with two firms interested in the authority's 50-acre Riverview Industrial Park in northwest Reading.
One is BioNitrogen Holdings Corp. of West Palm Beach, Fla., which wants to construct a $330 million fertilizer plant that would create several hundred jobs.
The other is RSI Home Products Inc. of Anaheim, Calif., a cabinet manufacturer that would reportedly create 750 to 900 jobs

You are so right Dutchf, the crickets have no choice but to take over, there is absolutely hardly anything to talk about. I have searched thru to see if I can find a hint of anything to no avail. Any sort of update would be nice - nice if it were good news anyway. Just keeping us guessing... I suppose the main thing still is waiting on the EPC?? Is that what we're still waiting on??
In the presentation, it mentioned 2 companies (1) swiss company that was real interested, and they were going to not charge for something.... Perhaps because of the financial shortfall, BION could/might be sold - you think that is what the presentation was insinuating. Probably not, but that went thru my mind when they mentioned about the 2 companies.

Absolutely makes "NO" sense... 1 share - if one was to manipulate the stock to scare people out of their shares, perhaps that could do it, when they see it down so low. So, someone perhaps wants the stock to drop very low (lower than now) and they've been trying to do that?? Because - Real soon there will be really good news out?? Uhhh.... I'd say "dang" what is happening here as well. I just studied the buys and sells on the "trades" that ihub has, as I do not have the level 2. I think the worst case scenerio would be it flopped, and people were getting out knowing ahead of time. However, I don't think that is the case after studying the trades.
I don't know a lot about stock manipulation, how they do it and all, but, I know if I wantd to manipulate it so I could get my family in, I would sell some pretty low, perhaps 10 shares etc. (which a couple of trades consisted of)Then I'd sell a little more low, etc. etc. Then, So, some people won't look to see how many have sold, and it looks like things might be going south, and they start a little panicky selling. Now, my family, and myself get almost 3 million at a steal. Hmmmmm....
I'm sure you all know that could be one of the scenarios, however, it only came to me as a possibility after studying the trades. And yes, I may have fell off the truck yesterday, or have been living under a rock here.... lol.... but I think I might be enlightened about "stock manipulation" now.
Worst case, like I said, - there's bad news we don't know - however, I don't think so.

I did not need to get a subscription yesterday to read it, but today, it stops me where the "continue" part is. Not sure now, but the article wasn't really detailing anything. Perhaps someone else that possibly read it can tell you about it - as I have forgotten now exactly what it said. The only thing that I really took from it was that the town thinks it is great potential for BION to purchase and establish their plant.
After reading the posts on Facebook, people have high hopes for this and it appears this area needs something. Actually you can read the mixed comments for yourself.
