Minerco Resources, Inc. (OTCQB: MINE) (the "Company"), the parent company of Level 5 Beverage Company ("Level 5"), a specialty beverage company which develops, produces, markets and distributes a diversified portfolio of all-natural and highly functional brands, releases the following Letter to Shareholders (also available at www.minercoresources.com).
November 14, 2013
Dear Minerco Shareholder,
As Chief Executive Officer, my primary responsibility is to deliver shareholder value and to ensure the long term success of our company. Additionally, I believe that we have a responsibility to keep our shareholders informed about new developments, challenges and opportunities. Therefore, I would like to share with you my thoughts on where we have been and where we believe we are heading.
It's been an amazing year for our Company! Only 12 months ago, we were a clean energy company struggling to diversify our business portfolio. Today, we have built a solid foundation to grow and diversify our Level 5 Beverage Company, Inc. ("Level 5"). Our strategic alliance with Power Brands Consulting ("Power Brands") has allowed us to put our young company on the fast track. We have developed a tactical short term plan to create positive cash flow and a strategic long term plan to create tremendous shareholder value.
I would like to highlight just a few of our milestones achieved in 2013:
Relying on our vision and strategic partnerships, we have successfully launched the LEVEL 5(TM) brand.
-- We completed the formulation, re-formulation, design and re-design of the LEVEL 5(TM) brand:
RISE(TM) - Energy Supplement (The Coffee Drinkers' Choice)
-- Sumatra coffee based
COFFEE BOOST(TM) - Coffee Additive
-- Sumatra coffee based
-- Available in Coffee, French Vanilla, Hazelnut and Mocha flavors
CURVES - Women's Supplement (The Women's Choice)
-- Green coffee based in Wild Berry flavor
ARMOR - Wellness Supplement
-- Green tea extract based in Citrus-Green Tea flavor
FLEX - Workout Supplement (The Athletes' Choice)
-- Energizing boost with whey protein in Pineapple-Mango-Passion Fruit flavor
For more details, see our websites: www.level5energy.com and www.drinkcoffeeboost.com;
The entire LEVEL 5(TM) brand was and is designed to target health conscience consumers focused on great taste, targeted functionality, low calories, and all-natural ingredients;
-- On September 16, 2013, we officially launched our flagship products, RISE(TM) and COFFEE BOOST(TM), in retail outlets in Southern California;
-- On October 11, 2013, we made our LEVEL 5(TM) brand available to the world on Amazon.com;
-- Forty (40) days into our launch, our flagship products were available in over 250 retail locations in Southern California and Arizona, and we had depleted 784 cases (9,408 individual units) including 399 cases of RISE(TM) and 385 cases of COFFEE BOOST(TM), which was WELL ahead of our business plan;
-- Following our marketing plan, we have been orchestrating direct retail sampling and developing an online presence. We are currently exploring television and radio advertisements options and have started evaluating specific sponsorship / celebrity endorsement opportunities;
-- In September, Jason Fontaine was named our LEVEL 5(TM) Brand Manager. In November (this week), Power Brands hired our dedicated Key Accounts Manager, as part of our Brand Management alliance, to expand the LEVEL 5(TM) brands (focused on COFFEE BOOST(TM)) into key chain accounts;
-- Due to our early launch success and fortified relationships with our strategic partners, we have identified and negotiated the terms of the Licensing Agreement for the next brand to place under our Level 5 umbrella. The new brand is outside of the functional shot category and has been market tested. Stay tuned for details;
-- In 2013, Minerco discontinued operations of its clean energy business (while maintaining upside potential) and has either renegotiated, restructured or repaid all of its unfavorable debts left over from this discontinued business line.
While we believe the above list of achievements is impressive, we are just getting started with growing and expanding Minerco - Level 5.
A brief overview of our plans for the near future include:
-- The official launch of the entire suite of the LEVEL 5(TM) brand, including CURVES, ARMOR and FLEX, is coming soon. The full suite will be included in the upcoming production run;
-- As promised and through our new Key Accounts Manager, COFFEE BOOST(TM) (in all 4 flavors) will be in front of key retail chain accounts this month. We will update you as we have more information;
-- We are currently evaluating the launch strategy for the new brand, not in the functional shot category, with Power Brands. We plan to realize significant cost savings by tripling our sales, marketing and similar efforts on all fronts.
-- In addition to our Brand Manager and Key Accounts Manager, we plan to hire and/or contract additional sales staff in select and targeted geographical locations.
What to expect in 2014:
-- With the proven strength and demand of our products, we plan to expand all three products / brands into additional regional distribution networks, simultaneously. Our hope is that the results with key retail chain accounts may significantly accelerate our current expansion plans.
-- Once our full line is available in multiple distribution networks, we will begin commercial scale marketing and advertising campaigns.
-- Our focus remains twofold: We will continue to aggressively yet responsibly grow the LEVEL 5(TM) brand while seeking to add new brands, through development and/or acquisition, to place under the Level 5 umbrella.
The future of Minerco and Level 5 is brighter than ever before. With your continued support, we will continue to turn our shared vision into reality. All of us on your Minerco - Level 5 team will continue to work tirelessly to keep you informed, engaged, and proud to be a Minerco shareholder. Contact us at info@minercoresources.com or me personally at john.powers@minercoresources.com.
Thank you, and best wishes for a joyous Holiday Season and a prosperous 2014!
Sincerely,
John F. Powers, Jr. President and CEO

To anyone I pissed off last night that informed me as such via PM, my apologies...
Honestly not a basher and have no hidden agenda here. Just an investor who had a bit too much to drink and didn't like what he was reading in the 10k.
Want nothing but the best for MINE as what's best for them is what's best for me.
GLTA and don't drink and post.
It was a reverse split that got them to that level...Perhaps another one soon and then we'll all have 1,000 shares...
I hate to be a pessimist but at the end of the day I'm a realist....In this 10k I see several more convertible notes due through the end of this year and into next year without MINE having the cash on hand to prepay...That can only mean more dilution. I'm pretty upside down on my investment here so I have no choice but to hold; however unlike most here, I see far more negatives than positives in this 10k. Let's all hope this stock greatly exceeds my diminished expectations.
Been holding since July and adding at the worst possible times bringing my average into the 5's. Hoping for the best but it frustrates me when people here try to spin this report as 100% positive when it contains so much negative info.
Like I said, hate to be negative but facts are facts.
Go MINE (hopefully) and GLTA.
This excerpt isn't exactly settling...
"As of July 31, 2013, we had not generated any revenue since inception, and during the twelve months ended July 31, 2013, we had an accumulated deficit of $7,819,243, a stockholder’s deficit of $2,240,933 and a net loss of $547,403. There is substantial doubt regarding our ability to continue as a going concern. Our operations are dependent upon our ability to: (1) generate sales, revenue and profit from our Level 5 products; (2) obtain necessary financing; and (3) effectively manage costs and/or attain profitable operations. As such, the report of our independent certified auditor for the year ended July 31, 2013 is qualified subject to substantial doubt as to our ability to continue as a going concern."
You don't foresee a ton of resistance around .007 like we had on the last run up?
When using my Georgia zip code and selecting any distance, 199 results are displayed.
Some totals for the major (that I'm aware of) stores:
7-11 - 33 stores
AM/PM - 10 stores
Chevron - 22 stores
Circle K - 6 stores
Mobil - 12 stores
Shell - 8 stores
A little concerned that bid support has all but vanished at .0004...
Just under 10 minutes...Started getting impatient around the five minute mark.
Yeah, that was me getting filled. Now just need to play the waiting game.
GLTY.
Never mind, guess I just needed some patience.
Trying to buy 3M on the ask and not getting filled, anyone else having problems?
That statement appears to be false....
Yeah, you're definitely not alone...I flipped mine a few times in late July-early August with a goal of increasing my initial investment to 1M shares...Since I reached my goal in early August I have not sold a single share...Had I not fought my urge to sell at .007 I could have walked away with my profits or tripled my holdings at these levels...Kicking myself on a daily basis.
In yet another effort to show you how misleading it is when you post this information, please take note that there are now 1.2M shares on the Ask @ .0029 compared to the 526K that were there @ 2:31 when you posted this...
I saw that too but I can't find Coffee Boost any longer...Are you noticing the same thing?
This is great, however the search parameters are HORRIBLE...Searches for "Level 5 energy drink", "Rise", "Level 5 Rise" and even "Coffee Boost" (without the quotes) does not bring up the product at all. If you search "Coffee Boost" (with quotes) it's the second result returned. Not exactly making it easy for the consumer to find this product if they're looking for it, let alone stumble upon it randomly...
It's nice to see that someone else understands this...According to some here, we only had 30k shares to .004 this morning...Several MILLION shares later and see where we are.
Not a basher, but people constantly pointing out how "thin" L2 is and how quick this will fly is getting very old...
That would be nice, but the company announced that Rise had been "produced in commercial quantities" and that wasn't for national distribution.
Certainly doesn't rule out the possibility of going national, but it doesn't confirm it either.
GLTA
The feature does seem functional. I tried my zip code as well, with the same results as you. I then entered 90210 since it's the only CA zip code I know and there are no stores within 5 miles, two stores within 10 miles, and a ton of stores within 25 miles.
Thanks. I see they updated the post with that info 20 minutes after the original post. I feel much better now...It's only logical that if their information is a week behind that they are always in more stores than they announce as long as Avanzar keeps it up. Therefore we are likely already in more than the "over 80" stores announced this week.
Have a good weekend and here's to a green next week.
still need to post.
Need to post.
I noticed in the photos that the nutritional information and ingredients for both products are identical. What are the chances that Rise and Coffee Boost are the same product in different packaging?
Thoughts anyone?
Thanks Spark...Great site to learn the terminology...Looks like the L2 was screwed up earlier...Several trades that were showing as buys earlier are now showing as sells...That explains the drop.
Sorry in advance if this is a stupid question, I'm pretty new to the market...Why did the price go down if every trade today has been a buy?
