Effects of a Reverse Stock Split
Except for adjustments that may result from the treatment of fractional shares as described below, each stockholder will hold the same percentage of our outstanding Common Stock immediately following the implementation of any such reverse stock split as that stockholder held immediately prior to such reverse stock split. On the Record Date, 349,911,822 shares of our Common Stock were issued and outstanding and 88,178 shares of our Common Stock were authorized but unissued. As of the Record Date, we were obligated to issue [________] shares in the future if and when additional shares of our Common Stock become authorized pursuant to Proposal 4, this Proposal 5, or otherwise, consisting of (i) 29,871,782 shares of our Common Stock potentially issuable upon exercise of outstanding warrants, (ii) [________] shares of our Common Stock potentially issuable upon exercise of outstanding stock options, (iii) 100 shares of our Common Stock potentially issuable upon the conversion of outstanding Series A Preferred Stock, (iv) [133,631,960] shares our Common Stock potentially issuable upon the conversion of outstanding Series B Preferred Stock, (v) [107,390,000] shares of our Common Stock potentially issuable upon the conversion of outstanding Series Q Preferred Stock, (vi) [81,649,323] shares of our Common Stock potentially issuable upon the conversion of outstanding Series Z Preferred Stock (which are to be first converted into Series B Preferred Stock and thereafter into shares of our Common Stock), and (vii) up to [_____________] shares of our Common Stock issuable upon the conversion of outstanding convertible notes. All of these share numbers will be adjusted as follows: (i) with respect to outstanding options and warrants, the respective exercise prices of the options and warrants would increase by a factor equal to the inverse of such reverse stock split ratio (e.g., if a one-for-five ratio were to be selected by the Board, then the exercise price of our outstanding options and warrants would increase by a factor of five), (ii) with respect to our Series A Preferred Stock (and Series Q Preferred Stock if Proposal 4 is not approved), the conversion rates would be adjusted in accordance with the ratio of a reverse stock split, and (iii) with respect to our Series B Preferred Stock (and Series Z Preferred Stock if Proposal 4 is not approved) no adjustments would be made to the conversion rate of our Series B Preferred Stock.

It is a great long term company. Pays a good divided MONTHLY.
wake me up when it gets back to .15. ;)
Nothing to do with tax law. More like bankruptcy law. Research how he made millions while leaving his financiers holding the bag in his casinos. Similar to what they are doing here.
The dispensaries will be like Trump's casinos in Atlantic city. Always in the red and over financed but always providing a hefty payday for the insiders.
User235 got fired...
Could explain why his mortage fraud case has been moving along so slowly.
He's been holding the same shares for 3 years now and still crying he didn't sell at 1.4.
That's just the way it is.
Who cares, they are losing money now and will lose money then.
Illegal criminal activity? Really? Roflmao
Then why wasn't he arrested and thrown in jail?
Um...but where is this so called "conviction"? Still waiting.
It ain't defamation if it is true.
He was? Got proof of said conviction? I'll wait.
Facebook message from ex mayor. The comments are also interesting.

Denial isn't a river in Egypt. It is plain as day in their own filings with the SEC that the conversion ratio of the B shares doesn't change in the event of a reverse split.
You do realize there are more than one class of shares and they are affected differently in the event of a R/S?
Roflmao
Yes those silly fillings with the SEC...
WOW JUST WOW. Now that speaks volumes.
Now read what happens to the B shares as what you posted only reflects the common shares.
Sorry, but corporate fillings trump all.
No, you are 100% wrong.
No, the B shares do not reverse split along with the common as well as the conversion factor does not change, straight from SEC filings.
Hysterical...
It is a link to an 8K, not a seeking alpha article.
You have to be friggin joking.
Not going to happen that soon. They still have to release the def14 and then have the dog and pony show of a shareholder meeting where they pretend common shareholders have a say on what happens with the company and then they will do the R/S. I say December 15th.
I am projecting a 2 million net loss for EG.
Ok. Highly doubtful.
Marked. Question, when you say this quarter, do you mean this upcoming report for Q2 or the qtr we are currently in which is Q3?
