This is what I find (caveat--there maybe additional information that I may have missed):

...On June 21, 2012, the Registrant, Nuvilex, Inc. (“Nuvilex”), a Nevada corporation, purchased 100% of
the shares of Austrianova Singapore Pte. Ltd. (ASPL) in exchange for 100,000,000 shares of restricted
Nuvilex common stock. A copy of the final Asset Purchase Agreement, dated May 26, 2011, is
attached hereto as Exhibit 2.1.
Under the terms of the Asset Purchase Agreement, the Nuvilex and ASPL shares are held in escrow
until the completion of Nuvilex’s financing obligations. The Asset Purchase Agreement, as amended,
provides that Nuvilex will fund future ASPL operations in the amount of $2.5 million with a target date
to complete the funding by December 31, 2012. Nuvilex will continue current funding of $60,000
monthly in operating capital until the overall funding is completed....
Completing the agreement is similar to paying your mortgage or defaulting.
10Q not surprising but perhaps disappointing. NVLX is a very risky investment, but maybe with a lot of potential if both product (Cell-in-a-Box) is effective and safe as promoted as well as successful company management. I'm still hoping for the best.
For those interested, the company filed a form today stating the 10Q will be filed late.
I am looking forward to the 10Q. But, if I had to guess, I think the merger isn't closed yet. I would love to be proved wrong. At this point I don't think anybody knows what the Cell-In-A-Box is worth, or if it is worthless.
Fox: "The 10Q should be out shortly based on last years Dec. 14th. I am hoping that it concludes the merger and not an extension.
If we require an extension I personally have to wonder what the Cell-N-Box is worth? Oh well I might have just lost a friend or two but it's time to Ready...Aim...Fire."
Fox: Personally, considering the lack of financial news from the company, I'm not get my hopes up too high. I would like to know that the financing is finally done and know about the the dilution.
For the record, not that anybody really cares, I haven't sold any NVLX shares. I'm a long time holder (maybe too long) from efood. For now, I still have hope for NVLX. I understand people selling stock for whatever personal reasons they have. GLTY
That $4000 can maybe pay the mortgage plus some groceries, or maybe an unexpected hospital bill, or be put into another more exciting investment opportunity, or even used to play the lottery. I'm not surprised in the least when people sell. The seller may have been hanging on a long time already and had enough-- thinking maybe this isn't going anywhere anytime soon. Or maybe it is a short term investor who put $2000 into this stock and said they shouldn't be greedy and 100% looks good to them.
Don't get me wrong, I don't like that the stock is being held down. I want this stock to soar, but the nature of the game, for many of us, is that our stocks don't do what we want or hope.
Some possible reasons: Someone who either wants or needs to free up cash right now; or someone who doesn't believe this investment has much short term or long term potential. This is still a risky stock and far from a sure thing.

JPGetty: My understanding, in the US, there are 3 phases for drugs and devices and each typically takes longer and uses a larger population sample. Phase 2 may take about 2 years, and phase 3 may take 3 years. Then the company will submit for approval. All of this takes time and varies, and of course there are no guarantees. Good luck.

but I have learned many soons ago, (this company and others), that imminent and soon don't mean the same thing to investors and the spokesperson. Seriously, Good luck. I have been here a long time and I mean that sincerely.

Another factor that I think SGA went with Nuvilex is so that they can maintain control over their work, for now, and profits that might not be so easy if they were part of a larger company. Just a hunch on my part.
Agreed it can't be based on nothing, but that basis may be nothing of substance to INVESTORS.

While the revenue picture is not good for NVLX, they do have revenues according to the filings. In addition, they seem to be transitioning with the acquisition (I don't know if this is complete) of SG Austria to a biotech company. So far as I can see, I don't see evidence of a scam. The technology they are pursuing, at least at first glance, seems to have potential medically and perhaps financially.
At this point I would consider it a risky stock, but far from a scam. I am concerned about the recent almost daily press releases restating very similar information.

This type of response is helpful to evaluate the stock. There isn't a whole lot here but hope from the CEO, but a few may be rightfully jaded at this point. For the company to remain viable he, and really I think it is primarily the CEO at this point, needs to execute sales contracts successfully.
Last I read DKSC was in negotiations for the Restec rights.
The email that you,mzasif, received from Mr Van Arem hints that they now have the rights again to sell the windmill/pumps. Now I ask, how come he can't execute sales? Is the company so broke (we have no financials that I know of) that they can't file paperwork, or manufacture the windmills, if they actually have the rights? Do the windmill/pumps actually work as they promoted in the past?

The issue is funds. Yes we are talking to humanitarian organizations and we do have the exclusive rights to sell the waterpumpers.
As far as press releases, filings and such are concerned the issue is money.
I am hopeful that something will happen but there is no guarantee.

Kind of hard to do when the only information you have is a lot of trading volume. Is there anything else? I don't see it. Shell buying or stock manipulation, etc... people shouldn't be investing money that they expect to recover without being able to do REAL Analysis; and no information leads to speculation.

Well, easy go at any rate. I don't know about the easy come. I'm glad I wasn't in as deep as some investors. I really hoped that the company would come through, but I knew it was a high risk. If the company comes to life again and has some sales and doesn't leave investors in the dark for a year, then I might (a big might) buy again; but again only a small amout as a speculative stock. I hope they can make something of this windmill and wish holders good luck. But right now there isn't anything tangible that gives me hope.
WP, are you buying this just for kicks? I don't see any reason to own this this stock right now. But it is kind of you to take virtually worthless shares off the hands of those who no longer see any reason to hold the shares. BTW, I think I own you a small thank you. While I lost money on this, I got to keep about $10 after fees instead of loosing every last dime. Now I can buy a couple of cups of coffee. Oh well, good luck to you.
Do they still have a windmill to sell? I don't recall ever seeing that they had the rights renewed on the Restec Mark 10. A year ago they stated: "advanced negotiations currently in progress."
Did I miss something? Does DKSC have anything to sell other than stock? I, of course could be wrong, but I suspect that at best there is only a shell of a company. Too bad.

I don't know why anyone is buying this stock either. A couple of days ago I saw the post that Neveda had revoked DKSC's corporate status (I don't know the effective date on that but the post was from August 1st) and noticed that the market cap on this stock was less than some of my credit card limits. I thought it was time to cut my losses (I bought relatively high a couple of years ago) and said goodbye before their wasn't anything there. I really didn't recoup anything, but I didn't see any reason to take a total loss for this company. I didn't pay a lot of attention to this stock, but I kept hoping it could pull through. I doubt as a public company it has any real chance.
The windmill concept sounded promising, but I don't know if it really worked.
