Someone should ask Jorge why he gave Zizzaz a convertible note for a Million dollars in exchange for $4,614 of net assets acquired?

The majority of "investors" here who bought BRND have probably never read a single filing, much less understand what convertible debt is.
They don't get that the "products" are just part of the scam. The company will never make money selling zizzaz or any other beverage; they don't intend to. The goal of the company is to create hype so they can sell shares to pay off the debt.

It is my opinion that suggesting to someone that they should take a very critical look at what they are doing is not criticizing them or judging them. It may even be helping them.

The loss of the Sylvania contract was a big setback, and they seem to be losing ground at Home Depot to Cree and Philips.
The massive amount of debt, and high costs are bad but they keep bringing in new big investors.
The restricted share arrangements with these investors is very complex and that makes me wonder if retail will have a hard time seeing the pps increase, as more and more shares are converted to common.

"The Company leases its San Diego office space on a month to month basis from a related party for monthly rental payments of $1,000. The outstanding accounts payable balance due to this related party as of May 31, 2013 and August 31, 2012 was $6,000 and $1,000, respectively."

During the year ended August 31, 2012, these related parties advanced the Company $506 to fund operations. During the year ended August 31, 2012, $304 of the advances were repaid.

Read the 10Q more carefully.
"The conversion price is adjustable, based on a 50% discount to the 20 day average closing trade price for the Company’s common stock. The maximum amount of the conversion price shall not exceed $0.007 per share."
It is in the best interest of the debt holder to convert at as LOW a price as possible so that they can dump the shares into the market for a profit.

Are you familiar with "convertible debt" and how it works with BRND?
The key to the scam is to get loans from players and then pay them back with discounted shares, which they then dump into the market.
Look at the last 10Q and read where it says;
During April and May 2013, 6,666,667 shares were issued to settle note principal in the amount of $21,700.
That works out to $0.003 per share. Then the stock was pumped up with claims of a great new product etc... and the pps went to $0.02.
Then came the dump and the people who gave the loans cashed out with massive profits.
It's how all the stinky pinky stocks work.
