So you’re saying it IS possible for a company to dilute while they are a non-reporting caveat emptor entity??? That’s total and utter BULLSHIT! The only time a company can dilute is if they at one point became current by providing financials to the SEC. Dilution would show up in those financials, letting shareholders know what to expect. In this case, there were NeVeR any financials provided by GIFX as it relates to their business activities, therefore there is absolutely no way they can dilute a single share.
Now it would be a totally different story if GIFA provided their own financials at one point in time. If they had convertible notes, shareholders would expect dilution. If later on GIFX decided to stop providing updated financials, they would go into a delinquent status. Here’s the difference. SEC Delinquent doesn’t mean convertible notes holders aren’t able to dilute. In fact, even after a company is non-reporting for months on end, note holders can still exercise their right to their money. The issue with GIFX is they NEVER provided their own financials, so they CAN’T dilute a single share, unlike other similar scam stocks with O/Ss upwards of 1.4 billion.
People keep on forgetting, they can’t dilute shares if they were never OTC current in the first place. It’s not possible to dilute when company never provided any balance sheets or financials. The only thing tied to this company are firefish fins from years ago. Nothing at all to do with GIFA’s business activity.
They are either set up to "Naked Short" without diluting the O/S through GIFA Forex, or they are using multiple accounts to manipulate the price when it suits them, while controlling the social media and Yeni Bakis articles they put out. Probably a combination of both.
How could the share structure change if the company is, and has ALWAYS been, CAVEAT EMPTOR?

So let’s examine this part of the company’s last PR. They mentioned that their ability to negotiate an acceptable deal with minimal or no further dilution with the convertible noteholders is the key component that will determine whether the company spends monies strictly on operations, OR on operations and the expense that goes along with maintaining a fully reporting status.
So it’s pretty clear to me what the above portion is saying. The company knows if they provide updated balance sheets, they won’t look good due to lack of sales, revenue, and increased debt. Plus they know once they finally do provide updated financials, they will still have those convertible notes they THEMSELVES mentioned in the PR. So to avoid dilution, they would rather not maintain a fully reporting status. Meanwhile, those who picked up diluted shares in the .0002s, .0003s, .0004s, AND .0005s, are now pumping the stock so they can flip those same shares to new marks.
So now let me ask you this... what happens once the company finally does provide updated financials? The dilution floodgates will open up again driving the price back down to .0001, because this time there are A LOT more shares out there, and when newbies see dilutors dumping, they will also dump, creating a massive sell off to .0001. Once this happens the O/S will be close to maxing the 2.5 bil A/S. Then the company will have no choice but to issue a reverse split.
What’s going to happen? Are the .0005s all going to get dumped?

This is my favorite part of the PR:
Delinquent because they have nothing positive to report. Because they have no business due to Covid. Because no one wants their jerseys. Because their “in the coming days” masks where never produced. Because they know there are plenty more convertible notes.
Most importantly, because the company knows releasing financials will show terrible numbers and a boatload more convertible notes. People will dump as soon as they get one look at their balance sheet.
Pump and dump scammers will say anything to fool the sheeple. Labeling something truthful as bullshit is a perfect example. This is the exact type of behavior associated with pump and dump scams.

When information is true, it is the opposite of bullshit information. It’s called the truth for a reason.

So if the O/S was just under a billion shares two months ago 4/28, what do you think the O/S looks like as of today, 6/30? What do you think the note holders are going to do as soon as this company resumes their reporting obligation? You guessed it, resume dumping of toxic convertible debt.

Next we’ll be hearing Kisa canceled the shareholder meeting at Elexus Hotel Resort & Spa, because instead they are proud to announce that their own hotel is opening “in the coming days”. Conveniently, the meeting will be moved to end of the year at the “new property”. Then there will be some bullshit about complications and delays with the government of Cyprus. Kisa is getting overtaxed again or some bullshit. Needless to say, financials will never come out, AND there will never be a shareholder meeting.
I can’t wait till the SEC shuts this scam down once and for all.

How come we don’t hear anything about these businesses anymore? We don’t know anything about their revenues, debts, assets, etc. No news updates as to how they are doing. Strange... it’s like this major conglomerate doesn’t even exist, outside of their own Yeni Bakis articles, an ugly company webpage (gifainc.net), and a sketchy Instagram account (y.kisa1). Are the red flags really that hard to see here?
Oh and to top all this off, the CEO promises to make his shareholders millionaires via an Instagram post. Brilliant!!
