In addition...I feel you have confused the shell purchase excitement last November with a reverse merger announcement "tweeted" by HDOGTX. I believe that is how you became aware of PFOB. I hoped HDOGTX would have contributed his experience as stated on his information page when I posted the court filing on his RM board but unfortunately we got, in my opinion, "a play opportunity" as referenced so often on Ihub. PFOB is a very different case. Can you produce a similar situation where the shell and the private company share the same owner PRE reverse merger? If you do then we might have an example for time frames as long as the owner is self capitalized like Holigan.
Interesting...now attempt to make a viable point. Why would it have already happened? Why is the time line limited to 8 months?

Updating filings are a necessary element of shell preparation. The owners date for use of the shell will determine SEC compliance activities. I have no opinions regarding Holigans plan of attack. Its a wait and see.

Plus multi-cultural initiatives per Moore's resume. What about Salt Lake City? So far our management is Texas based. Where is the Utah affiliate? Seems peculiar that someone's name hasn't showed up...not that there has to be but regionally it seems odd without some type of tie in.
Patrick Moore moved from General Manager in 2002 to Corporate Executive Vice President in 2010 of Glazers. A mere 8 years to achieve the move up. I consider his presence to be encouraging. Having beverage industry talent as a partner in the beverage industry is exactly what I want to see.

Then again, taxes are an expenditure applied in all cases and to allow a company or individual escape from that debt would be inequitable and unfair to the tax paying whole.
" If the company has assets those assets can be sold to pay taxes, which are a “priority claim” in the bankruptcy. Priority claims get paid before other creditors. So if the tax debts are paid from the sale of the company assets, that liability won’t fall back on the individual owner".
So as owner of the shell Holigan, is responsible for paying the taxes, an element of updating the financial records for dormant years of non-operation. In other words, Uncle Sam is impervious to the effects of Chapter 7 where the other creditors are "out of luck". Holigan himself, as senior creditor would know how that feels.
In regards to taxes owed. It is my opinion the prior tax bill would be attached to the proceeds from the sale. They would have priority though nothing would realistically remain after fees associated with the trustees efforts are compensated. I know governments "get their money" but it seems the taxes would fall in the lien/encumbrance category and the shell was sold free and clear of both. Can you clarify? Thanks IE.

Minimonk, after researching the subject, it is my opinion the chapter 7 eliminated any NOL future benefit. In the case of a chapter 11 or similar chapter (#), under new ownership (a creditor) a portion of the benefit exists.

I made this same observation long ago.
I would "guess" the transaction would be a typical exchange of shares.
Holigan obtained the share structure free of debt and liens and he acquired a good share holder base who believes he has got what it takes. (Pull up any PFOB shart with acc/dist)
It would appear the transaction would be smooth. The private company and the shell owned by the same entity. In fact, if Pompis is the target, the shell is already defined for SEC filings. Simply mark out Performing Brands (PFOB) and add Backside Beverages LLC/ Pompis Energy (????), convienient.

Revenues? To early to estimate and I would never do that publicly. The food trucks service 30,000 customers daily and Pompis is in every available convience store and hispanic grocery store in Houston, Dalls, and Salt Lake City. Looking at the census for these cities is a good indication that if the brand is excepted it could be successful. Only audited financials will tell for sure.
