Hi all,
My best guess why TRGD is trading at near a 1:3 ratio now instead of the 1:2 proposed ratio is that the Q3 2010 still hasnt come out. I think that when it does (will probably come today after the close) and when we get some confirmation about the 1:2 ratio with a NR that should come after the Q3 is released we will see much higher prices on both TRGD and TARM.
TARM up to $1.25 today. I think it will go to $2 pretty soon after the merger and we can move to AMEX.

What lies? Biscan has in my oppinion never lied. But he has had much too optimistic forecasts (as many other CEOs in the mining industry).
Biscan has managed to build a company from almost scratch that soon will have a great cashflow as it seems. There are not many others that have managed to do so.
What you think of the management is up to you of coarse. But I and many others are fully confident with Mr Biscan and the management.

Now second quarter for TRGD filed. Only 3 quarter left before the proxies for vote on the merger will be sent out. Årobably the Q3 will come later this week or on monday next week.

There is no way that the remaining TRGDs financials for Q2 and Q3 2010 will not be published now when they have published the financials for 2008 and 2009 and the first quarter of 2010.
Its just to buy cheap shares and be happy.

I personally think it is a little bit strange that TRGD do not trade at or at least near the 2:1 proposed ratio. TARM trading at 1.01-1.09 we should have TRGD around 0.50 at this point.
But I guess some people are still uncertain about the rest of the financials coming out even if the first one now has come and the rest probably will come in a matter of days.

Tara Minerals have updated financials and have never been late with financials. The metals are there its just slow in the start with hard work to get the production going. But soon we are there!

A deal with a major helping us with production will probably be announced soon. And many other good news too. Including TRGDs financials.

Exciting times ahead!
This is great PR for Tara minerals which is the mainsponsor of this meeting.
I expect buying pressure beginning in Germany perhaps on friday or next week.
The smart investor buys before that. We are oversold so it can be a big move when many european investors may be buying into TARM and TRGD. The 10k for TARM (and TRGD) should be out before nov 15th.

TRGD in Frankfurt up 15 % on high volume today. Perhaps the financials are coming very soon. It should be out latest 1st of dec.
0.30 EUR is about 0.42 USD. Lets see what will happen in the states today.
If you dont know about it there is a swedish company called Lundin Mining. They are a copperproducer that owns about 25 % of Tenke mining which just got news from their coppermine in Kongo. Read more about it at the company homepage or look up the symbol LUN.TO at yahoo.

Mid November (nov 15th) if Im not wrong.
Nice day for TRGD today +19.44% closing at $0.43.
Hopefully we saw a low this week. News is coming soon and I guess we have a price of at least $1.50 for TARM at the time of the deal, that means $0.75 for TRGD which is almost 100 % up from todays levels.
There is no chance the deal is not going through.

My swedish broker say that they cannot give me a physical certificates for my shares in TRGD. I have a capital assurance as it is called so the broker stand as the owner. What should I do? I could sell now and transfer the TRGS share to an ordinary account but it will take 6 trading days. Will I need these physical certificates or can I rely on that this will be handled electronically without physical certificates?
If TRGD gets denoted 28/9 how can I then be sure to get TARM shares when the deal is voted through?
My broker said that they will receive information about the possible denoting for TRGD before it will take place. Can I rely on this? I mean does the SEC send out this to the brokers a couple of days before the deadline the 28/9?

To me it seems like TRGD will be revoked and denoted 28/9, that is in 11 days. What will happen then. Will the shares be denoted from my brokerage account? And how will the buyout be dealt with when the stock is no longer on a stock exchange?
From the NR today:
"Therefore, if the Transaction is approved by the non-affiliated shareholders of Tara Gold and Tara Minerals, shareholders of Tara Gold will need to exchange physical certificates representing their shares in Tara Gold before receiving the shares of Tara Minerals which will be issued in the Transaction. Under this scenario, short sellers will have to deliver Tara Minerals shares to the Tara Gold shareholders whose stock they borrowed."
What happens to TRGD shareholders if we need to exchange physical certificates representing their shares in Tara Gold before receiving the shares of Tara Minerals as stated in the NR if we have a brokerage that dont use physical certificates?
The best thing would be if it is done electronically as usual so that shareholder of TRGD dont need to do anything. I presume we will hear from TRGD soon how this will be done.
But it should work out as usual that all TRGD shareholders autmatically gets TARM shares at the date the transaction takes place I guess.
But just in case I will call them and make them make a statement.

How about shareholders in other countries?
Im from Sweden and I know that many swedes are shareholders.
Most of them have the shares in a big brokerage.
Do you think that we will have to contact our broker or does this transaction handle itself? I think that the TRGD shares will be automatically transfered to TARM share in my acount but perhaps it is worth checking? And what should we do exactly?

From another forum written by mudpuppy:
The last trgd/tarm stock ownership ratio I saw was .725, as I recall.
Tarm fd share count is now approx. 62M(55M os + approx. 7M options and warrants out), and trgd fd share count is approx. 103M.
So 62/103 x .725 = .435 which is what each fd share of trgd is worth in relation to each fd share of tarm, not counting what trgd owns which was listed in the pr. So the offering of .5 by tarm for each trgd share is offering .065 more for all the additional assets and loan write-off that trgd is bringing to the table, a reasonable deal for both companies, imo.
The effect of the tailings deal on my calculation above is negligible,imo.
I agree. Its the shorts last chance in Tara and they know it.

I think they have done tremendous things and much more to come as you say.
I just expressed my concerns about not getting the deal in land.
But I trust you that it will be a deal no matter what.
I couldnt see any better company to place my money in.
I think TARM will be at $10 in 1-2 years.

What will happen if TRGD is revoked before the deal is finished? Will TRGD shareholder lose all their shares and money or what?
If they send this thing in in 21 days how much extra time does that buy the company? If Im reading the PR correct all should still be solved if TRGD send in all their financials before 21 days from the 7/9 thats in about 2 weeks. Or am I wrong?

Thats interesting. How fast can this be a mine producing best case scenario do you think? It will be a huge increase for TARM if this is so big that expected.
What does this mean for us stockholders?
TARM $10 in one year? I think that it is possible if everything goes ok...
Or even $25 perhaps? I can wait two or three years for that. No problem...
