With our foot in the door at multiple nationwide pharmacies, it could be a great thing. The time and money being spent on developing a national brand with EG will pay off a thousand fold. imo of coarse
I looked into this not to long ago and the "water cooler" talk is the Governor of Indiana and a few other high ranking officials are in bed with the prison system. Numerous bills have been submitted and apparently they can't even get a hearing. It would seem the facilities in Indiana will grow EG at least until the people vote for someone who is pro common sense.

What's a national brand (EG) worth?
I do to. Here in the Midwest Dillon's definitely has the best produce section. Now since they are carrying EG brand they will remain on top.
The free shipping aspect is big too. We will get a price break for quantities shipped and the price increase shouldn't deter any buyers.
A month ago or so I made probably 100 phone calls to every Kroger store (Dillons in my area) and every Walmart in the phone book and spoke to the produce managers in each asking about the EG brand. Not saying I had anything to do with bagging the biggest fish in the pond, it's just what I did.
If my memory serves me correct I read an article awhile back saying the only competition for the "living herbs" comes from China. So not only did we bag the big ones we are going to own the market.

I noticed blum has their own clones. Wow, if this is true with would make perfect sense is a total game changer. Once the lawyers give the green light we could be growing out clones at a fraction of the cost vs buying from someone else. This also means we could harvest, process, package and have ready to sale in about 2 months. (depending on specific strain) Plus the NV state can look at a well ran community respected dispensary has an example of what a trtc dispensary will be like.

The biggest problem I see with the negative evaluations is that people are looking at trtc like it is listed on the s&p 500. Maybe someday. This is a relative new otc traded company that has emerged into an industry leader in multiple markets that are about to explode. OTC companies sell and trade stock for services and operating capital... blah blah blah I could go on but I don't need to, do I.

I would have to disagree, it will happen far sooner than he predicts. Fed will agree to respect states rights and not seek to bust those in compliance with state law. FDA will move mj to schedule III. More and more medical uses will be proven by science once researchers can do their thing. (schedule I prohibits research) This plus tax $$$ will push the issue. Legalization could be a bid issue on the next presidential election - if we make it so.

Legalizing mj will be the biggest news this century, all the players out there who are the real deal like trtc and a few others need our support. Big Tobacco wouldn't start from scratch. With the most likely event being the gov leaving the mj issue up to the states and the states requiring "seed to sale" within their borders it would be incredibly expensive to build facilities in every state. Big Tobacco at best would buy up and consolidate the players like trtc and privately held businesses. By the time this would happen trtc would fetch a premium. Then again this (mj) has always been such a grass roots movement, the people may not support an outsider to step in and dominate.
I don't mean to intrude on the topic, but I have to go with doc k on this. Mj is illegal on a fed level. period. Fed law supersedes state law. Can anyone say "civil war". It had more to do with economics and states rights than slavery. At any time the feds can raid any business or arrest people that actually touch the plant. Will they? I absolutely believe they will not shut down any business following state laws, but they can. It would be a huge mess with all the lawsuits being filed, uproar from all the activists, etc... Now what would happen if the feds did raid businesses? All assets would be seized, all employees arrested, they could even go after the shareholders for funding a drug operation. Surely we can all believe that wouldn't be good for the share price. Again, I am 99.997% sure they wont, but they could.

Potential reclassification...
I think the FDA reclassification is a done deal and the discussions they are having are about where to move it to. Alcohol and tobacco were given an exemption and is what, I think, should be done to mj. Schedules II, III, IV and V require a prescription by a medical practitioner, so that takes full legalization of the menu. I believe they will reclassify to schedule III for now. Marinol, which is the synthetic form of tetrahydrocannabinol (thc) is currently in schedule III. If you look at other drugs in this category like codeine, anabolic steroids, hydrocodone etc... you realize mj doesn't belong here but since when has anything about the laws and mj made since. It would be a nice step in the right direction though. But this leaves the question of what to do about non medical use? Maybe a schedule III status and a decriminalization law that respects the states decision to proceed has they see fit is the way to go? Whatever they decide is going to be ground breaking news for trtc and the industry as a whole.

Accredited Investors
Under the Securities Act of 1933, a company that offers or sells its securities must register the securities with the SEC or find an exemption from the registration requirements. The Act provides companies with a number of exemptions. For some of the exemptions, such as rules 505 and 506 of Regulation D, a company may sell its securities to what are known as "accredited investors."
The federal securities laws define the term accredited investor in Rule 501 of Regulation D as:
1. a bank, insurance company, registered investment company, business development company, or small business investment company;
2. an employee benefit plan, within the meaning of the Employee Retirement Income Security Act, if a bank, insurance company, or registered investment adviser makes the investment decisions, or if the plan has total assets in excess of $5 million;
3. a charitable organization, corporation, or partnership with assets exceeding $5 million;
4. a director, executive officer, or general partner of the company selling the securities;

They can't sell without registering...
If they want to sell their shares prior to one year, they have to register their shares. (pay particular attention to the bold type below) and last time I looked no shares were registered.
Rule 506 of Regulation D is considered a "safe harbor" for the private offering exemption of Section 4(2) of the Securities Act. Companies using the Rule 506 exemption can raise an unlimited amount of money. A company can be assured it is within the Section 4(2) exemption by satisfying the following standards:
The company cannot use general solicitation or advertising to market the securities;
The company may sell its securities to an unlimited number of "accredited investors" and up to 35 other purchases. Unlike Rule 505, all non-accredited investors, either alone or with a purchaser representative, must be sophisticated—that is, they must have sufficient knowledge and experience in financial and business matters to make them capable of evaluating the merits and risks of the prospective investment;
Companies must decide what information to give to accredited investors, so long as it does not violate the antifraud prohibitions of the federal securities laws. But companies must give non-accredited investors disclosure documents that are generally the same as those used in registered offerings. If a company provides information to accredited investors, it must make this information available to non-accredited investors as well;
The company must be available to answer questions by prospective purchasers;
Financial statement requirements are the same as for Rule 505; and
Purchasers receive "restricted" securities, meaning that the securities cannot be sold for at least a year without registering them.
While companies using the Rule 506 exemption do not have to register their securities and usually do not have to file reports with the SEC, they must file what is known as a "Form D" after they first sell their securities. Form D is a brief notice that includes the names and addresses of the company’s owners and stock promoters, but contains little other information about the company.
In February 2008, the SEC adopted amendments to Form D, requiring that electronic filing of Form D be phased in during the period September 15, 2008 to March 16, 2009. Although as amended, the electronic Form D requires much of the same information as the paper Form D, the amended Form D requires disclosure of the date of first sale in the offering. Previously, the closing date of an offering was used as the first date of sale. The Office of Small Business Policy has posted information on its web page about the filing requirement for the new Form D.
If you are thinking about investing in a Reg D company, you should access the EDGAR database to determine whether the company has filed Form D. If you need a copy of a Form D filed as a paper filing (which will include any Form D filed before September 15, 2008), you can request a copy using our online form.
