Extremely Happy to see this cert buy back is finally over, it changed the focus from sand & gravel, soil products, land development, oil and natural gas, commodity brokering, plumbing, trucking, contract hauling, construction, swimming pool construction, construction related industries and jets; to how can I flip this thing for a quick buck. I never wanted .03 cents from my investment. Got in to hold and hold and hold, won't be happy until I have shares worth more than $1. I want them to do what they need to do so the 10 can be filed and the share price can rocket. Hope the don't say another word or issue another pr until all is done.

Definition of Tender Offer
Tender offer is a term typically used in corporate finance to mean a public, open offer by an entity to buy stock from the existing stockholders of a publicly traded corporation under specific terms in effect for a specific period. In the United States, tender offers are regulated by the Williams Act.
In a tender offer, the stockholders of the targeted company are asked to tender or surrender their stock holdings for a stated value (usually higher than the current market price or at premium) subject to the tendering of a minimum and maximum number of shares. For instance, if a corporation's stock were trading at a value of $1/share, an acquirer might offer $1.15/share to its shareholders on the condition that 51% of shareholders agree.

Doesn't look like any of us will know anything until after the fact. I think they have their best interests in mind, it just so happens those interests will benefit the shareholders, IMO.

Projected earnings based on a set of assumptions and often used to present a business plan (in Latin pro forma means "for the sake of form"). It also refers to earnings which exclude non-recurring items. Pro-forma earnings are not derived by standard GAAP methods.
Items sometimes excluded in pro-forma earnings figures include write-downs, goodwill amortization, depreciation, restructuring and merger costs, interest, taxes, stock based employee pay and other expenses. SLJB has great margins; I would expect we will be able to estimate profits with a high degree of accuracy.

I was a big skeptic at first, got in some time ago at .025, the only thing that has stopped me from taking the huge profits I have and moving on is the great DD on this board. Everything happened as scheduled or stated (never experienced that before), I must stay to see what's next.

That's a good point and you may be correct. They may have just wanted an avenue out that would give them future income with a future for the employees. PA did make this comment; "The purchase of another company that took someone 15 to 20 years to put together is a very delicate process." The owners may want to retire, it's been the name of his game plan before, to acquire companies that are profitable with owners that want to transition out. JMO

The company seems to be doing a great job of keeping this moving, pr's at just the right time.
Ultimately, under this scenario, wouldn't the company need to eventually sell shares for the shorts to cover?
