On February 20, 2018, OriginClear, Inc. (the “Company”) entered into a securities purchase agreement with an accredited investor pursuant to which it sold and issued an unsecured convertible promissory note (the “Feb 20 Note”), in the aggregate principal face amount of $53,000. The Feb 20 Note matures 12 months from the date of issuance and bears interest at a rate of 10% per annum. The Feb 20 Note may be converted into shares of the Company’s common stock at a price per share equal to 39% of the lowest trade price of the Company’s common stock recorded during the ten prior trading days from receipt of the conversion notice (subject to adjustment for stock splits, dividends, combinations and other similar transactions). In addition, while this Feb 20 Note is outstanding and to the extent the Company grants any other party a more favorable note with a face value equal to or less than the face value of this Feb 20 Note, at the Feb 20 Note holder’s option, the terms of the Feb 20 Note shall automatically adjust to match that more favorable note including the conversion price, if applicable.

The Feb 23 Note matures 12 months from the date of issuance and bears interest at a rate of 10% per annum. The Feb 23 Note may be converted into shares of the Company’s common stock at a price per share equal to the lessor of (i) $0.03 or (ii) 50% of the lowest trade price of the Company’s common stock recorded during the twenty prior trading days from receipt of the conversion notice (subject to adjustment for stock splits, dividends, combinations and other similar transactions). In addition, while this Feb 23 Note is outstanding and to the extent the Company grants any other party a more favorable note with a face value equal to or less than the face value of this Feb 23 Note, the conversion price terms of the Feb 23 Note shall automatically adjust to match that more favorable conversion price.
The securities referenced above were offered and sold pursuant to an exemption from the registration requirements under Section 4(a)(2) of the Securities Act.
Yeah, with the scam artists running this company, there could be 10 times more toxic shares floating around than what we know of.

Maybe you are, maybe you aren't. None of my business. You've been saying you've been buying $DIGAF since around $0.20 Good luck.
Computer algorithm. Imagine having a computer algorithm that keeps track of all buys and sells and calculates the averages most retail buyers are at and how long they've been holding shares.
Then the algorithm dumps shares onto the market long enough until most retail is far enough under water that they panic and sell. And if any retail hold the shares until it runs again, the algorithm will start dumping shares onto the market before most retail has a chance to break even. Retail will make no money, or very little money.
This is what retail is up against. And it's very difficult to time the market when you're up against super computers.
It's like going to Vegas, playing blackjack (with a lot of knowledge about blackjack).... but the house not only counts cards, they also have video on your cards and inform the dealer of your cards during every hand. Top it off with a dealer stacked deck.
That's the reality retail traders face today.
No idea where all these shares are coming from or who is dumping them. Should get a bounce sometime, but I'm not putting a cent in until I see the share dumping end.

$HTIC is one of the few legitimate OTC market companies that hasn't been diluting their investors to death. I'm rarely impressed with an OTC company, but I believe $HTIC is a rare gem in a pile of turds.
I asked legitimate questions about the future of $HTIC under new ownership... because I'm legitimately interested. No reason for personal insults.
Guess we'll have to see if new ownership will be good at communicating with investors or not. Would be nice to know their vision and plan for $HTIC assets.
Definitely oversold, but there has to be a reason why pps is being purposely driven down.
May just be MM computer algorithm trying to make sure current retail holders are far enough under water that they can't make money when it runs... or an attempt to convince them to sell. jmo
