You may think his knowledge is valuable here, but most of what he said could or could not happen, or should happen, or 100% had to happen, has been completely off and wrong. He's taken everything personal, and if he doesn't agree with others, he is condescending and very child like. He thinks the UST basically doesn't know what they are doing acting so fast, just because it goes again his view of what should happen. Maybe his "experience" isn't as vast as he thinks it is.

Plus, I really wouldn't want to take advise from someone who states they have followed this stock, or any stock for that matter, for 3 years just waiting for the right time to make a dime. Really? Follow a stock for 3 years and never pull the trigger one way or the other? Me, I think I'd move on and pursue another investment.

11 vs. 07,
Looking at one of the last docket filings, it states the reasons for the extension to Sept 03. One of things that caught my eye was that it stated if the debtors are not willing or unable to provide the restatements to show what the estimated worth of assets are, then the court could/would then switch the proceedings into a Chapter 07 instead of 11.
Anyone have any idea as to how this would effect things, and more so how would it effect shareholders? I thought in most 07's shareholders were basically wiped out. But in this case there really isn't any other creditors that would need to be satisfied so where would the proceeds go to?
Or would things basically stay the same with regards to us?
Hope this doesn't become a wrench in the gearbox. Maybe this is what the debtors were hoping for. Why they have delayed things, they want the chap 07.
Am I reading it wrong? But under the new dockets, it looks like the court meeting was held and extended out to 9/3? Anyone know if true, and if so is this normal? What was the reason for the delay?

Well it looks like tomorrow is a big day of hearings, and then getting even bigger in the next couple weeks with the final judgements. And then from there the sale of the China assets.
I'd just like to take this opportunity in advance, to THANK those "Gang of Five/Six" (Darth & Brazil to name a couple) who took it upon themselves to fight "legally". I have no idea if anything will come from their actions, or if they would be any different if they had not taken it on. Either way, they've tried, which is more than I was willing to do. My way tends to be a little more physical in nature and in person. :)
I'm going to give them the benefit of the doubt and believe their actions are and will help in the long run.
I know there were others who joined the fray later, thank you too, but it wouldn't have taken flight without the Original 5/6.
I don't know who they ended up being, otherwise I'd thank personally. So I'm giving out a huge Group Thank You.

I'll be needing someplace to roll the proceeds over too. Kind of a bummer, as I was hoping to ride this one for a number of years. Through more expansion in China and also down in S. America. Could have been a huge winner if they had put the right people in place. Persons with actual HOG experience, and business experience.

Mackinac out? Looks like the recent filing on the docket dated the 16 or 17th requested Mackinac to no longer be the restructuring firm. Could it be Mackinac saw they weren't getting anything for the restructuring and called it quits and that this is just the formality they have to do to get out of it?

Maybe they saw the court was just going to handle everything and so they didn't really have a job to do. Good, one less firm to pay.
Also, when this is all going on in the BK court. Who is running the day to day operations of the company.
I'd hate for everything to come to a complete halt and the WSF's and legacy farms and mills stop producing. No way we get good monies if they slow down.

I tried to follow the filings on the docket, to much legal speak for my education level. Even when I think I understand something comes along and proves to me I know nothing.
Would LOVE to have been a fly on the wall in the courtroom when the judge agreed with the US Trustee in regards to that firm representing Agfeed in these hearings. I'd have busted out laughing, most likely getting kicked out of the courtroom, but it would have been worth it.
The days are being ticked off quickly now my friend.

On the OK farm, I didn't think much value was there. I thought it was primarily a "leased" operation and that we didn't even own the land. Would love to know differently.
"Competitive" bidding process is the key word. Hopefully that is the case, as most believe it should be. Again, I would think in this environment that a number of China companies would love to get their hands on our China assets. I'm also surprised they didn't try to make a bid on the combination of US & China, giving it a free way into our markets.
And I hate to keep bringing up the "Van" issue. But it is not in his or the boards best interest to not get good competitive bids for China, as that is the only way they will make a very nice profit on their options. Unless of course they get something under the table and a new position at whatever company would buy them.
You mention shareholders now "have" a seat at the table. Did the judge allow for the EC? Or are you just stating that the appropriate papers have been filed? I thought the judge had to agree that it is in the best interest of the shareholders to have a seat to protect from the potential of hiding of assets.

$90M? Really, that's it? I know they ain't getting fair market value, but that seems extremely low. You may be right, I may be wrong, but I based on what it cost just to set up the two WSF's from scratch and then stock had to run around the $90M just by themselves. Now they're up and running, I'd think they'd be worth more than that. Then add in the 20 Legacy farms, plus the feed mills and distribution.
I know we can't trust the earlier numbers given by previous mgt as to production numbers, but the hard physical assets should be easily calculated. And with the hog market and demand for facilities, I would guess all of our China assets would be in demand and garnering a premium right now. At least a premium over fire sale pricing.
If they are getting the kind of bid they are getting from the Maschoffs (sp?) for just the small amount of US assets, then how in the world would the China assets be only around the same amount? Rhetorical question, not directed specifically towards you. :)
Being in the EC group, have you seen any numbers that contradict the above? I'm guessing not, as like my previous post said, most likely they are keeping those numbers on the down low so as to not attract the vultures.
Color me stupid, but I just can't grasp the numbers being thrown around.

Back from an extended vacation. Man have these boards dried up. Most likely attorneys telling those involved in the EC's stuff to keep quiet. Just a guess.
Catching up on postings. Yes, I saw this and thought it interesting also. Guess it counters what some of the board legal experts have been saying in regards to the company not being able to sell the Chinese assets. Or if we could no proceeds would get to the US shareholders.
The company also mentioned this in their last communications. I'm sure whoever is handling the sale of the Chinese assets pretty much knows the "how to handle" these types of sales.
Guess we should all be knowing very soon on who is right and who is wrong.
My guess is the Chinese assets are worth far north of the $350M mark, so even if they discount it and we get $150M-$200M for the assets, I'll be a happy camper. Will give me $2+ per share.
I think most here would be satisfied with that.
And I think it's the lowest Van & Co would entertain to make their options at least worth their while.
If they don't get around this much, their shares ain't going to be worth squat.
And no one has been able to convince me otherwise on that point alone.
I hope many of the regulars start posting again. It's rather lonely out here in CA.
I've left messages for the person handling the reorganization at Mackinac Partners and also the CEO since I didn't hear back just to see if I could talk with someone. Of course nothing from anyone. I have no problems with those who only get involved with companies that file BK. Actually might be a very nice investment strategy. Once I may have to look a little more into.
Which I'm also making the assumption that you go long or short those companies, making at least some kind ownership in those companies.
My problems are with those who come onto the MB's stating they own no shares, have no plans to own one way or the other, and that they are there only to share their wisdom and altruistic ways with everyone. Throwing out legal speak, getting people wise to the ways of EC's and such. And stating they have no other purpose for being there.
I have to call B S on that. Many are plants from firms, who just give them their speech to write in response to anyone.
I'm not saying EC's aren't good in certain situations, I admit I know nothing about them. But to me, as I've recently stated, I think I have a better chance of recovering something status quo than going the way of attorneys. Just my current plan, which can change.

There are those that will sit back and do nothing and reap the rewards if any of those suits were to prevail.
But don't include me in your comment, just because I think those options that are being talked about are a waste of time.
Plus, I'm not complaining about the happenings right now other than not knowing whats going on. The way I read it all, I think we're going to be getting a nice payday here soon.
If I was complaining and whining and such, and also telling people they're fools for looking into things, while I sit on my keaster, then yes you could include me.
My point was directed at those who have no skin in the game (shares in this company) that only follow companies once they get go into BK, then come on a board, stir up trouble only there real reason for doing so is to either manipulate the price for a fund they are working for or a Legal firm they are behind the scenes working for trying to get shareholders to band together and use their services. Nothing altruistic about them, they are ambulance chasing pigs.
I'll throw it out to everyone: If this one of these EC's come together and ends up getting a very nice return for everyone, I'll throw my shares into the kitty for everyone to share. However, if the EC's don't come to pass, and the company does pull off something good and the shareholders are rewarded, I want everyone else to throw their shares into the kitty for me.
It kills me to say it, but I trust Van & Co to finish this off to more of a benefit to me, than to trust some Law Firm who just comes aboard using "plants" on a MB to do anything beneficial for me.

Correct Fin, but in this other posters threads, he/she was stating as though they had made mistakes and had to get involved with those types of suits. That they are now know-it-alls and are going to save those of us who are uneducated on much of the legal speak. I don't believe a word they say.
But you're also making my point. There are those who will go on these boards and try to get others riled up and join in on a lawsuit or get them to band together with them in one way or another mostly to the benefit of themselves. If they are only getting involved in companies once they go BK, they have an agenda. And it's not because they give a hoot about any of the regular shareholders.
These people make me sick, as they are hiding behind the image of they care so much and are only helping those who don't know any better.

For what it's worth, here's my take on what I've been reading here. Some of the persons I think have a true and honest reason for looking into the options. Others, even though they may be educated on certain topics, I completely don't trust their motives. Ex: madaniels. Why would anyone post anything, spend day in and day out posting to everyone about everything when they have zero in the game. And constantly say how many of these stocks and situations they been in before. Really, you didn't learn your lesson. Now you're preaching to us the benefits of going with this type of suit or another. I think I'd learn my lesson after one maybe two, but 5-6+? Seriously? And don't think for a minute that there are not law firms around who look for companies to file BK and then send persons onto MB's and stir up trouble just so they can get business. All the while playing sly and coy like they don't know each other. Complete ambulance chasers. No way people are on here for the good of others out of the kindness of their hearts protecting us from the big bad boogieman. They are in it for themselves, someway, somehow.
Yes, I'm as critical as anyone when it comes to Van & Co, and all the promises broken and the non transparency. But until someone can answer my question I posed before I left on vacation, I will not give one dime to any lawyer or make any promises. I think attorneys are the scourge of society, and in the end will take every last dime possible too.
Question: Why are Van & Co still here? If they're not going to benefit from their stock options when selling of assets takes place, why are they here? They know the values, and that is why they are hear. We don't benefit, they don't benefit. Are we entitled to the info? You bet! Are we going to get it now? No. Do I want more attorneys to promise me anything? Nope. Can't stand them in principal, and I'm more confident in getting a larger piece of the pie, letting this go where it may after they sell the China assets. There is no big fund or debtor seeking the monies for the China assets, so why are people even talking about bringing attorneys on board to fight for what will be given to us anyways. There's no where else for those funds to go people. No matter what others say, ohh the China gov will take them. No they won't. I'm sure Van is as greedy as the next, and is going to want as much for his shares as possible. No way he gives it away for a song and a dance.
Feel free to convince me I'm wrong, but I doubt those who say they are "here for us" can or will.

How funny. I just received a response back to a post on yahoo that was from therealmc. Who ususally had some very good insider info. Maybe some still have access to the yahoo mb, I certainly don't.
But anyway, his response was to my valuation of apprx $400M for the China assets which a few others had come up with also. Even FEED (not that we can trust them)stated in their filing they were worth.
Therealmc replied that the China assets were only worth $20M-$25M. Hilarious. Only way those assets are worth that amount is if Van and co. are getting paid of backdoor style.
Just the legacy farms are worth that apprx amount.
On this one, I gotta say MC is out of his mind.

Unfortunately, I have to admit I've been on the band wagon hitting at Van on and off. But in his own words he said he was going to run a 100% "honest & transparent" company. That it is the only way to run one. And he just hasn't done that.
Maybe it was all part of his plan. He isn't a hog producer so he had to find the best way to get "max value" for the company and it's shareholders. He wasn't going to be in it long term. If it meant losing the US division, but keeping the China assets and selling them for a very high premium, it looks like he may be pulling it off.
If we switch our thought process to accommodate this vision it actually makes sense. And a very good chance he is pulling it off.
I'll follow periodically these next few days, hopefully many others join this board too.

Well it looks like things are getting more interesting by the day, don't you think?
To me, this is the most excited I've been in quite some time. All of the US issues are being dealt with by the courts, and the current offer is higher than the FC loan and most likely a few other small debts. If they can get extra funds, that will be just a little more to shareholders.
And the reason most of us were even here, the China assets are included "0" in the BK. Since Van doesn't seem to really want to run a hog industry company, it looks like they are selling all the assets. And with the value they have put on them, around $400M, which is around where many of us have valued them too. Since there is no other debt, I can only see how this is a very positive step for all of us.
I'm sure it's going to take another few months to sell everything and get it all finalized, but to me it is all very promising.
Van may have just pulled the rabbit out of the hat. If he did, he certainly held his cards close to his vest, keeping us all in the dark frustrating the hell out of us.

I've have appreciated your posts as well whenever I've visited here in the past.
In all honesty, my posts are coming from a simple persons point of view, ones that I think most common men and women if given the opportunity to make a decision or direction to choose would choose something similar.
I do not profess to know any of the legal speak jargon, etc., and what a company can/cannot do. There are many around on these boards much smarter on that side of things than me.
But in general response to your comments, at this time, I personally do not feel that we really are hanging by a thread anymore. The Bk is going to once and for all clear up the US troubles, leaving the rest of the company to be sold. Since there is no debt other than possibly some legal fees to be paid for the handling of the sale and this current restructuring of the company. Which shouldn't amount to that much in the overall scheme of things.
If the China assets are valued at $400M which is what FEED put on them, most likely they are worth more in the current hog environment.
Quite possibly leaving those of us "not" selling today with a very nice return once they are all sold.
I was hoping they too would keep the China assets and continue on, but it is my guess, Ivan and the team really do not want to run a hog business. They got into it to turn it around and turn over the reigns, or to sell. Which looks like what they are doing.
Ivan and his crew got their options at .30 & .39, no way they would have waited around to make a few thousands of dollars profit. If they get the $400M+ then they will profit handsomely in the millions.
Most of the shares outstanding were in the float, so most everything has to go to the shareholders.
All just my humble opinion. And also what I've been praying for. Not only for myself, but for all those others here who have struggled with this one for years now.
I'm giving it about 3 months or so to wind it all down.

Rereading the 8-K. I'm wondering on the OK farm, maybe the current offer just didn't want the farm. Maybe it conflicts with what they already have in OK.
Also, if the current offer is terminated, there's almost a $3M cancellation fee to FEED. So they'd better be looking for something real good.
Finally, it looks like there were the two new "employment agreements" done on the 11th, where CFO gets basically a years severance, and so does the "interim" CEO . And they get to keep their equity arrangements. Not to bad for the two of them.
Seriously, Mr Daignault has been here thru it all and was around when the fraud was taking place. Why the hell are we paying that clown even one cent.
A years severance for anyone is a joke. They got paid for their work, why are they getting an additional years pay? Par for this company. Take care of the BOD.
All I gotta say is ,we'd better get ours too. There's to many assets with great value to not be compensated.

In looking at the BK filing, it states they are looking to sell all or most all of the US assets. My question is, what would they even look to keep from the US assets, and how would they benefit anything to do with the China assets at this time, unless it's something that allows the China division to still hold some kind of foothold in the US. Maybe that way they wouldn't need to reapply to the US to open a business here in the future. Just throwing out ideas.
Maybe they are looking at keeping a certain small US assets, selling the China FEED division & legacy farms to help fund the WSF's growth, and then reemerging as a simple hog producer under a new name. Allowing for us to then reapply and get on a normal exchange.
Of course we'd have to get equal shares to make all this happen.
Just topics for discussions. I have a lot of time on my hands. :)

Basically it's sit back and wait again time. It does not appear they are they are wiping out everything including shareholders, and starting over.
The BK is specifically for the US assets, and it also seems like they are only using the BK to get more time to find an even better offer than the $79M. Which in itself covers the FC loan. The additional monies to the attorneys and other small debts. If they get even higher offers, very possible in todays hog environment, then that will be funds going to FEED parent company.
I believe the BK is also to shelter the China assets which acct for apprx $400M of the $500M total assets. If they choose to sell all the assets, most likely at a very nice price, we as shareholders will, at least should get those monies, along with anything left over from US assets.
I'm looking forward to a very nice payday in the coming months.

In a holding pattern myself. I'm actually thinking of trying to possibly pick up another 5-10K shares. At these prices, thats a weekend at Reno/Vegas, where I'd lose the money anyways and in a much shorter period of time.
Plus it'd bring my cost basis down a few pennies, which would get me back to if this ends up selling and going for .60 or higher I'll at least break even or make some McDonalds meal money.
Most likely I won't be able to pick them up, as many here and over on Yahoo have stated getting the shares is almost impossible. I have had good luck with my broker though in the past when many weren't getting them.
You can call me crazy, won't be the first or last to, just as long as someone calls me for dinner.
On the topic of the high volume: I have no idea, but could this be the MM having a big whale wanting a ton of shares at these prices, so they are just rounding up and holding shares for a few days and then selling them over in lump sums? Sometimes it looks like we have 0 shares traded or 7K shares traded for a few days, and then days following with huge blocks. If someone wants in this bad, most likely they know something and are accumulating. Maybe it's Vans mom.

Guess it could be a number of reasons, just those finally giving up getting out, traders trying to buy up low and catch a "dead-cat bounce", but I always go back to:
Smart money is usually buying at the low and when things are the worst, and dumb money is usually buying at the highs and selling when things are at their worst.
Maybe someone does know that the time is near, and no matter the outcome, the price will be higher just a little farther down the road.
I know many here own many many thousands of shares, myself included, and some continue to pick up additional shares to help ave down a bit, but with this volumme, I'm guessing something else is up.
Spoke with a gal from the Oklahoma site earlier today. She didn't have any answers either. She said no way they'd tell them anything. :) But she did say they are fully operational and pumping out a lot of pigs. Very busy.

Yeah, this is as you say, a very no guts no glory story. Unfortunately, because of the stress level with this one, my gut is really growing to much.
In all fairness, these loans never close in specified times. Always something coming up to delay. And if Farm Credit has said no, they've probably given FEED a certain amount of time to get financing elsewhere. Which may then coinside with the restatements, as no other lender will lend without true & accurate financials. Farm Credit at least knows their story.
Maybe we should all meet up together on FEEDs front lawn, hold hands in a circle and start to chant. Maybe that will freak them out and get them release.

When I spoke with the person in Ames, it really sounded like they were no longer in charge. He said he had nothing that he could report, and that the decisions were out of Tenn.
Agree, with so many changes, even most of them probably don't know where the company stands or where the people are who make the decisions.
He did say with Van traveling so much, there really wasn't an office that he actually was working from. Much of the time it was from home, when he was in the US. Not sure if I believe that, but I know he was going to give me his home address either. HA...
I asked specifically on where Van was stationed because I and many others wanted to visit and discuss things. He said it wasn't Aimes, and that would be Hendersonville.

Really wouldn't be surprised on an extension with the credit facility decision either. With the way financial institutions are underwriting things these days, it's a wonder anything gets done.
