Fishpert,
You don't know Johnnyri well enough to understand how he posts facetious comments...
Did you really believe he is now supporting the guys left behind as being honest and not knowing what has been going on?
I am not a great supporter of the current company mgt but if RadSeal is the real deal, however it might be related to NuCap, I hope they sell hundreds of metric tons.
BTW. Do you still think ATOLL is just a local machine shop with no business? If so, then you must believe the 10K filed is just a complete fabrication and these guys don't care if they provided a lot of false information to the S.E.C. Heck, they are establishing the U.S. corporate office in D.C. so they can be hiding in plain daylight. Whatever works. Huh?
Fishpert,
Since my prior reply to you was deleted, I'll try again.
a few questions.
1. Do you know for certain the company has NO money?
2. Do you know for certain that the products introduced by the company are BOGUS?
3. What do you mean by stating, "They have a lot of expenses though." Can you be specific on "lot of expenses"?
Thank you in advance for your informed response....
Fish,
ROI wrote, "Most people are in the dark is what I see from poor communication."
You are in the "Most People" category. The content of your posts provide absolute confirmation of that FACT...
I might agree with you when we get a 10Q but until then you know no more than anyone else outside the company...CUL
Scorry,
I've been a supporter here most of the time. Companies I have been invested in do CCs when significant events occur or in consanance with quarterly/annual reports. They do the calls to provide more definitive information to shareholders and to also provide guidance on future plans even when the event precipitating the CC may have been negative. The most pressing problem, acknowledged by Todd, was the late 10Q. He gave no real good answer on why it is 75 days late and provided no guidance on when he expects to have it done.
They restated the list of technologies. However, when asked for specifics on who makes RadSeal, Todd put on his dancing shoes and was evasive on the question actually presented. He did say it was patented, had been around for a long time, was better than NuCap, and more easily accessed in quantity orders but never identified the producer. Will they be marketing the product under a license from the manufacturer or will they just be placing orders to an established distributor? Have the test applications been successful?
He restated acquisition plans while indicating the target companies look to have a "sparkling" future. He did say the company is going to need $15MM for future operations and acquisitions. That is a bit scary when you consider the company doesn't know how that capital is going to be acquired.
When asked by a rep from a finance firm about naked shorting, he stumbled in trying to provide an answer..My take on the subject is the company has not ever addressed the issue. JMO
Most everything presented and the questions they know to exist could hve easily been covered in the 10Q. According to Todd, that is a most pressing issue.
Scorry,
They got an audited 10K out on time, albeit with a 15 day extension. You can't tell me information for one quarter is that much more difficult that putting together an audited 10K.
You are trying to convince us that NNRF is a first trailblazer into the accounting arena. I really doubt that.
Most here feel the 10Q has been withheld for reasons other that accounting issues. I agree.
New communication would have been good. Unfortunately, most of what was provided was a re-statement of what is on the Website or in past PRs.
They did not need to make it clear in a CC that there is a delay. We know that. I don't think their answer is plausable.
83 days late and counting........not believeable!
From another perspective,
they are already withholding material information, good and bad, which should have been made public a couple of months ago.
Failure to provide material information to shareholders in a timely manner is actionable if such is causative to shareholder losses, Pinksheets or not. Check the erosion of the sp will we have been waiting for the 10Q since mid-May.
Where are the big guns(investors) that can get these guys to understand and fulfill their fiduciary obligations?
Is anyone with some real clout giving these guys some advice?
Kingthorpe???
Thanks, J,
All here need a morning laugh. Those "complex" things always work. LOL
Bat,
I agree about submitting an unaudited 10Q. It is done very frequently. The 10K is the one that must be audited.
However, if officers of the company sign off on a 10Q in which they knowingly omit material information or knowingly include misleading information, that can come back and bite them in the posterior.
There is absolutely no reason whatsoever for 1st Qtr 10Q not being filed over 75 days ago...
Why hold the CC without that having been done? It was just a waste of time and money..JMO
Gibber,
You wrote, "He said they were looking at creative financing."
I may have missed that comment but recently King laid out a couple of scenarios involving creative financing. One of those had better work or its equity type and without revenue, that cannot be good.
A bit of confidence on getting the financing done would have been very helpful...
I did notice questions by a number of finance reps. Perhaps Todd may be more convincing to them in private.......
Trying,
What was your planned question?
Gibbson,
My big disappointment is the quarterly filing. They filed an audited 10K within 75 days which was not bad. There has had to be something else other than the accounting problems causing the 10Q not to get done. IMO, the filing has been held up due to other factors.
ATOLL must have had a reasonable 1st Qtr or the $1MM dividend would not have been done.
Did he mention the DC office? I got sidetracked and may have missed any comments about that.
10Q filing is the most serious problem.
I think that is what the CFO said. It is just absolutely implausable that the Q1 filing is now nearly four months late.
Dang. They would be better off with just plain cash accounting.
We received $247K investment income from ATOLL in the first Qtr.
We received $500K investment income from ATOLL in th second Qtr.
He did indicate investment income might improve but gave no assurances.
Of great concern. They are looking at investment banker/firms on the East coast. Are the Cayman lenders salivating?
J,
Heard your question...Not much of an answer..
I guess I didn't push my buttons correctly so didn't get in th equestion lineup.
Most of my questions were answered to some degree but I would havelike to ask for an explanation on why the uplist did not move forward way back when.
Also, the excuses on the filings are wearing very thin. Don't you think. Crapola.
Limited to one question
per caller....WTF
I will let everyone else go first to see if we get any answers.
No 10Q...Status remains the sme.....
Fifteen minutes to go.
Here is a list of questions I will attempt to ask.
1. Has the Agreement with Global on NuCap been terminated? If so, by which party?
2. What company in Germany is the supplier of the RadSeal components? Who holds the patent? Will NNRF be marketing the RadSeal under a license from the supplier or will NNRF simply order needed product, deliver and sell to end user/contractor?
3. Have results from test applications been satisfactory?
4. Are pymts for services, consultant fees, and company officer payroll being made with share issues?
5. Does NNRF expect follow-on quarterly dividends from ATOLL? If so, what percentage of ATOLL profits are expected to be distributed?
6. Why was the sponsoring broker not able to secure the uplist to the BB at any point but especially after the audited 10K?
Does anyone else posting here expect to ask any questions?
King,
I believe I remember that Dow was involved with the effort to solve the application problem. It was also indicated that new or updated spray equipments would be checked.
Dow-C, in accordance with the Global, was not allowed to do any reengineering or reerse engineering of NuCap without Global approval...
Are we to believe RadSeal just happened on the scene in that time frame and NuCap was abandoned? If Global was told NNRF was no longer considering use of NuCap, why would they not take EKOR/NuCap to the show as a competitive product. Was NNRF still showing NuCap in Dec, 07 since NuCap was already considered not usable? Are you sure they were not trying to introduce RadSeal?
Added:
Dow has a manufacturing plant in Weisbaden. Could they be the producer of RadSeal?
The description states RadSeal is a two part product..Just like NuCap but with color added...What a coindence!
King,
You seem to be the most knowledgeable person posting here.
Will you be asking questions in a couple of hours on the CC?
If so, would you care to provide a list of the questions you intend to ask.
I think mgt knows many of the questions that need answers. Perhaps, they will attempt to provide some of the answers up front. What would you do if you were hosting the call?
trying,
Some were indicating we should take discussion of Global to the GBMR board.
Yes. We have a lot of questions for mgt about NuCap and also the information that was shown on the mysterious VYSO/Nanotech
fleeting websites. Do we even know if "sales" mentioned were really factual? Maybe someone should try to get some info from Kristul since Joe buddy has a sales and marketing agreement with Global. Who has bought those Green Coat bags?
Better yet, why is the mute at Global not saying a frigging thing? Maybe Shep knows all. Why, in fact, did NuCap disappear from the NNRF Website and was not even mentioned in the 10K? Has the agreement with Global been terminated? Was that a unilateral move by Global or by NNRF?
Maybe, just maybe, they have used some NuCap formulation in the development of RadSeal and Shep is aware of that, as well.
Call in on the CC and ask all the questions they will allow. I intend to ask about NuCap and RadSeal.
Think about their setting up an office in D.C.. Do they now believe RadSeal, with improved application, can be sold to DOE contractors? Will Global still be a participant? Will NanotechIndustries co-locate in the DC office?
sowhatsnext,
Even thugh the SEC gave approval for fully reporting status, I think there were many questions not answered about possible fraudulent activities which caused the unwarranted rise in sp during March/April, 07, and the massive shorting that began near the end of April when the stock price reached its peak. The SEC knows that millions of dollars were lost by retail investors due to manipulation.
Historical information provided in the 10Q and the later 10K did not provide any answers to those questions. With those questions still out there, the uplist to the BB didn't happen.
I think the company has had to stand down on some things as the SEC has gathered information. I don't think the audit firm has been the cause for delay. Perhaps the company is now in a position to make a move forward.
I still think there is a possibility for a 10Q sometime today prior to the CC. We shall see. Of course, we cold get hit with a big stick we can't see coming.
My apologies to everyone reading here that is absolutely
NOT CONCERNED about GMBR history and how it may have related in some degree to NNRF.
Since the NuCap tech license from Global has now been deleted from all interest by NNRF, any further discussion about Global would seem to be absolutely Off Topic.
Kingthorpe. If you wish go ahead and delete all the recent posts by myself, Bat, or others containing any mention of GMBR.
Bat just wants to continue a useless argument...JMO
Bat,
I'm certain Brittany is alive and well under the Navigator umbrella. Run away?? Do you really think so? They were still there in Sep/Oct, 06. I do not understand why you wish to continue an argument about that subject. You have continued with this diatribe ever since I mentioned that GBMR hardly budged during the one month move of NNRI. Any you know why..
However, You write, "I think they showed up here. I think they had something to do do with the pump and dump."
Do you really?
You know frigging well why Shep did the RS. He had near 300 OS. Getting an increase from 300 to 900MM wasn't going very far with the sp at .0065 and most likely going lower. (I'm glad I did not buy until post-split and then, only after it dropped about .10/share.) Anyone with any math capacity could have figured that out very readily.
Almost immediately after the RS which brought the OS down to the 15MM level, Shep was trying to register near 200MM. what kind of percentage would that be? No wonder the SEC was concerned with what was being proposed.....CUL
Stockholm?????????????????????????????????????
J,
I have sent an e-mail to the CEO asking that he address RadSeal and NuCap in the CC.
Who is/will be the supplier of RadSeal and who holds the patent?
Has the Agreement with Global/Dow-C for NuCap been terminated?
J,
I think it is a DuPont product made for sealing radiators? LOL
Bat,
Is it so important to you that you get my acceptance to your assertion the SEC cut them off?
What the heck? The SEC did not cut them off. You know full well the later registration was made effective.....
I agree if the SEC had not questioned the initial large registration, the whole increase in AS up to 900MM would have been expended if Global had taken the entire package over perhaps a few months.....the sp would have gone to sub-penny with a new RS needed...
It is alll history and not worth any argument.....CUL
Bat,
The intent was that Brittany agreed to make funds available to Global incrementally from time to time in amounts as requested by GMBR. Shares needed to be issued and registered as funds were advanced.i.e., Incremental private placements.
Too bad the registation was not approved. If the total amount had been taken at that time, GBMR would have gotten over .05 for the shares. When the new registration for the smaller number was done in Oct, the sp was down to just over a penny.
The SEC didn't cut them off. Global reduced the number of shares to be registered to correspond to funds needed at the time.
The original agreement with Brittany was cancelled and replaced with a new agreement on 9/14/06.
Since Sheppard went mute, we don't know what has occured since that latest thingy with Brittany except for a couiple of new 2% Prom notes. Sheppard has indicated he has been reducing debt but has only used about 350MM shares. Not a lot of dollars at 2007 shares prices...
e11,
Are you talking about ATOLL employees. NNRF doesn't pay ATOL's payroll.
Not NNRI
It was AWIN. Went to $36.00 in 16 mos....I got some but could have gotten more had I been concentrating on the fact there were very few shares available for sale.
I know about the last few transactions..
My point was there were few sellers between .11 and .15 so it went from .09 to .15 very quickly. I understand the MMs may drop the ASK back by tomorrow AM but one never knows for sure. Huh? There may be a bunch of buyers sitting at .15 or higher. I don't have level II on Pinks. Do you?
Hey, Gibby,
I was once watching a stock that went from .52 to .65 one day on about 8K in shares with limited trades. I said ," Wow, big move but not too many buyers." The next day it went from .65 to .99 on about 28K volume but I did not take it seriously. The next day it went from .99 to 1.57 on about 46K shares. Then I said to myself. "Holy, holy. I could have bought some of those shares at .32 a couple of weeks back." Oh, well.....
Moving up rapidly on low volume might just mean there are not many sellers. Huh?
Gibby,
I guess not. What are you trying to convey?
Gibby,
Wow!! Only $24K and the ASK went to .15.
Do you think a MM moved the ASK up .04 just to see what would happen? It looks like no more available .11 thru .14.
I'm not jumping up and down. I know that could change overnight but who knows, the ASK might go to .18. There was a lot of trading at that level buy I'm no chartist....
Gibby,
Watch out for the Green paint..LOL
Bat,
Found McQuade/Eurotech link in the resume..but I am not sure he impacted Eurotech greatly..Handfeldt's brother brought the Caymen lenders onboard in 2000 after Verdi took control of Eurotech.
When Verdi went to Markland he hid like RW by taking a consulting position while really exercising total control under the direction of the lenders.
Bat,
Allen is a Hicks traveling man with no relation to RW. He stepped in as Secretary at HomComm when the other traveling directors moved on. Allen departed HomComm when Sheppard was placed in the CEO position by Hicks. When Tarini was pushed out of the Markland CEO position by the lenders, Allen was placed on the Markland board..Hicks always makes sure he has his man in charge if Navigator has a significant $$$ interest.
The Caymen lenders came in the back door into Eurotech and it was their toxic financing that ruined that company, not RW or any of the current mgt at NNRF.
I have wondered why Hicks, as the controller at Global, allowed the scam at NNRF, using NuCap as the primary vehicle. It appears Global had no benefit. Even with the meteoric rise in NNRF sp, mostly based on NuCap, Global sp hardly budged.
Thanks for the info on McQuade. However, the link you provided did not show McQuade/Eurotech.
Additional info, Bat
The lighting company was not sold but the purchase was cancelled with the lighting company returned to Allen. Allen was to have re-paid about $250K back to Global. That may ahve nver happened.. must be part of the complex financial problems Sheppard has talked about....
All of this information hasn't anything to do with who was a part of the big scam. None of those people are still involved with NNRF.
I still can't find McQuade with Eurotech....would like your confirmation. TIA
Bat,
Are you still holding $10.00 shares? Do you know anyone that still holds shares purchased at $10.00?
Your facts are a bit incorrect re the lighting company..The individual involved was Mark Allen. He is not the new CEO of Technest--Try Perriera..
When was McQuade associated with Eurotech LTD and in what capacity? Can I find that info on Google. I don't find McQuade mentioned in the Eurotech filings but I certainly could have missed that information....TIA
Gibby,
I guess the company is really doomed now that you have the big guy helping you.
"next round of pumping has started and this time it is FAILING! Thank God."
We have no chance now. Didn't anyone invested here go to church yesterday?
Gibson must pray every day and every night for a lower sp. LOL
No good pumps in four years.
Just mini pumps to allow stock sales by the lenders.
I'm still waiting for the oil well to blow....
King,
Thanks again for your good work.
I like the financing scenarios. There is no doubt that NNRF will have to leverage ATOLL assets to get the company back on track.
King,
Never mind my questions in my previous.
From the PR:
"Under Russian corporate law, NUCON's participation in ATOLL's profits will be received in the form of quarterly cash dividends from ATOLL's operations. In April 2007, NUCON intends to receive its first dividend of $247,000 from the 13.25% of ATOLL it owned of record as of the end of the fourth quarter 2006.
Quarterly cash dividends for 2007 onwards will reflect NUCON's 50% ownership in ATOLL."
It seems very specific that quarterly dividends were anticipated. For whatever reason, ATOLL retained most of the earnings and did not declare any quarterly dividends during 2007 except for the small one for 2006 earnings. Hopefully, that will now change....A good question for the CC.
If someone else does not, I intend to ask if the Agreement between and among NNRF/GMBR and DOW-C on NuCap has been terminated
