Penny Scams are never ending. Anyone can get a Ticker symbol to trade. Rules need to change. No company should be allowed to get a Ticker until they have actually produced a product and it is on the market. SEC officials should visit the locations of these so called companies and then decide whether they are legitimate or not. Never should a company need to trade a ticker to generate cash flow. I know at least one company now that is in the greys. In doing my research, I found out the CEO had spent 9 years in prison for securities fraud. How in the world did they allow him to start another ticker? I'll tell you how. Because he marked himself down as 49% owner. Since he was not a majority shareholder, he was under the radar and continued to do what he did prior to prison time. If TBEV is a scam, this will all come to light. Just my opinion!!

Good Point. I missed it. I though the agreement said they would terminate if TBEV did not meet minimum sales requirements.

So what does this mean. They must find another licensing agreement or they file BK??

The many statements they made of possibly failing gets them off the hook for future litigation. Every attorney in the land will ask the investor: "did you read the 10K" The company made it clear they would fail if Throwdown removed their support. Buyer beware

Dethrone License was terminated. Not Throwdown. They have sales figure they have to reach in Year 2 and 3 with payouts to Throwdown as part of the licensing agreement.

I would have liked to stay in also. But, They haven't told us any of the following:

a. where are the bottles and labels being produced
b. Who is actually doing the bottling
c. when is the 1st production run scheduled
d. are distributors in place

These items could have been constantly communicated to the shareholders.

Will Throwdown continue in their licensing agreement since sales did not meet required numbers in 2014?

True 2.5 billion. my fingers move too fast sometime. Last email i received from the company said he was waiting on FINRA and at their mercy. They have filed twice. Maybe it will go through this time. I just think they are asking for a R/S too soon after changing the A/S structure IMHO
