However, I am very glad to hear the control issue has been settled and we can now move forward. I have the feeling most have ignored the business fundamentals and progress which has been made all the while everything has been kept extremely quiet.

With closure on today's news I look forward to the near term and the press release indicated they should be forthcoming and finally telling the story to the investment community which has basically been nonexistant up till now.

Yes, they completely restructured the cash flow and now have no interest payments.

News is good. It is frutal to try and make a negative out of the announcement. Any further attempts just prove an intent to bash a stock without acknowledging improved fundamentals.

You can bash and be miserable or become an investor and enjoy what appears to be a bright future.

Should be an SEC forthcoming which will name the unrelated third party investor.

The deal is less dilutive than the previous deal which was on the table. No new dilution and less dilution than if Biometric Investors would have taken Nick's shares.

In addition the interest payments which had been mentioned as a concern have all been eliminated. The outstanding and fully diluted share calculations never changed since last round.

In fact, the fully diluted may in fact decrease.

Then again, wait for further announcements to prove the difference of opinion.

That is a very logical scenario and one filing could bring closure concerning the outsanding issues which need to be addressed. I look forward to closure on this in the coming days.

Shelly, What do I have to do in order to be removed as the Moderator on the Sequiam SQUM board? I am in no way going to be held accountable for the circus act on-going on this board. Please explain your experience in more detail and the experience you had with the other company which was discovered to be a scam that Sequiam had to place in default due to criminal motives.

Feel feel to clarify the original posts which you make reference when you stated Sequiam didn't manufacture the products which later you found out they did and not only were they the manufacturer but the primary supplier as well.

You don't understand nor want to understand. The company is not in default.

The manner to cure the default is spelled out in the 8-K. It is just a matter picking which part of the 8-K you desire to focus with a date for closure being August 20.

There are two choices both of which are spelled out in the 8-K.

FWIW, all your discussion about bankruptcy and default is ridiculous and as the Aug 20 deadline comes to past so should your default and bankruptcy predictions also come to an end..

SECTION 2 – FINANCIAL INFORMATION
Item 2.04 Triggering Events That Accelerate or Increase a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement.

On June 18, 2007, Sequiam Corporation (the “Company”) received a written notice (the “Notice”) from Biometrics Investors, LLC (“Biometrics”) that the Company violated the Subordination
Agreement, dated March 30, 2007, by and among Mark roczkowski, Nick VandenBrekel and Biometrics (the “Subordination agreement”) because the Company paid a debt owed to Mr.
VandenBrekel that was classified as a “Junior Liability”. According to the Notice, the Company’s violation of the Subordination Agreement constituted an event of default under Section 14(b) of the Agreement, dated March 30, 2007, between the Company and Biometrics (the “Loan Agreement”), unless cured by the Company within the 30 days curative period following the date of the Notice
(July 15, 2007).

The Subordination Agreement was entered into simultaneously with the Loan Agreement in connection with the Company borrowing an additional $2,500,000 from Biometrics. The total amount borrowed from Biometrics is currently $5,715,119 (the "Liabilities"). If the Company fails to cure the default set forth in the Notice, then Biometrics may (a) accelerate payment of the Liabilities and immediately demand payment in the amount of approximately $5,755,000 and (b) foreclose on substantially all of the assets of the Company.

On June 21, 2007, the Company received an additional written notice (the “Additional Notice”) from Biometrics stating that for so long as Mr. VandenBrekel is in full compliance with the
terms of the Agreement described below, Biometrics would refrain from enforcing its rights under the Loan Agreement with respect to the defaults that were identified in the Notice.

On June 20, 2007, Nick VandenBrekel and Biometrics entered into an Agreement (the “Agreement”) which provides that Mr. VandenBrekel will purchase 100% of Biometrics for a purchase
price equal to Biometrics’ out of pocket investment plus accrued interest, all costs of the transaction, and all expenses incurred by Biometrics related to its investment in the Company (the “PurchasePrice”).

Closing is to be no later than August 20, 2007 (the “Closing Date”). The Agreement also states that from June 20, 2007 to the Closing Date, Mr. VandenBrekel will provide 100% of the working capital needed by the Company as determined by Biometrics. The Company is not a party to this Agreement.

If Mr. VandenBrekel fails to fully fund the Purchase Price on or before the Closing Date or fails to provide the working capital required by the Company from June 20, 2007 to the Closing Date, then Mr. VandenBrekel will resign his current role and agree to serve the Company in any capacity that Biometrics requires for two years at a fixed salary of $200,000 per annum.

Additionally, Mr. VandenBrekel will assign to Biometrics the five million stock options granted to him by the Company and eleven million common shares of the Company owned by him. The common shares will be held in escrow and may be returned to Mr. VandenBrekel at the sole discretion of Biometrics at the end of the two-year service period.

You obviously don't understand the circumstances and the issues at hand and have not done much homework.

This is between the CEO and Biometric Investors. It has nothing to do with the company.

I agree management hopefully realizes your scenario. BK isn't an option and should not be a consideration at this time.

Resolution of the control issue should send this stock climbing fast.

The gearing mechanism seems to be of the same consruction of the Kwikset Smartcode lock. This Kwikset Smartcode is the lock Kwikset has had on the market for a number of years in which you key in a code on a keypad.

Sequiam doesn't make the lock. Sequiam makes the lock Biometric.

Any concerns about the gearing mechanism should be addressed to Black and Decker. They are the ones responsible for the gearing and their reputation speaks for itself.

Thanks for your insight about the product you purchased. Just for clarification purposes, what color is the cover on the inside of the door which houses the LCD screen? I doubt it is white as some other poster claims.

Also, does it have the Kwikset logo engraved on the exterior part of the lock where you swipe your finger?

It seems a couple of the posters on this board are confusing Black and Decker's Kwikset Smartscan which utilizes Sequiam's biometric sensor with a generic version designed for and sold by a company which labled it the Regency Biolock which has no warranty and is now out of business.

My research indicates the Black and Decker Kwikset Smartscan is shipping product in mass to retailers across the country.

The Regency Biolock marketed by another company is out of business.

I am here to warn potential investors about posters that have been wrong in their predictions about Cyberkey and now feel like they are professionals and understand Sequiam.

It is very apparent that a couple of repetitive bashers have no idea about the progress Sequiam has made over the past 6 months while Sequiam's products are now being deployed and it is unfortunate these posters became involved in the Cyberscam and now feel they need to take their frustrations out against Sequiam.


Let me first say I am in no way concerned about bankruptcy or default with Sequiam. I also feel that a resolution to the control issue will be taken very positive when this issue is resolved.

When you have Fortune 500 companies using Sequiam's biometric technology the credibility of this type of relationship is very meaningful.

It is also unfortunate that some of these negative bashers perpetuate outright lies to try and substantiate their case.

These posters have consistently been wrong in their past predictions and will be proven to be wrong again concerning their end of the world prediction concerning Sequiam.

The gearing isn't plastic. You continue to fabricate lies and try to confuse the product.

Concerning the locks you feel are so superior to the Kwikset Smartscan you have to Modify the door with a carpenters chisel etc.

There are also HUGE cost difference and the special tools required not to mention the features of the lock compared to the smartscan.........to my knowledge the smartscan can allow access for maids etc only during certain times of the day etc......that is an excellent security feature.

The locks you show do not have these features...you either have access 24/7 or you don't.

The labor intensive very complicated instructions on how to install is not for the shade tree mechanic or the average handyman around the house.......looks like you would have to pay extra for a professional just to get it installed and last but not least........if that lock is SO GREAT........why is there only a handfull of resellers for the lock and of those resellers it looks internet based only?

Smartscan has both HUGE RETAILERS selling the Kwikset Smartscan and internet based with over 200 reselllers of its
products............

There is no comparison in the two locks
and the lack of resellers for the lock you feel inferior is the evidence.

Concerning the Smartscan locks. Home Depot on-line has been out of stock online for the past week. I just noticed today they have the locks back in stock and available.

I feel very good about SQUM and have been taking advantage of the recent downdraft and now have a very nice position accumulating between .10 and .12. SQUM should rebound nicely and I feel confident that a resolution to recent 8-K filing will be favorable to the shareholders.
