I found this video to be helpful in regards to the IPO process. I’m sure that many here are up to speed in this arena; however, I found it to be useful. I’d say that we are likely still some time away from the up-list base upon what is presented. I’d welcome anyone’s thoughts and comments as it is new territory for me.
While I liked many elements of the ER, I’m still thinking that we bounce until the uplift. Hope I’m wrong. GLTY’all
I’d like to think so - however, we remain listed on the future IPO chart. It appears, that before we would be listed we would migrate to the “recently priced” category ( we are currently not priced) and finally to the “future listing” slot. This is on the MarketWatch ipo calendar. Thus it looks like we remain few weeks away - if not longer (or at all as there, as there is a “withdrawn” bucket) from any uplift. I have no experience in an uplift and certainly could be wrong. This is my interpretation only. Others may have actual experience in this type of thing and may have better insight than I.
Well exhibit A is all over the place including: increased revenue and net losses. This should be interesting.
Exhibit A
“Red Cat Holdings, Inc., a Nevada corporation (the “Company”), acquired Rotor Riot, LLC and Fat Shark Holdings, Ltd. on January 23, 2020 and November 2, 2020, respectively. As a result, the Company expects that a significant change in results of operations from the corresponding period for the last fiscal year will be reflected by the earnings statements to be included in its Quarterly Report on Form 10-Q for the fiscal quarter ended January 31, 2021, including increases in revenues, cost of goods sold, operating expenses and net loss. The Company has not yet finalized its financial statements for the fiscal quarter ended January 31, 2021. Therefore, the Company is not able to quantify the anticipated changes in its results of operations at this time.”
Whatever they can do to generate income will ultimately pay off. I’m convinced that our last bump in pps had - as one of its variable - Fat Shark’s sales. That’s why I hope to see a positive E R. We need things which differentiate us from the competition. Dronebox should be one of those items when released. But solid financials should also be needed - imo. GLTY’all
Thanks Doc!
So if I understood correctly the ER was due yesterday. They are trying to be tight on all of their filings. Thus I’m concerned of no update yesterday on a delay as they are trying to impress NASDAQ. Hopefully, I had the date incorrect. Did anyone else have 3/15 for the due date?
Gotcha, was not following the Cat quote ,lol. Hope for the ER any day now.
So you are jumping ship? If so GLTY
Thanks Nick, for all the fun. Don’t worry about me ( as I have my towel) and the stripper loves my money, if not me. I expect a great show here in the near future. GLTY, just not in this play, lol.
So who thinks the E R is tomorrow? I’m guessing that is is pushed back a week as per usual. However, if they have something to shout about, I’d prefer that they break pattern and meet and expectation. Any thoughts?
Yeah this is why I’m in this market. I for once wants to be in a sector on an entity that if legit, before it takes off. I believe that we have found it in Rcat. Just my opinion. Great article. Thanks for sharing.
You’re welcome. Every little bit of data helps us to hopefully see the big picture. Certainly if anyone finds pertinent info, please post and please share as we need to stir up as much buzz as possible. We are still tiny and need volume to overcome the MM’s blocks. This has a lot going for it. But if no one knows about us - then what. GLTY’all!
The FAA has announced the final dates for the final drone rules. It’s much sooner than you think:
FAA Announces Effective Dates for Final Drone Rules
The final rules requiring remote identification of drones and allowing some flights over people, over moving vehicles and at night under certain conditions will go into effect on April 21, 2021.
Remote identification (Remote ID) requires identification of drones in flight as well as the location of their control stations or takeoff point. It provides crucial information to our national security and law enforcement partners, and other officials charged with ensuring public safety. Airspace awareness reduces the risk of drone interference with other aircraft, people and property on the ground.
The Operations Over People rule applies to pilots who fly under Part 107 of the Federal Aviation Regulations. The ability to fly over people and over moving vehicles varies depending on the level of risk a small drone operation presents to people on the ground. The rule allows operations based on four categories, which can be found in the rule’s Executive Summary (PDF). Additionally, this rule allows operations at night under certain conditions. Prior to flying under the new provisions, a remote pilot must pass the updated initial knowledge test or complete the appropriate updated online training course, which will be available on April 6, 2021.
Part 107 currently prohibits drone operations over people, over moving vehicles and at night unless the operator obtains a waiver from the FAA. The new FAA regulations jointly provide increased flexibility to conduct certain small drone operations without obtaining a waiver.
The Operations Over People rule requires that remote pilots have their remote pilot certificate and identification in their physical possession when flying. It also expands the class of authorities who may request these documents from a remote pilot. The final rule replaces the 24 calendar month requirement to complete a recurrent aeronautical knowledge test with the requirement to complete updated online recurrent training that includes the rule’s new provisions.
The public can review both the Remote ID (PDF) and Operations Over People Rule (PDF) in the Federal Register.
For general inquiries on these new regulations and other UAS inquiries, please call 844-FLY-MY-UA or email the FAA.

I did get the Jacob reference btw !!!
That is funny. So a certain short that likes to post at night might be the soup nazi. “Soup for you, no soup for you!” I will sell with that pressure. I have to admit though I love the analysis. It honestly gives another perspective. Can’t have enough - or can you?
It let me hit my share goal before the launch. So I’m ok. But I’ve been saying this for years - as my averaging keeps changing. It is time now! 3 years is too long. I actually get how Nick can play his tune sometimes as this gets old. However, not about to give my shares away.
Lol, slow day. Hopefully, this changes In the near future. GLTY
It’s a strange new world with the pandemic and all. Now we have “Nick at Night” turning into the “Night Stalker”! Yeah should my age on that one. I
mean who will remember Darren McGavin and the “ Night Stalker” lol.
Doc, just noticed that Dronebox is actually listed as a subsidiary in the lync. This is the first time that I have seen Dronebox listed in this fashion - as coequal with all of the other holdings. Looks like this might be getting closer to release. At least it they are pumping it more - It is certainly a good thing!
Go kick rocks. - lmao. I will have to remember this phrase. Too funny
Thanks - so from everything being posted regarding this filing, it suggests good thing regarding the uplift continuing. Let’s go RCAT!!!
Sorry Balloon, here is the lync. Any thoughts?

Oh wait - now I’m confused. It later states:
“Item 2. Exhibits.Pursuant to the “Instructions as to Exhibits” section of Form 8-A, no exhibits are required to be filed because no other securities of the registrant are to be registered on The Nasdaq Capital Market and the securities registered hereby are not being registered pursuant to Section 12(g) of the Securities Exchange Act of 1934, as amended.”
Maybe things are in fact not going as well as we thought.
Under today’s news sec filing.
Title of each class to be so registered Name of each exchange on which each class is to be registered
Common Stock par value $0.001 per share The NASDAQ Capital Market
Looks like some more movement in the background. Anyone know what this form
means or implies. I noted that it looks like the shares are registered on the Nasdaq - so looks very promising to me.
Thanks. Sounds like a good thing. I hope it plays out this way GLTY
Why do you feel that a forward split would be a good thing. Is it something like the reverse split? I really did not like that one.
Doc, any idea on what the analysis referenced in that article is about? Is there some sort of report which precedes the ipo range listing? I’m also curious on how long before the upmost a range is typically given. Been watching the futures board and no changes on the range nor the amount sought
I’m almost at my share goal of 20k. Once I hit that, I’ll reconsider future purchases. I hope that we hit much higher than $10 myself. Also the article referenced by Doc does outline their future investment intents - I believe that they hope to put %32 of the uplift monies into Dronebox. Which should be over $6mi. If they ever release the damn thing, this should be the game changer imo
I imagine that someone here posted. This in Stocktwits. It’s from last week. I don’t recall it being posted here. It has some good info. So I thought that I would repost .
https://seekingalpha.com/article/4410353-red-cat-holdings-starts-nasdaq-ipo-uplisting-effort
Supposed to be 3/15. It’s usually a week delayed
Very good article. This bodes well for us I hope. Thanks
This was Fat Shark note was posted on Facebook. It’s nice to see a company communicating in this fashion to its customers.
“Hello everyone,
We really appreciate all of the feedback and comments we have gotten in regards to Shark Byte so far. Here at Fat Shark, we have a very small team and it has been difficult for us to keep up with the different social forums as well as continue to do product development. We realize that many of you are big supporters of Fat Shark and were early adopters of the Shark Byte platform not only as a great way to fly, but as a show of support for what we are trying to accomplish. We really appreciate that you want to provide an update on our roadmap.
We are currently investing 100% of our time and money continuing to improve Shark Byte. We are very excited about where it is going and realized that we have not been good about sharing developments. We have just started to ramp up our next product development cycle for Shark Byte products and we really could use your input as we make design decisions. Here is how we plan to do that and let all of your input be effectively considered.
We ask that you message us either via e-mail (digital@fatshark.com) or on Facebook with what you like, what you don't like, how it flies well, or places where you wish it was a little better. The more specific the feedback, the better we can take action on it. Also - don't just mention the bad stuff - it's important for us to know the good stuff too so we don't accidentally make changes to a feature that you might really like. We will take all of that feedback every two weeks and include all of your suggestions and notes in our production meeting. Coming out of that production meeting, we will provide a new update on the status of things via this e-mail and on Facebook.
We are really excited about sharing our development journey with everyone and hope that this two-week communication cycle proves to be an effective way to keep all of you updated on what we are doing and gives a forum for you to input specific improvements you want us to work on.
For our first update: the Display Port bug in Beta Flight has been fixed to properly enable Canvas mode. This update has been added to Beta Flight 4.2.8 release. On the back end, this should result in simpler software routines and easier integration into the other Beta Flight branches. On the front end, this means all OSD items will be supported. Look for Canvas mode support on our next Shark Byte release and please give us feedback if you find any bugs.
Thanks!
The Fat Shark Team”
And just like that bid is gone. Stupid M M’s
Well that is quite the bid of 10k at $4.25
Thanks I found it. Too bad it’s so difficult to find. This page should be highlighted as it has all the really good info that explains why this is such a good buy
Love the stuff - however, I missed it on the website. Can you attach the lync to the website itself as I might have an older lync. Thanks
