On July 2, a Federal Judge in Alabama denied Metawise's motion to stay in case #1:13-cv-00337-CG-C Millard Refrigerated Services, Inc. v. Progressive Environmental Services, Inc. and Metawise Group, Inc.
Millard operates the terminal Metawise used to try and ship iron ore back in 2011. Progressive is the contractor Metawise used to "remove" the iron ore at the Theodore plant.
So, this case will continue on, exposing Metawise to yet another multi-million dollar judgement. Metawise already has lost a suit brought by Progressive in a Florida State Court and is on the hook for over $2,000,000. If Millard wins, the judgement will be many times that.
Oh well, just another day in the life of Metawise. And to think, Draco has already shipped 605,000 tons of iron ore and Metawise could only manage 10,000 which they eventually dumped in a warehouse in Mexico and abandoned. But wait, Metawise is Draco and Draco is Metawise.
And Metawise is going to own 72% of Armco according to Blue.

You don't find it curious that Draco claimed that it shipped 55,000 MT in March and scheduled to ship between one to three vessels every month since, which would mean that 220,000 to 605,000 MT have already been shipped, and the port they would use, Mobile, AL, doesn't know anything about such tonnoge?

Armco claims a reverse 10:1 split was approved by itsstockholders on March 27. Obviously that hasn't been implemented yet, so let's stick with the 55 million shares outstanding which can be called pre-split shares. At yesterday's close of .26, market cap is $14 million or so.
In April, Armco agrees to buy Draco Resources for 12,750,000 shares (post-split) which is 127,500,00 pre-split of Armco's newly issued common stock. Another 3,000,000 (post-split), that is 30,000,000 pre-split shares, can be purchased on a warrant at price of $3.40 per share post-split. Oh, and kick in another 1,200,000 shares (post-split) which 12,000,000 pre-split shares for the "finders.'
So, do you think the addition of 169,500,000 shares, pre-split, to its outstanding shares of 55,000,000 shares, pre-split, might cause some dilution? Let's see. Market cap of $14 million divided by 222 million shares, .06 per share.
If you want to look at it in a post-split way, there are currently 5.5 million share outstanding. Armco is going to issue 12.275 million new shares to acquire Draco, 3.0million to provide for a warrant exercise, and 1.2 million shares for a "finders' fee." for a total of 16.475 million. Any dilution potential there?
"Finders' fee?" Come on. Chen Songqiang and a couple others own Draco. Chen and the CEO of Armco go way back, way back, to their days at a state-owned enterprise in China. They needed a finder to put this deal together and reward that finder with 1.2 million shares (post-split) or 12 million shares (pre-split)?

So, if this is true, Draco has already shipped 220,000 to 550,000 metric tons of "iron ore." Trouble is, no one in the port of Mobile seems to be aware of this. Hmmm. Maybe Draco "beamed" the vessels over to China.
Can someone explain to me why Draco, if so successful in shipping all of this "profitable" iron ore to China, would want to be acquired by Armco?
