It really depends on which direction you think the stock price is headed. If you are a Long Term Long here till the buyout...and you think the stock price is headed up, either in the Oct-Nov-Dec quarter or in early 2019, and you believe Advaxis has enough cash to get to important catalysts over the next 12-15 months, and you believe Advaxis will be able to do an offering and raise more than $5 per share once those catalysts manifest....then you should want the warrants to expire worthless so that shareholders are hit with less dilution.

Either a few big (Tutes) shorties got wind of the “new” Short report and covered immediately OR
More likely I think, the Big Shorty covered the rest/last of its Short position at the last possible moment before anyone found out they covered 3MM shares already.
That’s what I was thinking but it’s nice to hope for more. Was likely late panic covering in advance of publishing the Short decline.
I’m no expert but I assume the first step would be to turn off the bots. Give it a week or three to find a resting spot with no downward algo pressure...and see where it goes. Flip them to buy bias on good news in a couple of weeks.

That’s correct tallpines...and compensation is a measure of Share Price * Shares issued and so there is a decline (not in shares but in value of equity awarded in more recent years.)

Even that has history. They did that for the first time at the end of 2013 - in fact after Mayes was hired and given the first exhorbitant RSU Grant, it was he that was credited with hiring the outside consultants to assess how underpaid and “under-equitied” the rest of management was. They simply dusted off that boiler plate language and included it again and probably didn’t do any kind of costly or rigorous study, IMO.

We don’t really know that the concern is BOD votes and they know they can’t be voted off. It may be a secondary concern right now. It’s more likely they are assessing where the share authorization is at. That is more likely going to impact what the CEO does during the next 6 months. I have gotten proxy calls a few times since the 2013 Proxy fiasco fustercluck.
I was asked to support the BOD recommendations regarding the proxy for Advantage too.

Since the Advaxis/Merck results will be presented in June at ASCO, there will be no public release of any information prior to then. All we know is at this point Advaxis and Merck haven’t agreed to a deal, or if they have, it cannot be publicly announced at this time. We don’t know anything else.
A Board Member WAS once sacrificed (Pulled from the Proxy) to appease shareholders and try to get the rest of a proxy approved.
That was DOCs first Proxy...Went for R/S authorization, Auhorized Share Approval...on the Second Proxy Tom Moore was removed from Board.
So a prospective partner simply has to say...
1 you have enough money to last about a year
2 you don’t have shares to offer and raise more since your shareholders voted down the ability to capitalize your company with another 30MM shares
3 we don’t see you as a going concern beyond this year
You think a BP needs Marcum to tell them if Advaxis is is a going concern? No, they do not.
Truly simply a matter of risk/reward ...
If a BP viewed Advaxis as presently unable to show how they will fund operations (without the BP’s money) into the next year to three, any BP doing business with Advaxis would assess the investment as RISKY and then drop their offer price dramatically. They might put $10MM into a risky investment but not $100MM.

Hypothetically;
When they announced the offering they intended to go through with it; 2 purposes, raise cash and liberate equity from short cartel.
When they announce pulling it the circumstances have changed - a big buyer no longer wants/needs the shares...

Provide the capitulation event. Pull the offering on Monday pre-market; run it up...;)
That was my hope....and then they could pull the offer.

True Story:
Left me a voicemail regarding my proxy last week. I listened to it from start to finish recently, for the first time. The caller kept pronouncing Advaxis as Advantage...hahaha. Seriously, during the few times where the intention was to pronounce the company's name properly, it was pronounced Advantage. Not going to say anything more because I don't want to get somebody fired but geez.
