TEFCON will be held in Minneapolis on July 1, as part of Federation of Tamil Association of North America’s (FETNA) annual gathering. LAS VEGAS, NV / ACCESSWIRE / April 13, 2016 / Hangover Joes Holding Corp. OTCHJOE, a fully reporting publicly traded company, announced it has filed a response and answer and affirmative defenses to a law suit in the Eastern District of New York against KBM Worldwide, Inc. The case is currently contested by the defendants in Federal in the Eastern District of New York.
The company is represented by Ellsworth Young LLP (www.eyllp.com) a full service law firm specializing in "toxic debt remediation", with offices or affiliates in many states including, New York, California, Nevada, Arizona, Texas and Florida. Most of the "toxic lenders" as they are known in the industry are located in those states.
Ellsworth Young (EY) conducted investigations of the industry and hired top experts to support its claims that, in general, the practice of convertible debt financing violates both State Usury Laws, and the Securities and Exchange Act of 1933-34. As well, in most cases this is accomplished using false promises, unconscionable loan terms and penalties hidden or disguised fees, and in general are not healthy for the companies who borrow or their shareholders. The firm is seeking regulatory, legislative and judicial support of its positon's regarding this industry as it feels it is harmful to the investing community and the companies involved. Some of the lenders in the business are involved in employing stock bashing message boards and naked short sellers, using them to drive down the price of public companies shares, while benefitting the lenders with even richer returns.
Mathew Veal of HJOE, CFO stated, "we are one among many clients of EY that are seeking redress for the wrongs expressed in this case. Until such time as the regulators take notice of the activities of these toxic lenders, and seek to curb their practices, EY through the courts are one of the only bastions to resist the lenders efforts to undermine the value of our companies." This case is one of many involving the EY firm and its affiliates, against JMJ Financial, and Justin Keener, "The Keener Family of Companies", The "Asher or Cramer Family of Companies" (Vis Vires, KBM Worldwide, Asher Financial Inc.,) and Typenex and Chicago Ventures and "The Fife Family of Companies" and John Fife. All of the forgoing having officers and directors with either FINRA or SEC violations and fines, discipline or both. The EY firm has clients with potential claims against LG Capital, Adar Bays, Tangiers, among others in various courts around the country.
EY's OTC clients are generally in the technology and medical space including computer software, biotech and medical devices as well as minerals and mining. EY LLP has relationships developed through the years with law firms of the highest caliber looking for challenging business.
Here are some of the accomplishments these firms have experienced applying pressure to the industry to control well known toxic lenders:
One firm has recently persuaded a federal court to dismiss a predatory lenders action seeking a temporary restraining order to enforce the terms of their loan and order the OTC company stock transfer agent to immediately do a conversion. The Court even stated "However, contractual language declaring money damages inadequate in the event of a breach does not control the question whether preliminary injunctive relief is appropriate." Although, the Court may consider such language as a factor in the irreparable harm analysis, "the Court remains obliged to make an independent determination as to whether injunctive relief is appropriate." The court cited In re M.B. Int'l W.W.L., No. 12 CIV. 4945 (DLC), 2012 WL 3195761, at *12 (S.D.N.Y. Aug. 6, 2012); see also Ins. Co. of the State of Pennsylvania v. Lakeshore Toltest JV, LLC, No. 15 CIV. 1436 (ALC), 2015 WL 8488579, at *2 (S.D.N.Y. Nov. 30, 2015) (same); Firemen's Ins. Co. of Newark, New Jersey v. Keating, 753 F. Supp. 1146, 1154 (S.D.N.Y. 1990) ("[I]t is clear that the parties to a contract cannot, by including certain language in that contract, create a right to injunctive relief where it would otherwise be inappropriate."). Here, the Court finds that the Plaintiff has not demonstrated irreparable harm sufficient to justify a preliminary injunction. Thus, although the contractual language in the SPA providing for preliminary relief is relevant to the question of irreparable harm, it is not dispositive of the Court's analysis." In other words the law firm succeeded in having the court ignore specific language in the loan agreements to reach a favorable ruling for a client.
A Second Law Firm achieved- reduction in demand for profit by another toxic lender through litigation in by one of our affiliate law firms, from $520,000 to $90,000.
A Third Law Firm for another client was able to renegotiate 5 of its 7 toxic loans based on the threat and reputation of one of EY's referred law firms, and reduce its debt by $600,000, and not lose market cap by conversions by one of the notorious toxic lenders.

I agree in the fact that txhd is creating a potential opportunity for itself to control/dominate this specialized sub segment of worldwide communications. Also, the underlying potential of this new paradigm of mass communication as a business tool presents the ability to go VIRAL. What does going viral mean?
The term refers to a phenomenon characterized by mass dissemination of an item on the Internet or other media/communication. It is called viral because of the similarity in which actual viruses are spread.
Remember, not too long ago a company known as AMERICA ONLINE wasn't the first internet provider or the inventor of the internet for mass consumption. They just repackaged the 'internet experience' through rebranding, fresh ideas and yes, proprietary technology. The numbers went viral and the company was booming with huge numbers of people benefitting through rising stock price/forward splits.
TXHD doesn't have to invent the blueprint for success as it is already there as ,for example, America Online demonstrated. All TXHD has to do is have a 'viral' potential technology with a platform to accommodate the growth..The EXECUTION of this which seems to be happening before our eyes at this point of the company growth phase.

86% of Diabetes Patients Change Their Behaviors After Receiving Text Messages
A new study out of Thomas Jefferson University in Philadelphia shows – once again – how text messages can inspire people to change their behaviors.
According to an article in the Philadelphia Inquirer, diabetes educator Janice Miller wanted to explore how text messages might help a group of patients with uncontrolled diabetes. She authored a study that sent educational texts to 20 diabetes patients, encouraging them to “eat healthfully, exercise, and to make an appointment for a retinopathy exam.” The messages were broadcast three times a week, over a three month period.
The results were quite frankly astounding: 86% of patients made changes in their food choices. Because of the reminder texts, the vast majority of the patients started eating more healthfully, the first step towards taking control of their blood sugars. And more than half (57%) increased their physical activity. Yes, the text messages even got people to exercise more.

A few other impressive statistics:
Almost three quarters of the patients showed improved adherence to their medication schedules
51% increased their glucose monitoring.
55 percent of patients made appointments to have a retinopathy exam – an 83% increase over pre-study levels.
According to the Inquirer, “patients praised the ‘frequent reminders to take care of my diabetes’ and reported that they ‘learned information I would never have sought out in a book.’”
Multiple Studies Support the Power of Text Messages
The Inquirer article notes a number of other studies that show how text messaging can help diabetes patients. A massive million-person study in India saw 40% more improvement in people who received text messages than in a control group. A study out of the University of Chicago showed an 8.8% drop in the health care costs for text message recipients.
Nalini Saligram, who ran the text messaging study in India, praised the power of the humble SMS: “I genuinely believe that text messages that are simple, short, and easy to read can influence increased healthful behaviors.”

Be the first to perfect voice keywords. The numbers in keyword texting like Text 87365 will have a very short life span. Just look at your personal contacts in your cellphone, do you not know the actual phone numbers memorized in your contact list? No, it's Sue P., Dave L., Starbucks, etc. for exmples. You can even call these contacts by your voice command to dial.
TXHD must be considering to vertically integrate this specific mode of this SMS texting business. I would not be surprised to hear that Rajeev and friends are working on the software to make this happen or TXHD going out to partner/buy a company with this technical know-how.

Rajeev is a result and customer oriented, extremely hardworking executive manager who leads by example with extensive experience in Software centric businesses (he founded and managed the Philips Software Center in Bangalore), General Management, Operations Management, Marketing, Strategy development and all aspects of growing a small company from start-up to maturity. He is a business leader and a motivator who acts with integrity and is able to bring out the best in people working for and with him. He is demanding but fair, he rewards for good performance and will criticize and correct when needed. Text messaging isn’t just a fast and simple means of communication—it helps grow businesses. In a recent IDG/Heymarket survey, almost half of businesses that use messaging said they have realized significant benefits.
There are several reasons texting works so well. One is that customers pay more attention to messages--98% of them are read, usually within the first three seconds.
An important but less obvious benefit of messaging is that it facilitates teamwork, taking customer service to a new level.
That’s what Nick Caputo, a manager at design store HD Buttercup, learned when he started using Heymarket. His sales associates were already using smartphones to message one another and their customers. But regular texting proved awkward at times—they couldn’t add additional staffers to conversations or coordinate furniture deliveries with third parties.
Now, if a staffer is sick or out of town, she can add Caputo to a customer conversation, and he’ll follow up make sure questions are answered and coordinate the delivery, all in the same text thread.
In addition, staffers coordinate appointments and share design ideas with one another by texting fast-loading images.
Not surprisingly, customer engagement and loyalty have increased. Customers don’t care who’s taking care of them, they just want good service. They see one smooth line of message and response, while Heymarket paddles beneath the surface to connect everything with the right people at the right time.
Messaging also increases engagement—not only for customers, but also for staff.
Keller Williams top agent Tristan Ahumada uses it to connect with his team of 18 business partners, who collectively generate $60 million in Southern California real estate sales.
Ahumada checks in with his team each day in an 8 a.m. status call. He tried using Slack and Uberconference, but getting people to join the calls was difficult. So was getting updates from those who missed the call.
The team now receives a daily text message from Ahumada with a reminder to join the call. Attendance has increased by 40%. People who can’t attend quickly reply to let him know what they’ll be working on that day.
That’s the power of texting—SMS is right there on your phone, and responding is as natural as nodding your head. Other apps have to be opened, and if you’re busy, it’s all too easy to put it off until you forget what you were supposed to do in the first place.
Enterprise texting lightens busy staffers’ workloads. At Smile Specialist, which provides dental care for dogs and cats, workers were spending up to 10 hours a week phoning customers for appointments. Phone calls often went unanswered.
Using Heymarket, the company created templates for sending appointment reminders by text. They were addressed to customers by name, and though a staffer sent them through a list, each was personalized to come from an employee assigned to a particular region. They intentionally send messages from employees in a region that each customer knows. Messages noted the location and hours of the mobile clinic closest to each customer.
For staffers, using the system is as simple as pushing a button. For customers, it’s more convenient.
Over 50% of the company’s scheduling messages now lead to appointments. Employees spend just a few minutes a day on the messages and have more time for live customers.
Improving teamwork and customer service doesn’t have to be complicated or expensive. It can be as simple as switching to text.

Mac Daily News has posted a leaked memo from AT&T proclaiming that the iPhone 3GS generated the best ever sales day for the company. More interesting perhaps is this little nugget: on the day Michael Jackson died, AT&T set a high SMS messaging record with 65,000 text messages sent per second. Given we've talked about how each 160 byte SMS is carried on an unused channel and costs virtually nothing to provide, 65,000 times twenty cents (in both directions) would generate just mind-boggling profit for the carrier.

Still, even when considering SMS at a number more realistic for bundle plans (like six cents per text), you're talking about stunning net profit per hour, day, and year. It's all something to be considered every time the carrier whines about how current pricing models or other restrictions make it hard for the carrier to upgrade its networks.
That said, uneducated consumers seem willing to pay these high prices, which puts the onus on users to realize they're being ripped off. As networks get more open and mobile devices and communications options mature, SMS will likely become irrelevant -- making the entire discussion moot in time.
Perplexed why nobody here and including today's TXHD press release that the company didn't post quarter-over-quarter revenue growth rate. Well, 1st quarter 2017 revenue is a 40.3% REVENUE INCREASE from 4th quarter, 2016!!. This is elementary..its an important fact to know! Go TXHD! Next logical P.R. should be about a LOI for a company willing to come over to the new, wide open platform and contribute revenues to Q2, adding fuel to the exponential growth on the horizon.
