Is it possible the company is buying shares in open market to obtain a larger percentage of the float in order to achieve their ideal share structure. If that is the case, wouldn't it behoove them to take their time getting their ducks in a row (filings, audits ect)before releasing news that could send the stock running 50%-100%
Have no idea is this is the case but just throwing it out there as a possibility
They are not dumping shares, the only dilution that has happened has to been for expanding operations, such as the American Smoke acquisition. They have no reason to dump shares to line their pockets, as unlike most OTC stocks they are making money selling product, not stock.
Dilution for the funding of operations during a massive growth stage for the company and industry is fine by me. Since they announced the merger and their intent to go public they have done everything they said they would and more. There is no reason to believe that they are not growing revenues at an exponential rate and setting this company up to be a leader in a emerging new market.
They have only been public for less than 6 months and in operation for little over a year and look what they have done. Until they prove otherwise, i think they have earned the trust of shareholders to see their plan come to fruition.
No, name change is not required, the 90 days refers to the time they need to file an 8k after the RM takes place detailing the newly merged entity. But i am under the impression the 90 days starts after the merger agreement is finalized, which doesn't have to be filed to my knowledge or if it does it would be with the SoS so it wouldn't neesasrily be PR'd.
But these things vary drastically depending on the circumstances.
My understanding is that the 90 days is from when the merger is finalized until they must file 8k, so until there is a filing showing that the merger is complete, I do not think there is any time table.
i could be wrong but that is my understanding.
I think they are making sure everyone covers, keeping the price in check for now. Look at the price action once they take that down and we will see where the trend is heading
The info with the Nevada SoS is accurate, if any changes were made to the A/S they would be filed with the SoS. It currently states it is 950M
https://www.nvsilverflume.gov/businessSearch
Until this is changed, the A/S is 950M
Not even sure who got that 300k as it was not me and you still seem to be unfilled, maybe hidden bids
I would not say avoidance to shareholders, you have to understand that this is in its infancy. It a reverse merger is to be believed, with a private company making as much as they potential are, there are a lot of things that need to be done before the RM is even finalized.
This merger is not finalized, and my guess is that they are performing audits, getting the GLGT shell current before they can do anything. Look at FOGC, they needed to get current before a plethora of info came out. This is not something that is done overnight and something that lawyers could even have troubles with. Look how long it takes for companies on the big boards to complete mergers.
Now the rub is that this could all fall apart and the merger could be off and we are back to a non-reporting shell. But thats the game you play on the OTC and especially with RM shells
My apologies, hopefully we all can win here. And i would bet you will get filled if you are patient. As this is a very high risk gamble at this point and the stock will not move significantly until concrete news is released.
As far as CDEL, if you use etrade it will typically come up as ETRF but it can also route to a number of different MM's, all depends on avialability and who wants to fill it. If you use etrade pro you can actually select a MM to use, certain onnes execute faster and have priority over others.
It is the only concrete evidence, I was referring to people going on what others have said about conversations they had with Mr. Price.
I was saying i am only going with the concrete evidence, until someone gives out the number for me to verify or there are enough corroborations of the story it is not to be trusted.
2 things 1) do not trust what anyone says on here unless you can verify yourself 2) Even from the company itself you can never trust timelines. I work at a place where we were suppose to deploy a major project 2 months ago and each week it's, next week is the week. So they may have been told that by someone from the company but there are many unforeseen circumstances that will change the timing of complex matters such as these.
But if someone wants to share the number I'd be glad to call myself to confirm. the only thing i am going on now is the signed form from Nevada SoS showing name change.
I thought i would throw some beer money at this one and see what happens in a month or so, see waiting for another 500k or so but that was me getting the 1.2M
You are right all about percentages and what insiders have and want. But they do not need to split to get it as there are other means such as preferred shares. That's the rub and why it trades sub penny there is risk involved
Thats why these are high risk high reward. And even if they do split no sayimg can't run to penny beforehand
I will only start to be concerned about split if they raise the A/S
All, this is what a section of the OTc market does, they search for shells on sale and wait for the sale to go through and pounce when the stocks are in the trips.
Most of those people sell once concrete news hits sending stock on 50-100% gains sometimes 1000%. This does not mean it is a scam and it does not mean the merger will be completed. It just means that someone bought the shell to attempt a RM, there are many reasons why they fail and many reasons why they don't make money for investors ie. Dilution, Reverse Split, but there are many others that have made tons of money.
You just have to buy your ticket in the hopes the RM is completed, because if it is, this will go to at least .01, my guess is more like .05 if the revenue projects are accuate.
This one currently has an A/S of 950m, not too bad and not nearly enough to worry about a split.
Glad to share anything else i can to prove legitimacy of the letter as i was the one who posted it. the one in the ibox is same one, got a copy directly from Nevada SoS.
Would be great if someone could get a copy of the filing from 5/16, i have not had enough time at work to fill out the form to request a copy.
The Secretary of State in the state the company is registered is one of the best places to look for DD on OTC stocks. For any changes of SS, name changes or any other change on the business they need to file with the SoS.
I frequently check as you cas see SS changes much sooner then they will appear on OTC, yahoo or any other legitimite source.
As far as this particular filing, i ordered it from the Nevada SoS, all you need to do is fill out the form and pay couple bucks a page and you can get a copy of any document that is filed with them.
Not true at all, look at other runners. They spike on initial speculation, then churn/consolidate until acutal news hits. Look at SPLI, ran from trips to .002-.003 where it stayed for a while. When news hit is started to rocket again to .01-.03, where it churned some more.
At this point all we need is news and the volume will follow. The fact that it has held its gains with little volume is a very good sign
Yup, and like i stated earlier Hanover is not going to set a conversion price based on smoke and mirrors. They do not care about sector momo or a stock pumped up from various groups.
They set there price based on their own DD and the valuation of the company. They did detailed DD and agreed to a price higher than the current pps at the time, which is rare on the OTC. they do not care about TA or resistance levels, they care about how much money a company is going to make.
I think this move is based on pure technical trading and people selling due to breaking resistance points. No one knows anything more than Hanover does and they were willing to bet $1.3M.
Everything in the OTC is a gamble but a signed document with the Nevada SoS stating the name change from GLGT to Turbine Aviation signed by Victor Farias is good enough for me.
Now the RM might fall apart but they attempting one based on the filings that i have seen, so worth a purchase of a ticket. If it doesn't work out so be it. If it does $$$$$$
Hanover agreed to conversion rate of .15/share. Hanover would not agree to a conversion rate based on a hot sector, pump & dump, stock momo or anything else but concrete facts and fundamentals. Vapor must have shown them something that made them comfortable investing and setting the price at .15.
My guess is they were told something that is not yet public and they know the kind of money that will be generated.
Also looking at Yaniv's pics today, they are moving a crap ton of product.
https://twitter.com/YanivNahon
People yelling sell are only doing so from a technical perspective as the chart has gone to hell. Not one person on here yelling sell is saying so because of what the company is doing. Patience is a virtue
Guess hanover is out $1.3M then
They do this to not undercut there customers. They have there prices set higher to divert traffic to 3rd parties as they are just a wholesaler. If they sold for 24.99 why would anyone buy from anyone else but the source and cut out the middle man
If they are diluting for the company they will sell the below the bid, just like shorts do from time to time. MM's do what the company tells them to do when they are diluting
Not sure which you are referring too but quarterly reports are not audited they are reviewed for reasonableness. Audits only occur on year end financials. The Vapor groups 8k for 2013 was audited
I do not see any large blocks going off below the bid so if they are diluting they are not diluting much. To me this is more about the large float and getting people out from the trips and old holders of FOGC. the float 2.5M, even with massive volume yesterday it was still a fraction of the float
Check the DD here, there is a form signed by Victor Farias filed with the Nevada SoS changing the name of GLGT to Turbine Aviation. What more is needed than that

Thanks for your concern you are truly a kindred soul looking out for everyone's best interests
If you are trying to contribute never tell someone to buy or sell. Merely provide evidence to support you position without trying to convince others. When you try to convince more than share your intentions are clear whether pumping or bashing.
Also, why would one worry about something over 4 months away with 2 earnings reports beforehand. If you didn't sell on the spikes to .12 and .09 then there is no point in doing so now unless you are betting it will go through the 200sma
Just stating as I see it, I do not care whether anyone buys or sells. I know this is one of the better bets on the OTC
Since I have started following VPOR they have done everything to build brand awareness. Everyone states how can one compete in an industry as saturated as e-cigs, well just like any other crowded industry be the brand leader. I think the retail stores is just another step in the process of being the brand leader.
Also, I believe the retail stores will serve as a base for their online monthly subscription service. The stores will allow for faster shipping and response times as they can be closer to the customer. And having a retail front can act as marketing for the program by allowing potential customers to come into a store and test the product out then signing up for the mail order program.
Additionally, traditional e-cigs like blu, njoy, mcig are not the vapor groups competition. The Vapor group is in the Vaporizer and e-juice market. Traditional e-cigs will go by the wayside very quickly as their sole purpose is to provide a familiar experience to that of a regular cig. Typically, once people get past the initial intimidation of a true vaporizer they can see that it is better from a cost and consumer choice perspective.
With that, VPOR is positioned perfectly. I hear people questioning their presence in gas stations and conv stores. As stated above the gas stations will eventually transition away from e-cigs as the trend moves to vaporizers. They will then sell e-juice as this stores will not likely carry the more expensive vape devices. Consumers tend not to want to purchase $30-$100 devices from a gas station. This then lends itself back to VPOR's store fronts that will be the go to retail place for the vaporizers.
All in all, they seem to be doing the right things to not only build the business through increase revenues but by building a brand. This does not mean they will succeed but they are at least making the right moves.
The amendment from the Nevada SoS is for a name change from GLGT to Turbine Aviation signed by Victor Farias. Look at the DD stickied as it is included.
Well its big enough to keep it from moving north with the current buying pressure. That's ok, accumulate accumulate accumulate. Whether this is legit or not it will have at least 1 run.
Not getting past .0012 as all the people who bought at .0009 and .001 are selling
about 12M on the ask at .0012 with only about 5M on the bid. We will trade in this channel until news breaks it out
The fact that this has stayed above .004 for the last couple weeks shows the strength. Once it starts to dip the bid support steps in. Now some of this is due to flippers but the ability to maintain this level is telling.
Most flipper stocks loose all of their gains and it starts the process over again. this is following more of a elliot wave pattern with higher highs and higher lows.
If news hits that is anywhere near the predictions, this can easily hit .02. if the revenue is towards the high end the sky is the limit
5M Revs 10% net margin = 500k/800M float = .0006 x 30PE = .019
20M Revs 10% net margin = 2M/600M Float = .0033 x 30PE = .10
you get the idea
Bloated, what like 75% of the OTC, yet stocks seem to run all the time
Sure fill out the form on the Nevada SoS and pay the 3 dollars for the copy
That is a very intelligent retort, one can see how much you have to offer the naive investors on ihub with such wisdom.
O/S is 3B per OTCmarkets but who cares the filings and news of Ken Manzo mean that a RM is happening and look at MYEC, FITX, ERBB and any number of other OTC stocks with higher O/S trading in the pennies

I ordered the document from the SoS, the amendment is for the name change of Global General Technologies to Turbine Aviation. The document is signed by Victor Farias.
