For me, it would not be prudent to sell ACLY just because news has not reached us/me although news is what is needed to drive this play.
As I see it the thing to do is try (which we have...tried) to figure out what will eventually occur. We know this will have to be structured in some manor to make sense.
I still believe they have something in the box that is to our benefit. Least not forget the Barnett play as well.

I agree that the auditors are part of the current delays and related silence of the company. These auditors should be replaced immediately but look as if they are still overseeing a new auditor....maybe in self defense???
The company should PR this 10K with some sort of forward statement of rectification. Without that the red flags are waving might high!

OK, "dividend in-kind",
I am going to venture to guess that "dividend in-kind" is the amount of share you have in PGPM at the close of the cut off date the dollar amount you hold in PGPM will be granted the appropriate amount of shares in ACLY.....a guess.
1000000 shares of PGPM @ .0005 = $500.00 converted to ACLY @ 5.00 per share = 100 ACLY? A guess is a guess is a guess! LOL
Any other guesses out there????

(i.e., you hold 1 million shares of PGPM, you would get a dividend of 100 shares of ACLY).
If this is the Nov 4 occurrence these are teaser share of ACLY for us to make or break ACLY PPS. The lower we beat ACLY down the less we get when the 1711/1 happens.....
If it falls out like this we are not getting very much unless the 5 bucks on ACLY holds!
The only way anyone would make out is if they bought a butt load of shares at .0005....JMO!
Maybe we will get surprised...don't know yet! But it looks to me that us retail are the ones that will make or break this!

The PPS is below most everyone's DCA or DC except the ones buying new today or at these low share prices. Guess who retains the excess money left in PGPM when the divi to ACLY happens.....how about the 30% left in PGPM. And wouldn't you venture to say Pinedo owns at least 30%, close to or thereabouts????
What if ACLY gets beaten down below break even or even down to your DCA???? You have to do the math to see where you sit! I believe that we may get a good deal here, but what we do with it after that, is, or may be their plan to capitalize on us??? After all they a have a plan, and with any plan they should have run certain scenarios to develop the plan to begin with.
Again too many unknowns at this point, but keep a sharp eye!

I believe that Ralphy has a game plan and probably well thought out. I am not going to discount lame PR verbiage with this move as to think something different. There is a lot of expense to PGPM/ACLY involved in this move and dividend, for them to not have good or the best advise in this outcome!
The key here is to figure it out in advance and plan to our benefit. So withholding info from us maybe be part of the plan, that we do something rash or unexpectedly to our detriment.....where they will capitalize on our mistakes. I am sure they know that there will be some offloading right off the bat, and that may be part of what they want????? JMO

Yes. PGPM will trade after the EX date but who trades them will not qualify for the "in-kind" dividend. You must be a holder on or before the 28th. We don't know if that applies to the buy back at this time however. This may be where the 30% PGPM will be trading with that will remain PGPM???? Don't know yet until we get a PR or Ralph can explain it in someone's email that we can understand!

Yes that's true it is just the buy out! The divi's are the secret! However I am just beginning to see the picture and the trading scenarios. It appears that everyone has to run their own numbers to see where they fall on the scale of PPS for both PGPM and ACLY. No one will have the same out point...this can be all over the place! The black box and news presentation will be the key.
Pinedo is pretty smart! You can hit ACLY to the point where your 1711/1 conversion is not profitable depending on PPS of ACLY and your DCA! Or you can consume ACLY to raise it's PPS thereby increasing your PPGPM. All at the same time we will be able to trade both for a certain length of time..JMO on that one! The math is getting interesting!

No, there should be no disappointment on PPS unless your trying to flip shares on the current news. Obviously you would be disappointed because the PPS didn't jump like expected on the news. (I am not saying you specifically)
But if you read the news, it didn't really tell you very much to base a trade on, did it!
I believe the point is not to try and flip this stock because of the short time of announcement to divi date of Oct 28, it really is useless to play or make a play. I believe the benefit is to the existing share holders. Note, no one knows the actual divi at this point. The point is if you want to recieve the divi's you will be a share holder at the EOD 10/28.

I do follow what your saying. I think the break even point in the conversion is approx $1.20.
More to the point and cutting this short, propping up ACLY is more beneficial to PGPM share holders as this folds over...am I right?
