Perihelion Global Provides Update on Canadian Subsidiary
WILMINGTON, DE and SANTA ROSA BEACH, FL, Nov 01, 2007 (MARKET WIRE via COMTEX) -- Perihelion Global (PINKSHEETS: PHGI), a development company with interests in natural resources, alternative energies, and advanced communications, today provided an update on the company's Canadian subsidiary.
As announced over the summer, Perihelion Global formed Perihelion Canada to engage in the exploration of precious metal and mineral properties in Canada. Initially, the company expected to create its own security listing on the Canadian CNQ exchange and arrange financing through that subsidiary to fund operations. The company and its Canadian counsel believed market and regulatory conditions were satisfactory to complete this process within a 90-day period.
To date, however, Perihelion has been unable to progress beyond certain administrative and monetary conditions that have hampered the company's ability to create the publicly traded Perihelion Canada subsidiary. Specifically, the dramatic and historic decline of the US Dollar against the Canadian Dollar has had a significant and negative impact on the company's purchasing power. As Perihelion is an American-based company dealing almost exclusively with US Currency, a weak US Dollar provides a far more expensive process than originally conceived. Further, the company has encountered additional delays with the regulatory and legal process that were not anticipated by its counsel.
The company will continue to explore all options available to creating the publicly traded Canadian subsidiary, including the acquisition of a public company already on a Canadian exchange. However, there is no guarantee the company will be successful in doing so, and at present, Perihelion Canada remains an incorporated and registered Canadian 'shell' corporation without meaningful operations.
Shareholders are advised that the material discussed in respect to Perihelion Canada does not impact Perihelion Global US operations, including energy and mining projects underway in Alabama and Utah.

NEW YORK, Oct 18 (Reuters) - More people are expected to be charged in the coming months in a U.S. probe over phony finders' fees and illegal kickbacks in the stock loan industry, according to people familiar with the investigation on Thursday.
Federal prosecutors in Brooklyn, New York already have charged 17 people, including former stock-loan traders at Morgan Stanley (MS.N: Quote, Profile, Research) and Janney Montgomery Scott, with participating in a scheme to skim profits from stock loan transactions. The U.S. Securities and Exchange Commission has also filed civil charges against more than three dozen people.
Stock loans are made as part of short sale or other transactions that require the investor to borrow shares. Finders are third parties who, for a fee, locate a counterparty for stock loans.
A federal grand jury in the Eastern District of New York is conducting an investigation into "the participation of other unindicted individuals in the illegal conduct," according to a court filing by the U.S. attorney's office in Brooklyn earlier this week.
It was not clear how many people are under investigation or where they worked.
The additional indictments are not expected soon, one person familiar with the matter said on condition of anonymity. "It might be a couple of months."
The U.S. attorney's office and the Federal Bureau of Investigation declined to comment, although prosecutors have said previously that the probe was ongoing.
So far, 10 people have pleaded guilty, prosecutors said. They include former stock loan traders at A.G. Edwards and Sons Inc (WB.N: Quote, Profile, Research), Oppenheimer & Co Inc; National Investors Services, also known as TD Waterhouse; Nomura Securities International, a unit of Nomura Holdings (8604.T: Quote, Profile, Research); Van der Moolen Specialists (VDMN.AS: Quote, Profile, Research); and Kellner Dileo & Co Inc.
Some of the people who have pleaded guilty have also entered into cooperation agreements with the government, according to court papers.
Last month, while announcing securities fraud conspiracy and related charges against five of the defendants, prosecutors said traders at several large brokerage firms funneled millions of dollars in fraudulent finders' fees to co-conspirators, often when no services had been provided. In exchange, they received cash bribes or payments to the traders' relatives, prosecutors said.

SEC Regulation SHO sets out rules governing short sales, including the mandatory close-out requirement that applies to securities in which a substantial amount of fails to deliver have occurred (“threshold securities”). Clearing agency participants and broker-dealers for which they clear positions (“participants”) must take immediate action to close out a fail to deliver position in a Threshold Security that has lasted for 13 consecutive settlement days by purchasing securities of like kind and quantity (“close-out requirement”).
The amendment eliminates one of the exceptions to the Close-out Requirement for fails to deliver established prior to a security becoming a Threshold Security (“grandfather provision”). The amendment requires Participants to close out any previously-grandfathered fails to deliver in a security that is on the Threshold Security List on October 15th. The close-out must occur within 35 consecutive settlement days of October 15th. If a security becomes a Threshold Security after October 15th, all fails to deliver must be closed out within 13 consecutive settlement days.
