A scam is when there is a vacuum of information. I invite your attention to the elegant, well written, and detailed filings to the SEC on their website. Perhaps you may want to do your DD?
That would be insane to our new investors who literally doubled our access to capital. How many penny stocks have a strategy this well thought?
Much more sophisticated than brick and mortar and hardware. They are seizing the opportunity to provide capital that the banks can't give.
Sure. And why did a private equity firm with ties to the Ivy league buy into their scam?
Basically they got a lot of smart investors to buy into their strategy. That was quite a coup.
Nice post!
They are so vested in the status quo they are thinking if they change they will lose millions and lots of jobs.
Really old news-September. Our opportunity lies in the fact that the banking industry is not going to move until DOJ and Treasury make rules. And that is probably a long time away since there are only two states that are really regulating cannabis. So, there will be plenty of opportunity dependent upon locality and state rules. PHOT has a host of legal experts in this arena, and now we have capital. A huge opportunity in the inherent inefficiencies of the present system.
Funny :)
Not necessarily. We have funding and are leveraging this gap in services. The longer it takes the banks to participate the greater the opportunity there is for us.
And a real wide latitude for what deals can happen- from acquisitions, compliance/legal software and hardware, GIFT, etc.
Nice post, From this physician's point of view.
Great article by Alan about the iCannabis interview with Sterling and Rob. Before yesterday's big news.

True. I think it might be instead a play on canceling the Sched 1 designation with Cannabis and legalizing it.
Cool. Lead attorney is from UPenn. That's called Ivy League. In the world of finance that is the best you can get. PHOT brand just went way up!
In business there's always alternatives. This is however a major deal especially since we got 3 new board members out of 7.
Do any of the other cons have such detailed SEC filings as PHOT?
Every SEC quarterly and annual statement for PHOT describes explicitly their danger of continuing as a going concern without significant capital in the next 12 months. They got Capital. A penny stock got $40M of capital. That is called good news in the world we live in.
Wow- this was a great post as far as timing. Thanks!
Rather prescient statement. Thank you for participating-
PE firm supplying $40M capital to company.
Cheers!
Any great company gets its start this way
Basically we finally got a nexus of smart legal and business executives tigether
Would be a great opportunity!
Absolutely guaranteed huge celebration tonight at GrowLife!
Now that's Vision. Too many myopic folks today
If it isn't high then there is no capital, no issuance of shares. That is why this superstructure of finance is elegant. Like a 40M line of credit to go after the biggest deals in the country.
Maybe people are just not understanding how important it is to have access to capital, and lots of it. Capital runs the world. Without it than we might as well be somewhere else. Capital gives people opportunities. Sharing of capital, and of wealth, is part of the ethical nature of business. One cannot have access to capital and not want to share.
Thank you for sharing your experiences with us.
There's an amazing amount of detail in place with this JV. No issuance of shares without real deals. Capital is King and now we got it.
Not understanding the logic: 49% ownership in the future if $80M deal flow, no?
If you believe the general thesis of the private equity suits, who have a lot of credibility since they have done it before, then Longs might want to double down. jMO
Great point. There is a financial superstructure in place, in amazing detail and described in the joint venture SEC filing, that gives a roadmap to their use of capitalization. No more random dilution efforts.
Actually- it might mean this. if you believe the private equity guys who used their fancy spreadsheets to value a company and supply $40M in cash, this is an awesome opportunity to get in the ground floor before their dilution.
I hold 1M shares and seriously thinking of investing much more.
Still don't agree with 1.4B shares, but that's closer. To consider 2.2B shares is nonsensical.
It will still be a public company. Some very smart people invested today. Welcome to the new world. They will want to see their investment grow. $1B capitalization or much more is not far fetched anymore.
I agree
Again, I am not sure your 2B shares is correct.
Big picture- someone thinks this company is really undervalued. We can dither about $$ but now there are opportunities to finance projects in the 10's of millions of dollars. Yesterday that capability was not there. Remember this is a company that has made 2.9M to date.
A substantial amount of risk in this company has just been mitigated today. Our chance for a home run just went up. Think about it- someone has invested potentially $40M in a company that missed earnings. Definitely some information, on a positive note, is missing here.
Thanks, that's perspective.
I'm reading 49% of OS shares with their warrants if we get to $80M in revenue. That is more like 1.1B shares.
Buy more shares?
