NITE just rose his Ask to .08 - only one MM to break before a wall of 8's - if we can break this wall and get some momentum we'll have no problem closing green

I have to agree with htsstocks - the fact of the matter is we all only know what has been repeated here a million times by now. We all know whats in the filings, and which boxes are checked 'Yes' and 'No'. We all know who the attorney who is handling this is and what his reputation is. We all know about the share structure.
We all know that if the only action this stock was getting was generated by the hopes and dreams of some IHubbers we would never have even hit a dime, and none of us would be sitting here right now arguing over speculation. People much richer and more experienced than 90% of everyone in this board have their fingers in Locan, and if thats not an obvious good sign, then maybe this isn't you're cup of tea.
If I'm not mistaken, the 8-K isn't due until within four days after the acquisition is complete. When the R/M is complete, the 8-K will be filed. Until its complete, I expect we will be as in the dark as we are now.
Simply put, you can either sell what you've got or hold it and hope. And people much more, and less, experienced than myself have said that a million times over, as well.

UPS stores have PO Boxes that you can rent, very similar to regular PO Boxes, but (obviously) through UPS, not through the Post Office.
A lot of guys at Ft Bragg who dont trust the Army mail system (I dont blame them) have their addresses listed as a PO Box at the UPS store on post.

If the CEO decided that he was going to change the business plan, wouldn't that have been mentioned in the filing, along with the 'no' checked off as to whether this was a shell company? It only seems logical that if the company was taking a COMPLETELY new direction, it would be detailed in the filing, along with the check-box being changed from 'yes' to 'no'.
Seeing as that is not the case, and the direction of the company is still detailed as attempting to merge with a company (albiet, it did change to say that it was looking to merge with a NASDAQ-level company), I would assume that it is likely we are looking at a R/M and not a change in the direction of the business, alone.
JMO - feel free to correct me if you think my logic is misguided.

This may sound like a rediculous (newbie) question, but:
I have been hearing about the share-structure is great and the share-structure is awesome, and the share structure is uniquely set up to move to higher exchanges. I have researched and looked online, but I have been unable to understand completely WHAT MAKES the share structure for Locan so impressive, or 'uniquely set up to move to higher exchanges'.
If someone could post a link, or a simple (or complex, if its warranted) explanation of what this share structure has that others dont, or why you feel this is a unique and very appealing SS, I would GREATLY appreciate it!

I dont know that the 8-K is 'expected' Monday - its probably as likely as PR is on Monday (that is, no one really knows when it will take place).
It is just required to be filed within 4 days of the aquisition - what we dont know for sure is what company is going to be merging with LOCN, or when the merger will take place. But we know that when it does - whether or not they send out any PR or news - they are required to file an 8-K within four days of that time.
The simple fact of the matter is that this seems to be a very good stock to buy into and sit on until news hits - and when it does, everything is gonna happen very, very quickly.
So am I the only one confused that Locan is registered in Delaware, but that under their registration John Haskett is NOT listed as their registered agent?

I have been trying to call Howard Berger at Professional Traders Management all day. I have been unable to get ahold of him, but I did talk to 'George' (who is George? I dont know - they have a cute-sounding secretary, and George was consistantly less than perky...). George gave me his e-mail address - it looks like his directly - (so maybe he has taken the place of Marc Swinkle? Someone look this up!)
I wrote them an e-mail, and I asked very general questions (to conform - or deny - a merger is happening soon) and whether they planned to list Locan (or its new merger company) on the NASDAQ. Hopefully I should be hearing back from them soon.
I also wrote John Heskett an e-mail (I have had no luck getting people on the phone, today!) because I was concerned when I saw, on the Delaware Secretary of State website, that the registered agent for Locan Inc in Delaware is National Registered Agents, Inc. So I asked to reconfirm that Heskett is, in fact, still the registered agent, and to reconfirm the merger taking place.
Hopefully I get some answers soon.

I just tried calling Professional Traders Management (if you will recall, they own 62% of LOCN).
Although I was unable to reach Howard Berger, one of the founders of PTM, (he was on a conferance call, and it was at the end of the day - I will try calling back tomorrow morning, unless someone beats me to the punch).
It appears that Marc Swickle - the other co-founder of PTM - is 'no longer with the company' according to the secretary.
I was just going to call and ask if they had any sort of news, or to guage their opinion as to any dealings involving LOCN (as I have suggested be done over the last few days).
Hereagain, I will call tomorrow - unless someone beats me to the punch - and try and get an opinion or some news or anything, really, from these guys as to the situation with LOCN.
I would agree with that.
The fact that there is so much solidarity in this stock makes me keep faith that good things are on the horizon!
Hopefully the horizon starts to glow green as that big, bright, golden dollar-sign rises higher and higher after this news hits...
Is there any chance that there wont be any news, just out of curiosity? What I mean is, could we wake up one day and realize that overnight our stock changed from LOCN to 'ABCZ' all at once, without any notification? Just curious.

To LOCN: I have been expecting the stock to act like this - but like everyone else is saying, low volume on red-days is more desirable (and pretty easy to expect). The clues fit together pretty clearly to me - the dots have been connected - this is gonna be one heck of a stock once the news breaks! Sorry if you sold too early - but not that sorry, because you could'a held onto your shares like I am and gotten a payday like I will!

Threshold securities are equity securities that have an aggregate fail to deliver position for:
•five consecutive settlement days at a registered clearing agency (e.g., National Securities Clearing Corporation (NSCC));15
•totaling 10,000 shares or more; and
•equal to at least 0.5% of the issuer's total shares outstanding.16
Regulation SHO requires broker-dealers to close-out all failures to deliver that exist in threshold securities for thirteen consecutive settlement days by purchasing securities of like kind and quantity ("close-out").20
Until the position is closed out, the broker or dealer and any broker or dealer for which it clears transactions (for example, an introducing broker),21 may not effect further short sales in that threshold security without borrowing or entering into a bona fide agreement to borrow the security (known as a "pre-borrowing" requirement).
Any equity security of an issuer that is registered or required to file reports with the Commission could qualify as a threshold security. Therefore, threshold securities may include equity securities:
•listed on an exchange,22
•quoted on Nasdaq,23 or
•quoted on the OTCBB.24
Whether or not a security is a threshold security does not affect the Commission's ability to prosecute manipulative or fraudulent activity that may have occurred before or after adoption of Regulation SHO.
